COMPUTERSHARE LIMITED AND ITS CONTROLLED ENTITIES YEAR ENDED 30 JUNE 2026 (PREVIOUS CORRESPONDING PERIOD YEAR ENDED 30 JUNE 2025) RESULTS FOR ANNOUNCEMENT TO THE MARKET - 2 - Dividends Amount per security Franked amount per security (Appendix 4E item 2.4) Final dividend AU 65 cents AU 0.0 cents Interim dividend AU 55 cents AU 16.5 cents Record date for determining entitlements to the final dividend (Appendix 4E item 2.5) 19 August 2026 Explanation of Revenue and Net Profit (Appendix 4E item 2.6) The Group recorded a profit before tax of $848.4 million for the year ended 30 June 2026 (2025: $793.2 million). Total revenue increased to $3,257.5 million (2025: $3,114.6 million) and expenses rose $84.7 million to $2,420.0 million (2025: $2,335.3 million). Revenue Total revenue for the year increased to $3,257.5 million (2025: $3,114.6 million). This growth was driven by event and transactional revenue, which increased by $129.8 million due to higher business volumes and market activity. Core client fees also increased by $18.6 million, whilst margin income (MI) reduced by $5.6 million, due to lower interest rates partially offset by higher balances. Key business movements, excluding margin income, were as follows: Issuer Services revenues increased $78.8 million (7.7%) driven by improvement across Registry Maintenance, Stakeholder Relationship Management, Corporate Actions and Entity Solutions (previously Governance Services). Corporate Trust revenue grew $53.6 million (9.6%), due to stronger market activity driving new business. Employee Share Plans revenues rose $82.2 million (18.0%), largely due to higher participant trading activity, whilst client fees also increased. Corporate and Other revenues reduced by $63.2 million (down 13.2%) primarily driven by the disposal of the German Communication Services business in August 2025 and the UK Mortgage Services (UK MS) business in February 2026. Margin income fell $5.6 million (0.7%) with rising balances somewhat offsetting the impact of lower interest rates in all our major markets. Year on year average balances rose $2.1 billion to $32.0 billion, primarily due to greater volumes in Corporate Trust and Issuer Services (Corporate Actions). A stronger British pound, Canadian and Australian dollar relative to the prior period increased the translated USD revenue contribution from those regions. The FX movements of major currencies (GBP, CAD and AUD) increased revenues by $53.2 million. $m Revenue from ordinary activities up 4.6% to 3,257.5 (Appendix 4E item 2.1) Profit/(loss) after tax attributable to members up 1.9% to 618.7 (Appendix 4E item 2.2) Net profit/(loss) for the period attributable to members up 1.9% to 618.7 (Appendix 4E item 2.3)

COMPUTERSHARE LIMITED AND ITS CONTROLLED ENTITIES YEAR ENDED 30 JUNE 2026 (PREVIOUS CORRESPONDING PERIOD YEAR ENDED 30 JUNE 2025) RESULTS FOR ANNOUNCEMENT TO THE MARKET - 3 - Expenses Total expenses increased $84.7 million (3.6%). Operating expenses rose in line with higher fee revenues and business volumes. The inclusion of 12 months of expenses relating to the acquisitions of ingage IR Limited, CMi2i Limited, and BNY Trust Company of Canada (Computershare Advantage Trust of Canada), all acquired in FY25, also contributed to the rise in operating expenses. General inflationary pressures and ongoing investment in our technology environment also contributed to higher operating costs. Cost increases were driven by greater cloud consumption, software maintenance and licence renewals as well as investment in technology resources to support business transformation and operational resilience. Integration-related expenses were lower, largely due to the completion of the integration of Equatex in June 2025. Restructuring costs related to our other cost out programmes were marginally down. The sale of the UK MS business resulted in a net loss on disposal of $46.3 million and incurred a further $32.0 million in redundancy costs and provisions associated with the sale agreement. These impacts were partially offset by lower operating expenses following the disposal in February. Borrowing costs declined, driven by reduced interest rates and lower debt levels. Lastly, the Group’s effective tax rate at 27.0% was higher than the FY25 rate of 23.4%, predominantly driven by non-deductible expenses related to the UK MS disposal. The comparative period also benefited from a change in sales sourcing methodology for US state tax purposes and tax capitalisation of prior year costs to align tax relief to periods when the related income is earned. Explanation of dividends (Appendix 4E item 2.6) The following dividends have been paid, declared or recommended since the end of the preceding financial year: Ordinary shares A final dividend in respect of the year ended 30 June 2025 was determined by the directors of the Company on 12 August 2025 and paid on 15 September 2025. An interim dividend was determined by the directors of the Company in respect of the half year ended 31 December 2025, and paid on 18 March 2026. This was an ordinary dividend of AU 55 cents per share franked to 30%, amounting to AUD 318.1 million ($223.3 million). A final dividend in respect of the year ended 30 June 2026 was determined by the directors of the Company to be paid on 14 September 2026. The amortisation of these intangibles in the year ended 30 June 2026 was $76.3 million after tax. Amortisation of certain acquired software as well as intangibles purchased outside of business combinations is included as a charge against management earnings. Acquisitions and disposals Sale of the UK MS business resulted in a net loss on disposal of $46.3 million (note 11). The Group incurred $32.0 million of costs associated with the disposal of the UK MS business including redundancy costs and provisions arising from the sale agreement. Acquisition related expenses are mainly for the ongoing integration of businesses acquired in recent years (the largest programme is for the Corporate Trust business) and they also include acquisition accounting adjustments for business combinations that occurred in prior periods. An adjustment to contingent consideration receivable for KCC disposal that took place in a prior period resulted in an after-tax gain of $5.1 million reflecting latest profit estimates. The loss on other disposal relates to the disposal of the CCS Germany business, which resulted in a net loss of $0.9 million.
Page 12
COMPUTERSHARE LIMITED AND ITS CONTROLLED ENTITIES SUPPLEMENTARY APPENDIX 4E INFORMATION -12- Other Costs of $61.6 million were incurred in respect of major restructuring programmes spanning several years. These include a business-wide cost-out programme announced in FY24 addressing stranded costs from recent business disposals, as well as the implementation of new global enterprise resource planning, human capital and treasury management platforms and the digitisation of a range of front and back-office processes. Revaluation of derivatives that have not received hedge designation or the ineffective portion of derivatives in hedge relationships is taken to profit or loss in the statutory results. The impact in the current reporting period was a gain of $0.3 million. In a prior period, the Group extended the duration of certain interest rate swaps hedging margin income balances. The modification was accounted for as a derecognition of the cash flow hedge relationship. There are ongoing accounting impacts associated with this modification, initially accounting charges in the next few years followed by offsetting accounting gains in the later years until maturity of the renewed portfolio in the year ending June 2034. These hedge-related accounting impacts are non-cash and will fully unwind over the life of the derivative portfolio resulting in a nil net impact to the profit and loss over the term. The impact in the current reporting period was a net accounting loss of $8.6 million. All cash-based impacts resulting from the hedging strategy (derivative settlements) are included in the management earnings as per the standard practice. 4. SEGMENT INFORMATION (Appendix 4E item 14.4) In accordance with AASB 8 Operating Segments , the Group has identified its operating segments to be the following global business lines: Issuer Services Register maintenance, Corporate actions, Stakeholder relationship management and Entity Solutions (previously Governance services). Corporate Trust Trust and agency services connected with the administration of debt and related securities and corporate financing arrangements in the US and Canada. Employee Share Plans The provision of administration and related services for employee share and option plans. Corporate & Other Other business lines such as Property Rental Services, Childcare Voucher administration in the UK, Communication and Utility Services, as well as Technology Services, Operations and Shared Services functions. Includes Mortgage Services to date of disposal of UK MS (1 February 2026). The operating segments presented reflect the manner in which the Group is internally managed, and the financial information reported to the chief operating decision maker (CEO). The Group has determined the operating segments based on the reports reviewed by the CEO that are used to make strategic decisions and assess performance. The key segment performance measure is based on management adjusted earnings before interest and tax (management adjusted EBIT). From 1 July 2025, the following changes were made to the operating segments, which reflect the manner in which the Group is internally managed and the way financial information is reported to the CEO: The Voucher Services business (previously included within Employee Share Plans & Voucher Services) has been moved into the Corporate & Other segment. The name of the Employee Share Plans & Voucher Services segment has changed to reflect this move. The Mortgage Services & Property Rental Services, C ommunication Services & Utilities and Technology Se rvices & Operations segments (along with the Voucher Services business) have been combined into one segment which has been renamed Corporate & Other. The comparative disclosures have been adjusted to align with this new reporting structure.
