SUMMARY OF KEY UPDATES • EUR entered into a binding Scheme Implementation Deed with Critical Metals Co rp. (Nasdaq: CRML) under which CRML will acquire 100% of the issued share capital of European Lithium by way of a court-approved scheme of arrangement in exchange for CRML shares. • European Lithium’s cash balance at 30 June 2026 was $296.3 million • The Government of Greenland approved the transfer of the remaining 50.5% interest in the Tanbreez Rare Earth Project to Critical Metals, increasing Critical Metals’ ownership to 92.5%. • CRML commenced construction of a multi -purpose storage, on-site laboratory and pilot plant facility in Qaqortoq, southern Greenland • CRML launched its U$30 million Project Acceleration Plan , advancing drilling, pilot plant bulk sampling and the acquisition of Greenlandic civils, construction and mining contractor 60 Degree North A/S. 2 ASX: EUR | europeanlithium.com EXPLORATION AND DEVELOPMENT ACTIVITIES European Lithium Austrian Lithium Projects The Company’s Bretstein –Lachtal Project, Klementkogel Project, and Wildbachgraben Project (collectively, the Austrian Lithium Projects) comprise 245 exploration licences covering a total area of 114.6 km². The projects are located approximately 80 km from CRML’s Wolfsberg Lithium Project (Wolfsberg Project) (refer to Figure 1). The licences cover ground considered prospective for lithium occurrences within the Styria mining district of Austria. Figure 1 Austrian Lithium Projects location The exploration area is interpreted to have geological similarities to the Wolfsberg Project and is dominated by Permian pegmatites intruding highly metamorphosed Palaeozoic rocks. Host rock of known pegmatite veins and lenses are marble and gneiss to mica schist. Due diligence mapping has revealed multiple spodumene-bearing pegmatite bodies with Li2O contents up to 3.98% (refer to ASX announcement 21 June 2023). As of the date of this announcement, the most promising areas with spodumene-pegmatites are: • Quarry – Ebner • Gruber Hirnkogel – Pusterwald • Keckgraben • Scharnitzalm

3 ASX: EUR | europeanlithium.com A detailed lithological and structural mapping program has been completed in the vicinity of Quarry Ebner within the Bretstein –Lachtal area. The Company has identified a prospective spodumene‑bearing pegmatite vein, and drilling is being planned as part of future exploration activities. In addition, further geological mapping is planned in the Gruber Hirnkogel, Keckgraben, and Scharnitzalm areas, together with a stream sediment sampling program. Work completed to date indicates that stream sampling provides an effective geochemical tool, with results reflecting the underlying geology of the contributing catchment areas. The Company expects that the integration of geological mapping and geochemical data will assist in identifying additional priority drill target areas across the project tenure. All stakeholder engagement and fieldwork follow the strict ESG guidelines of the Company. Ireland Leinster Project The 100% owned Leinster Project licence holdings are located within, or along, a major regional tectonic structure known as the East Carlow Deformation Zone. This structure is interpreted to control the emplacement of most known lithium, caesium and tantal um (LCT)‑bearing pegmatite occurrences within the Leinster Granite Massif (see Figure 2). During the quarter, the Company commenced the detailed field program mapping and sampling the Northern Block Area and has identified spodumene bearing pegmatites taking channel and rock chip samples advancing ground coverage of approximately 30% of the Northern Block area to date. This is a significant first on the ground exploration program since the Company acquired the Project since November 2024, (see figure 2). Field crews from Irish geological consultancy Aurum Exploration mobilised a four‑member team, that commenced the field season extending coverage over the Northern Block with considered anomalous visible spodumene bearing pegmatites with the potential conta ining lithium oxide deposition that compliments the results from the Southern Block work completed with the previous owner (Technology Metals PLC ) since 2018 and later by the Company in late 2025 and early 2026., (see QAR December 2025, QAR, March 2026) The new targets await the sampling results over the Northern Block Area with this work representing a first‑pass investigation undertaken for the first time using modern exploration techniques. The Company is awaiting assay results of channel, rock chip and geochemical samples from the Southern Area sampling submitted to ALS Geochemical Laboratory in April 2026. Aurum Exploration has also submitted Northern Block samples to ALS and will announce the assay results once available.

5 ASX: EUR | europeanlithium.com Ukraine Dobra Project The Company's wholly owned subsidiary European Lithium Ukraine LLC ( EUR Ukraine) is applying (through either court proceedings, public auction, and/or production sharing agreement with the Ukraine government) for special permits for the extraction and production of lithium at the Shevchenkivske Project and Dobra Project in Ukraine. The Shevchenko Project is in Russian- occupied territory. On 27 August 2025, the Cabinet of Ministers of Ukraine resolved to organize a tender for the development of the Dobra Lithium deposit in the Kirovohrad region and on the 12 September 2025 the Ukrainian government announced the start of the tender process for the conclusion of an agreement on the distribution of metall ic minerals. EUR Ukraine participated in the public auction process and submitted their formal application in December 2025 per the requirements of the tender process. On 12 January 2026, the Ukraine government announced that the Dobra Project had been awarded to another participant in the auction process. Based on official announcements, European Lithium is of the view that the Company’s bid was superior to the awarded party which questions the fairness, the equality, and the transparency of the decision-making process. In addition, EUR Ukraine asserts that, based on Ukrainian court decisions the license for the Dobra Project belongs to EUR Ukraine. The Company has initiated legal proceedings in Ukraine to protect its rights to the Debra deposit . The outcome of any legal proceedings is uncertain and subject to judicial determination. On 27 December 2025, the Company entered into a letter agreement with Millstone and Company Global DW LLC to extend the end date in respect to a transaction associated with the Shevchenkivske Project and Dobra Project to 31 December 2027. Critical Metals Corp The Company holds 45,536,338 ordinary shares in Critical Metals Corp (Critical Metals or CRML), a NASDAQ‑listed company, following the completion of a business combination transaction in 2024. As at 28 July 2026, based on the closing share price of Critical Metals of US$ 6.04 per share, the Company’s investment in Critical Metals is valued at approximately US$ 275,039,482 (A$396,056,853), noting that this valuation is subject to fluctuations in the share price of Critical Metals. The Tanbreez Greenland Rare Earth Mine (the Tanbreez Project) is Critical Metals ’ flagship asset. Another key asset of CRML is the Wolfsberg Lithium Project (Wolfsberg Project). In addition, as part of its business strategy, Critical Metals intends to pursue the acquisition of assets and operations that are strategic and complementary to its existing portfolio. This may include investments in or acquisitions of complementary compa nies, assets, mines, products or technologies, including those associated with other rare earth elements and minerals.

6 ASX: EUR | europeanlithium.com Greenland Tanbreez Project Project Development Activities During the quarter, Critical Metals continued to advance the Tanbreez Project in southern Greenland. On 20 April 2026, EUR announced that the Government of Greenland approved the transfer of the remaining 50.5% interest increasing Critical Metals ownership in the Tanbreez Project to 92.5%. European Lithium continue to maintain the remining 7.5% interest in the Tanbreez Project. The transaction consolidates Critical Metals' ownership position and supports the ongoing advancement of project development activities. The following sections summarise s key exploration, engineering, permitting and project development activities undertaken during the quarter . While certain activities outlined below have not been the subject of separate ASX announcements, the Company considers their disclosure appropriate to provide shareholders with a comprehensive update on progress at the Tanbreez Project. The June 2026 quarter did not include any market -sensitive exploration or development results requiring separate disclosure under the Company's continuous disclosure obligations. Exploration & Resource Drilling During the quarter, Critical Metals commenced its planned 10,000m diamond drilling campaign at the Tanbreez Project. Construction and commissioning of initial site infrastructure, together with mobilisation of drilling personnel and equipment, were completed ahead of drilling activities. The primary objectives of the drilling program are to support resource expansion, improve geological understanding of the mineralised system, and collect information required for future mine development studies. The program is targeting extensions to known mineralisation, infill drilling within existing resource areas, and the collection of geological, geotechnical and metallurgical data to support future Mineral Resource updates, mine planning and engineering studies. During the quarter, three diamond drill holes were completed for a total of approximately 702.4 metres. Drilling activities remained ongoing at quarter end as part of the broader 10,000m campaign. One diamond drill rig operated by 60° North Greenland ApS w as active on site during the reporting period. As is common for Arctic field operations, commencement of drilling activities was impacted by weather-related interruptions and logistical challenges associated with the mobilisation of personnel, equipment and supplies to southern Greenland. These factors affected productivity during the early stages of the field season. Construction commenced on a temporary 30 -person exploration camp at the project site, together with temporary laydown areas, access tracks, a barge offloading facility, and helicopter landing and refuelling infrastructure. With site infrastructure now established and drilling operations underway, additional drilling capacity is being mobilised to increase drilling rates throughout the remainder of the 2026 field season.

7 ASX: EUR | europeanlithium.com Two additional drill rigs operated by 60° North Greenland ApS are currently being mobilised to site. Following mobilisation, the Company intends to operate a three -rig fleet, including double -shift operations where practicable, to support completion of the drilling program and ongoing resource expansion activities. On 5 May 2026, CRML announced that it had completed the acquisition of 70% of the shares in 60° North Greenland ApS. This acquisition has assisting in securing access to in -country drilling, logistics, construction and project support capabilities to support ongoing exploration and development activities at the Tanbreez Project. 2026 Drilling program underway (Drillhole 26-D03)

8 ASX: EUR | europeanlithium.com Drill core logging at the company’s Core processing facility, Qaqortoq. Infrastructure and Operational Development During the quarter, significant upgrades were completed at CRML's core processing and handling facility in Qaqortoq. The facility was refurbished and modernised to support the increased drilling activity planned for the 2026 field season. The upgraded facility is being utilised for core reception, geological logging, sampling, processing and secure storage associated with the current drilling campaign. Construction of Critical Metals headquarters, warehouse and workshop facility in Qaqortoq continued during the quarter, with approximately 50% of foundation works completed. Structural steel and associated framework materials have been delivered to site. Upon completion of the new operational complex, the core processing facility is expected to be integrated into the broader operational hub, providing a permanent facility for geological and exploration support activities.

9 ASX: EUR | europeanlithium.com During the quarter, Critical Metals announced that it had completed the acquisition of the Ocean Endeavour, a 180-passenger vessel that will support the CRML’s ongoing development activities at the Tanbreez Project. Permitting and Regulatory Approvals CRML continues to engage with the Mineral Licence and Safety Authority (MLSA) in relation to the Section 77 Mine Plan and Section 80 Mine Closure Plan submissions. Assessment of these applications remains ongoing. Offtake On 21 May 2026, CRML announced that it had entered into a definitive 15 -year binding offtake agreement with REalloys Inc. (NASDAQ: ALOY) for REE concentrate from the Tanbreez Project (ALOY Offtake Agreement). Under the ALOY Offtake Agreement, REalloys will purchase 15% of Tanbreez’s annual rare earth concentrate production, with priority rights in respect of concentrate volumes containing elevated concentrations of the critical HREE dysprosium and terbium, together with a right of first refusal over additional volumes. Deliveries under the ALOY Offtake Agreement will be made FOB Tanbreez port in Southern Greenland, with pricing linked to international rare earth oxide benchmarks on an element -by- element basis. Commercial shipments are expected to commence following the start of production. Outlook No assay results were received during the quarter. Accordingly, there are no new exploration results to report under ASX Listing Rule 5.3.1. Exploration activities during the quarter were directed towards resource expansion and the collection of geological , geotechnical and metallurgical information to support future technical studies. No Mineral Resource estimate was updated during the reporting period. At quarter end, drilling activities remained ongoing as part of the planned 10,000m diamond drilling program. Information generated from the program is expected to support future Mineral Resource assessment, refinement of the geological model, mine plannin g and ongoing development studies for the Tanbreez Project. Austria Wolfsberg Project At the end of Q4 2024, the Wolfsberg Project received a decree relating to the pre‑assessment stage of the final environmental approval process. This decree stipulates that the Wolfsberg Project is not subject to a full‑scale environmental approval process , effectively fast‑tracking the transition from exploration to mining operations from an environmental permitting perspective. In December 2025, the Bundesverwaltungsgericht (BVwG) in Vienna (Federal Administrative Court) ruled on an appeal lodged against the decree by a group of non‑governmental organisations and two municipalities. The court determined that the Q4 2024 decree sh ould be referred to the issuing authority in the State of Carinthia for reassessment. The Company is reviewing this unexpected

10 ASX: EUR | europeanlithium.com decision and is considering filing an appeal and a constitutional complaint. The Wolfsberg Project has a binding long-term supply agreement (LTA) with top-tier European auto manufacturer BMW AG for the offtake of battery-grade lithium hydroxide (refer ASX Announcement 21 December 2022 and 6 June 2024). In addition, the Wolfsberg Project has completed, in collaboration with local energy provider KELAG, the planning and technical layout of the energy supply corridor from the nearby municipality of Frantschach‑St. Gertraud to the mine and concentrator site at Weinebene. Subject to KELAG scheduling, construction of the energy corridor is expected to commence in H 2 2025. This represents a significant development milestone for the Company and marks the formal progression of the project through staged development from exploration towards operational readiness. Critical Metals continues to advance discussions regarding project financing for the Wolfsberg Project as it approaches a potential construction decision. Joint Venture with Obeikan Investment Group On 2 June 2023, European Lithium announced the execution of a binding term sheet with Obeikan Investment Group (Obeikan) to build and operate a hydroxide plant in Saudi Arabia (JV Term Sheet). The 50%/50% Joint Venture ( JV) will be geared towards developing, constructing and commissioning a lithium hydroxide processing plant, and operating the plant for the conversion of lithium spodumene concentrate from the Wolfsberg Project. Under the terms of the JV Term Sheet, European Lithium agreed to procure the assignment of its rights and obligations under the JV Term Sheet to Critical Metals or one of its wholly owned subsidiaries, subject to approval by the CRML Board. On 4 July 2024, the Company announced that Obeikan has agreed to a deed of assignment and entered into the shareholder agreement for the development and operation of the plant. On 9 July 2024, Critical Metals announced that it had executed the deed of assi gnment and shareholder agreement and as such both agreements are now binding on all parties. The JV has appointed Hatch Ltd., a leading global engineering firm, to commence design work on a lithium refinery in Saudi Arabia, which is expected to produce up to 20,000 metric tonnes of battery- grade lithium hydroxide. CRML recently met with Obeikan and have agreed a framework for a decision to mine by the end of 2026 subject to lithium prices and financing options being available. CORPORATE MATTERS CRML/EUR Merger On 28 April 2026, the Company announced that it had entered into a non -binding indicative agreement with CRML for CRML to combine with EUR. On 19 May 2026, the Company announced that it had entered into a binding scheme implementation deed (SID) with CRML under which it is proposed that CRML will acquire 100% of the issued share capital in EUR and EUR listed options by way of:

11 ASX: EUR | europeanlithium.com ▪ a court approved scheme of arrangement under Part 5.1 of the Corporations Act 2001 (Cth) (Corporations Act) between EUR and EUR shareholders (EUR Shareholders) (Share Scheme); and ▪ a Court-approved scheme of arrangement under Part 5.1 of the Corporations Act between EUR and holders of its listed options (ASX: EUROC) (EUR Listed Options) (EUR Optionholders) (Option Scheme) (together, the Schemes). Under the terms of the SID, EUR Shareholders will receive 0.035 CRML share for every 1 EUR share held at the record date of the Schemes (Share Scheme Consideration). Under the Option Scheme, each EUR Optionholder (being, each holder of an EUR Listed Option) will receive, for every 1 EUR Listed Option held, a number of CRML shares calculated to reflect the “in- the-money” value of the relevant option on a cashless exercise basis. The number of securities to be issued for each EUR Listed Option will be determined in accordance with the formula set out in the SID. EUR Optionholders will not be required to fund the exercise price of their EUR Listed Options. Transaction Highlights The combination of EUR and CRML creates a NASDAQ -listed critical minerals company with 100% ownership of two strategically important assets positioned at the centre of global supply chain diversification for rare earths and lithium: ▪ Consolidation of 100% ownership of the Tanbreez Project. The consolidation of ownership of the Tanbreez Project will simplify the ownership, decision making and financing strategy for Tanbreez as it is advanced towards a development decision. ▪ Removal of any minority ownership discount associated with EUR's ~31% shareholding in CRML. ▪ Combined critical minerals portfolio comprising the Tanbreez Project and Wolfsberg Project ▪ Geopolitically stable regions, Greenland and Austria, providing reliable long-term supply from Tier-1 regulatory environments. ▪ All-scrip transaction preserving CRML's balance sheet, which held substantial cash balances as at the date of the SID, positioning CRML with a robust balance sheet to accelerate the ongoing development and strategic opportunities associated with Tanbreez i nto a strong rare earth market. Velta Acquisition On 27 January 2026, the Company announced that it has entered into a binding agreement to acquire 100% of Velta Holding (Velta), a US-based titanium company with manufacturing and mining assets located in Ukraine. Under the terms of the agreement, European Lithium will acquire 100% of the issued capital of Velta for total consideration of approximately 173 million fully paid shares in European Lithium, subject to the completion of final due diligence and satisfaction of customary conditions precedent. The proposed acquisition of Velta represents a strategic expansion of European Lithium’s portfolio into titanium and related critical materials and industrial minerals used in defense, aerospace energy, high -technology manufacturing, and construction industries. Other Securities Movements On 1 April 2026, the Company formally cancelled a total of 23,955,240 shares acquired pursuant to the share buy-back announced on 31 March 2026. On 22 April 2026, the Company cancelled 30,000,000 performance rights (which were subject to vesting conditions). During the Quarter, the Company issued the following securities: ▪ A total of 5,426,542 shares upon the exercise of EUROC listed options ($0.10 each expiring 30 April 2027) to raise funds of $542,654 for the Company ▪ A total of 4,000,000 shares upon the exercise of unlisted options ($0.12 each expiring 26 June 2026) to raise funds of $480,000 for the Company ▪ A total of 5,983 upon the exercise of unlisted options ($0.08 each expiring 31 December 2026) to raise funds of $479 for the Company Other Investments As at the date of this announcement, the Company holds the following listed investments: ▪ 372,330,807 shares (representing a 17.96% interest) in Cufe Ltd (ASX: CUF) and 4,000,000 listed options (ASX: CUFO) which are collectively worth approximately $ 20,598k based on the closing share price on 29 July 2026. CUF currently exports iron ore from its Wiluna deposit and has tenements prospective for copper, lithium and niobium in various stages of exploration. ▪ 358,097,603 shares (representing a 17.77% interest) in Moab Minerals Limited (ASX: MOM) which are worth approximately $ 537k based on the closing share price on 29 July 2026. MOM is an exploration and project development company with a portfolio of exploration projects including the Manyoni Uranium Project in Tanzania and the Highline Copper-Cobalt project in Southern Nevada. ▪ 6,857,143 shares (representing a 3.56% interest) in Helix Resources Limited (ASX: HLX) which are worth approximately $240k based on the closing share price on 29 July 2026. HLX is an Australian copper -gold explorer with assets in Arizona, USA and the Cobar region of New South Wales. The Company holds the following unlisted investments as at 30 June 2026: ▪ A 7.5% equity interest in the Tanbreez Project ▪ A 14.8% equity interest in Pan African Niger Limited, an entity which which holds uranium exploration permits in Niger Appendix 5B Quarterly Report and Statement of Cash Flows Following the Company’s sale of shares it holds in CRML during the year, the Company’s equity interest in CRML fell below 50% on 11 October 2025. Accordingly , and in line with accounting standards, the Company’s interest in CRML is no longer consolidated from this date, and instead is equity accounted for from this date (Deconsolidation).

The Company’s Appendix 5B Quarterly Report covers the 3 -month period from 1 March 2026 to 30 June 2026 and includes the cash flows for the Company covering the period 1 March 2026 to 30 June 2026. The year-to-date figures included in the Appendix 5B for the Company and CRML covers the period 1 July 2025 to 11 October 2025 (being the date of Deconsolidation). Cashflows for administration and corporate costs were $794k including Director fees of $135k (see below) and costs associated with the CRML/EUR merger transaction of $699k. Included in net cash flows from operating activities was interest received on cash deposits of $3,652k. Cashflows from investing activities included $638k in respect to the Austrian Lithium Project , the Irish Lithium Project and Australian held tenements . During the quarter, the Company received proceeds of $ 2,299k from the sale of listed shares. In addition, the Company made payments of $2,536k for the acquisition of shares in listed entity CuFe Limited ($2,236k) and Helix Resourced Ltd ($300k). Cashflows from financing activities during the quarter included $1,023k for the funds received upon the exercise of options. The Company advanced funds of US$6m in funding to Velta as part of the proposed acquisition, entered into a loan agreement and advanced funds of $200k to Moab Minerals Ltd and paid expenses on behalf of CRML. As at 30 June 2026, the cash balance of European Lithium was $296,295k. Payments to Related Parties and their Associates In accordance with ASX Listing Rule 5.3.5, payments to related parties of the Company and their associates during the quarter totalled $ 143k. This amount comprises Director fees of $135k and payments to Director-related parties for office occupancy costs ($8k). During the quarter, the Company advanced funds of $200,000 to Moab Minerals Limited (ASX: MOM). The loan is unsecured and accrues interest at 10% per annum and is repayable on 31 December 2027. Mr Malcolm Day is Managing Director of MOM. During the quarter, the Company purchased 39,433,371 shares in CuFe Limited (ASX: CUF) for a net consideration of $2,236k.
