Transformational Board and Management Changes (effective 21 May 2026) ▪ Duncan Craib - Non-Executive Chairman ▪ Theuns de Bruyn - Chief Executive Officer ▪ Grant Scott - Chief Operating Officer ▪ David Brophy - Non-Executive Director This transition represents a material inflection point for Lion Rock, positioning the Company to accelerate exploration success with a disciplined, value-driven growth strategy. Messrs de Bruyn and Scott were most recently employed by Sierra Rutile, then the world’s largest natural rutile producer. Both careers span 30+ years of experience in the African mineral sector, with a focus on project development, feasibility, financing and operations. Together, the incoming team of directors and executives bring highly sought after technical, operational, jurisdictional and international capital markets experience with an ability to unlock the significant exploration potential of the Minta Monazite & Rutile Project as a strategic global source of natural rutile and rare-earth monazite, feeding titanium pigment and rare earth supply chains. In addition, the team will proactively assess the Company’s highly prospective Kitongo and Lolo Uranium Projects, with the aim of extracting maximum value for all stakeholders. Strategic placement The Company received firm commitments to raise $2 million through a placement of 100 million new shares at $0.02 per share, conducted under the Company’s existing placement capacity pursuant to ASX Listing Rule 7.1A. The placement was cornerstoned by the i ncoming directors and executives and supported by a limited number of known and respected industry professionals. Kitongo and Lolo Uranium Prospects During the June 2026 quarter, the Company continued to work with its uranium Competent Person, Dr Marat Abzalov, to design upcoming exploration programs at the Kitongo and Lolo Projects while awaiting finalisation of the permitting process. The Kitongo Uranium Project spans approximately 2,200km² across 5 tenements in the northwest Adam aoua Province, and the Lolo Uranium Project spans approximately 240 km² across 1 tenement in the South region of Cameroon. Prospectivity for uranium was confirmed by significant historical exploration, initially in the 1970s and more recently between 2007 and 2011. Yendon Kaolin Project, Australia The Yendon Kaolin Project is located in the Ballarat -Bendigo zone of the Western division of the Lachlan Fold Belt. The Company holds three exploration licences (EL5457, EL6428 and EL8081) and one retention licence (RL6734) approximately 14km south -south-east of Ballarat, Victoria. During the June 2026 quarter, the Company continued desktop review activities to assist with determining next steps for the project.

ASX: LRM | lionrockminerals.com 6 DISCLOSURES IN RELATION TO APPENDIX 5B In line with its obligations under ASX Listing Rule 5.3.5, the Company notes that payments to related parties of the Company, as disclosed in the Appendix 5B (Quarterly Cash Flow Report) for the period ended 30 June 2026, relate to Director and Company Secretary fees and superannuation. During the quarter ended 30 June 2026, the Company spent approximately $1.79 million on project and exploration activities relating to its Minta Rutile & Monazite Project in Cameroon and its Victorian tenements. This expenditure predominantly relates to the Company’s exploration programs on the Minta Monazite & Rutile Project, including drilling costs, assay costs, geological consultant costs and ongoing permit maintenance costs. CHANGES IN TENEMENTS HELD DURING THE QUARTER In accordance with its obligations under ASX Listing Rule 5.3.3, the Company has provided a list of tenements held at 30 June 2026 at Appendix A. During the quarter, the Company disposed of the Green Rocks Project (WA) tenements (36) through the sale of Greenrock Metals Pty Ltd and CU2 WA Pty Ltd (completed April 2026). ASX: LRM | lionrockminerals.com 7 ABOUT LION ROCK MINERALS Lion Rock Minerals Limited (ASX: LRM) is an ASX -listed critical minerals developer advancing the Minta Rutile and Monazite Project, an 8,800km² province in Cameroon, Central Africa. The Project hosts shallow residual and alluvial rutile mineralisation acro ss a province -scale footprint, with a separate monazite - bearing rare -earth evaluation stream at Minta Est. Lion Rock is led by a management team with direct experience operating and developing major rutile projects. Importantly, Minta provides Lion Rock with potential exposure to at least 12 out of 60 minerals on the 2025 U.S. critical minerals list1, led by rutile and titanium, as well as additional potential exposure to zirconium and rare earth elements, including neodymium, praseodymium, dysprosium, terbium, samarium, gadolinium, and yttrium. This gives Minta a differentiated critical-minerals profile from other single large- scale projects, while retaining rutile as the Company’s core development focus due to mineralisation styles of shallow residual rutile in weathered profiles and alluvial heavy -mineral concentrations in drainage systems. Two areas remain the focus of near-term exploration and technical work. At Mboma, Loum, and now Minta 1, shallow residual rutile is being advanced toward a maiden Mineral Resource Estimate ( MRE). At Minta Est, monazite -bearing rare -earth mineralisation is being progressed through a separate evaluation pathway. Exploration also continues across the broader Minta tenement package, providing a substantial pipeline of residual, alluvial and critical -mineral targets to be ranked as drilling, assay, mineralogical, recoverability and product-quality data are received. Further work will prioritise interpretation of completed drilling at Loum, Minta 1, Minta Nord and Minta Sud, with follow-up drilling expected to focus on the strongest grade and assemblage domains over the next 6-12 months. Dormer drilling provides a systematic and economical method for evaluating shallow alluvial and saprolitic mineralisation. At Minta Est, the Company has reported a monazite -enriched granite source model, coarse monazite, xenotime indicators, high -grade mon azite assemblages and a magnet rare - earth distribution containing Nd, Pr, Dy and Tb. The current campaign advances this established opportunity through drilling, full analytical suites, selective -leach testing, mineralogy, recovery and product-quality work.
