Ms. Lekatsas, the floor is yours. Thank you, and good afternoon, ladies and gentlemen. My name is Angela Lekatsas, and I am the President and Chief Executive Officer of Cervus Equipment Corporation. Welcome to Cervus's virtual-only special meeting of shareholders to consider, and if deemed advisable, to pass a special resolution to approve a plan of arrangement pursuant to which Brandt Tractor Ltd, through a wholly owned subsidiary, will acquire all of the issued and outstanding shares of Cervus, excluding any shares already owned by Brandt and its affiliates. We are excited to be here today, bringing before our shareholders a transformative deal to Cervus, which is the culmination of years of dedication and hard work from the entire Cervus team. This transaction represents compelling value to Cervus shareholders, as demonstrated by a 37% premium to the CAD 28 volume weighted average price per common share as of August 13, 2021 that will be provided to shareholders. It also provides certainty of value and liquidity to all Cervus shareholders, and Cervus and Brandt are proud to have the support of our major OEMs, John Deere Canada ULC and Peterbilt Motors Company, as well as other OEMs who we have been privileged to partner with over the years. Due to the ongoing COVID-19 pandemic and to mitigate and contain risks, this meeting will be held in a virtual-only format. The virtual-only meeting is being adopted in response to local, regional, and national public health emergency directives while allowing all shareholders an equal opportunity to participate in this meeting regardless of their geographic location or particular constraints, circumstances, or risks they may be facing. Let me spend a minute explaining to you just how the virtual format works. Your information screen displays instructions on how to participate in the meeting by voting and submitting questions. Good afternoon, welcome to Cervus's special meeting of shareholders. In accordance with Cervus's bylaws, I will Chair the meeting. Devin Mylrea, our Corporate Counsel and Corporate Secretary, will act as Secretary, and Keith Clermont from Computershare Trust Company of Canada will act as Scrutineer. The record date to determine if shareholders entitled to receive notice of and vote at this meeting was fixed at the close of business on September 7th, 2021. I've been advised by the Secretary that notice of this special meeting was properly given, since quorum is present. Accordingly, I declare the meeting properly called and constituted for the transaction of business. The reading of the notice of meeting will be dispensed with, I direct the Secretary to include with the minutes a copy of the minute meeting materials, confirmation of mailing to shareholders, and the report on attendance. I now call the meeting to order. The purpose of today's meeting is described in the Notice of Meeting and Management Information Circular dated September 10th, 2021. It was sent and filed on SEDAR in advance of this meeting. The Management Information Circular is available on the Cervus website in the Investor section related to this special meeting. At today's meeting, shareholders are being asked to consider and vote on the resolution approving an arrangement with jurisdiction 192 of the Canada Business Corporations Act, pursuant to which, among other things, a wholly owned subsidiary of Brandt Tractor Ltd., who I will refer to as the Purchaser, will, subject to the terms and conditions of the arrangement agreement among Cervus, Brandt, and the purchaser, dated August 15th, 2021, acquire all the issued and outstanding common shares in the capital of Cervus other than the shares held by the Purchaser or any affiliate, at a price of CAD 19.50 in cash per share as set forth in Appendix A of the Management Information Circular. For efficiency, we have pre-arranged for Angela Lekatsas and Devin Mylrea, both Cervus shareholders of record, to move and second the formal business motions. The polls are now open for voting on the item of business. As mentioned earlier, voting will be conducted by online polling, and your voting options should be visible on your screen if you are a registered shareholder or duly appointed proxyholder. I've received the Scrutineer's interim report and confirm that the resolution set forth in Appendix A of the Management Information Circular has been passed by more than 97% of the votes cast by shareholders at the meeting. The final Scrutineer's report with votes cast will be tabulated over the next days. I direct the Secretary to file the final Scrutineer's report once complete with the minutes of the meeting.
