Good afternoon, welcome to Canadian Western Bank's annual meeting of common shareholders. My name is Bob Phillips. I am speaking to you from Vancouver, British Columbia. I have the privilege to serve as the chair of the board of directors of CWB. CWB respectfully acknowledges that our head office is located on Treaty 6 territory, a traditional gathering place for diverse Indigenous peoples, including the Cree, Blackfoot, Métis, Nakota Sioux, Iroquois, Dene, Anishinaabe, Saulteaux, Inuit, and many others whose histories, languages, and cultures continue to influence our vibrant community. As we continue on the path to reconciliation, land acknowledgments help to bring attention to the places we call home and how they have come to be over time. We acknowledge that this group is coming together from across the many nations, treaty lands, settlements, and unceded territories of what is currently known as Canada. We gather knowing that the stewardship the First Peoples brought to the land continues, and it guides us today. Although we are not together in the same location today, we look forward to engaging with you for our annual meeting. We will begin the formal portion of our meeting by voting on the matters included in the management proxy circular provided to all shareholders. You will vote to appoint the auditor, to elect the directors, and on the advisory resolution on CWB's approach to executive compensation. Following the conclusion of the formal business of the meeting, Chris Fowler, our President and Chief Executive Officer, will make a presentation, followed by a question and answer session. As this meeting is also being held virtually via live webcast, I would like to set out a few rules for the orderly conduct of the meeting. Questions on a motion can be submitted by any registered shareholder or duly appointed proxyholder using the instant messaging service of the Lumi virtual interface. Registered shareholders or duly appointed proxyholders can submit their questions now, and they will be addressed when the motion is tabled. There will be brief pauses throughout the meeting to allow for questions to be received. Questions will be forwarded to the chair and will be addressed if they relate to procedural matters or relate directly to the motions before the meeting. For the purposes of our meeting today, if you have already submitted your proxy prior to the meeting, your votes have already been counted. Please do not vote again. Registered shareholders and their duly appointed proxyholders who have registered with the scrutineer in person today and have not already voted have been provided with a three-part ballot listing the three resolutions being voted on by the common shareholders today. Once a resolution has been called for a vote, please complete the portion of the ballot corresponding to that resolution. Once we have voted on all three resolutions, the ballots will be collected, and the scrutineer will tabulate the results. If you are joining us virtually, once we open the polls, registered shareholders and duly appointed proxyholders can vote on each business item until the polls are closed following the presentation of the business items. When the polls open, you will receive a message on the Lumi virtual interface requesting you to register your votes. You will only have a certain amount of time to do so when the polls are open. If any unexpected glitches occur, our service providers for this platform at Lumi are very experienced at running this type of meeting and will help us out. Thank you for your patience. Also joining me today on the webcast are, from Edmonton, Alberta, Chris Fowler, our President and Chief Executive Officer, and David Parkatti, Vice President and Acting General Counsel and Corporate Secretary. I appoint Mr. Parkatti to act as Secretary of the meeting. In the event I am disconnected, Chris Fowler will continue the meeting as acting chair. I appoint Keith Claremont of Computershare Trust Company of Canada to act as Scrutineer for this meeting. I am advised by the scrutineer that at least 61,457,022 common shares, representing approximately 68.11% of all common shares of CWB, are represented by proxy at this meeting and that a quorum is present. Computershare Trust Company of Canada also advises that notice of this meeting has been given to the common shareholders in the proper manner. Accordingly, I declare this meeting of the common shareholders to be regularly called and properly constituted for the transaction of business. I would now ask Lumi to open the polls for voting. The polls are now open, and at this time, all registered shareholders and duly appointed proxyholders who have properly logged in with their control numbers or username and wish to vote will be able to see on the screen all motions being brought forth at this meeting. Please register your votes by selecting the For, Withhold, or Against button next to each item to be voted on. The first item of formal business is the receipt of the financial statements of CWB for the year ended October 31, 2021, together with the report of the auditors, which are included in our annual report. The annual report has been provided to registered shareholders and is available electronically on CWB's website. We also have provided a copy of the annual report under the document icon on the Lumi platform. I confirm that CWB's financial statements for the year ended October 31, 2021, and the auditor's report have been received. The next item of formal business is the appointment of auditor. I would ask Mr. Parkatti for the motion to appoint the auditor for the coming year. I, David Parkatti, move that the firm KPMG LLP be appointed as the auditor of CWB until the end of the next annual meeting of the shareholders of CWB. I, Tracy Bond, second the motion. Thank you, David, and thank you, Tracy. Are there any questions? There are no questions at this time. Thank you, Chris. I now call for a vote on the motion before the meeting. Would all voting shareholders please enter your votes in Lumi or mark your physical ballot if you have not already voted. The next formal item of business is the election of Directors. Before we get to the election of Directors, I would like to take this opportunity to recognize and thank Sandy Riley as he retires after 11 years of service as a Director of CWB. Sandy joined the Board of Directors in 2011 and has made invaluable contributions to CWB over the years. His thoughtful contributions will be missed. Thank you, Sandy. We wish you all the very best in your next chapter. I would now ask Mr. Parkatti for the nomination of the 11 individuals proposed for election in the management proxy circular provided to CWB's common shareholders. I, David Parkatti, nominate Andrew Bibby, Marie Delorme, Maria Filippelli, Christopher Fowler, Linda Hohol, Robert Manning, Gay Mitchell, Sarah Morgan-Silvester, Margaret Mulligan, Irfhan Rawji, and Ian Reid to serve as directors of CWB until the end of the next annual meeting of shareholders of CWB. I, Tracy Bond, second the nomination. Thank you, David, and thank you, Tracy. The scrutineer has advised me prior to this meeting that the number of votes represented by the management proxy to be cast in favor of the individuals listed in the management proxy circular sent to shareholders is greater than the number of votes which can be cast for an alternative nominee today. Are there any questions? There are no questions at this time. Thank you. I will now call for a vote on the motion before the meeting. Would all voting shareholders please enter your votes in Lumi or mark your physical ballot if you have not already voted. Our last item of formal business is the advisory vote on executive compensation. I would ask Mr. Parkatti for a motion to vote on the advisory resolution on CWB's approach to executive compensation. I, David Parkatti, move that on an advisory basis and not to diminish the role and responsibilities of the board of directors, that the shareholders accept the approach to executive compensation disclosed in CWB's management proxy circular, delivered in advance of the 2022 annual meeting of common shareholders. I, Tracy Bond, second the motion. Thank you, David, and thank you, Tracy. Are there any questions? There are no questions at this time. Thank you. I will now call for a vote on the motion before the meeting. Would all voting shareholders please enter your votes in Lumi or mark your physical ballot if you have not already voted. We'll just give our registered shareholders and duly appointed proxy holders about 30 more seconds to complete their ballots. Once the electronic balloting closes, the voting page will disappear, and your votes will automatically be submitted. If you are voting by physical ballot, please print your name clearly in the space provided at the bottom of your ballot and sign your ballot. Once you have completed your ballot, please raise it in the air so that it may be collected by the scrutineer. Lumi, please close the polls. I have been advised by the scrutineer that the ballots and proxies deposited for the meeting have been tabulated, and that the results of the voting are as follows. The resolution appointing KPMG LLP as auditor of CWB has passed. The 11 director nominees have each been duly elected to serve as directors of CWB until the next meeting of common shareholders. The advisory resolution on CWB's approach to executive compensation has passed. A detailed report showing how votes were cast on each resolution will be available on SEDAR. There being no further business for this meeting, I declare the formal common shareholders meeting terminated. I now invite Chris Fowler, our President and Chief Executive Officer, to speak to our fiscal 2021 performance and show a video that highlights our strategic activities. Thank you, Bob. Good afternoon. Thank you for joining us today. Every year, I look forward to our annual meeting to connect with our clients, our people, and our investors to express my gratitude for your commitment to CWB, and to look ahead at our promising future. Our 2021 financial performance once again reflects the progress our team has made to create momentum and advance our transformation strategy. We appreciate the tremendous dedication and commitment of our people to help our clients achieve their financial goals. Despite the challenging operating environment that persisted in 2021, we achieved very strong financial performance and executed on our differentiated strategy. We delivered 10% growth in annual pre-tax, pre-provision income. Our revenue surpassed CAD 1 billion for the first time. This level of performance reflects the multi-year improvements we've made to strengthen our balance sheet. We supported annual net interest margin improvement despite the persistent low interest rate environment. In addition, we've continued to grow our boutique wealth management offering and provide to business owners and their families, which drove strong growth in non-interest income and improved the diversity of our revenue mix. Our focus to expand full service relationships with existing and new clients supported a 16% increase in branch-raised deposits compared to last year. Branch-raised deposits now represent 59% of our total funding, up from 56% last year and 50% two years ago. Our efforts to grow and diversify our funding sources, including a very strong year in the debt capital markets, drove a reduction in the outstanding balance of broker deposits, which now represents less than 20% of our total funding. Our brand of proactive, personalized, and specialized service clearly resonates with clients, and our team's relentless client-centric focus also results in strong growth of loans, with Ontario accounting for approximately 26% of our total loan growth. We've prudently delivered 12% growth in our general commercial portfolio, including 16% growth in Ontario. I'm very pleased with these results because the general commercial category provides us with significant opportunities to grow full service relationships with our business owner clients. Our expanded footprint in Ontario supports continued diversification of our business. Our strong core operating performance and record revenues drove a 10% annual increase in pre-tax, pre-provision income. The secured nature of our lending portfolio, disciplined underwriting practices, and proactive loan management once again were reflected in our strong credit quality. We finished the year with impaired loans and payment delinquencies below pre-COVID-19 levels, and with annual write-offs as a percentage of average loans below our five-year average. An improved macroeconomic outlook and strong borrower credit performance drove a significant reduction in performing loan provision for credit losses. Our strong operating and credit performance drove a 32% increase in full-year net income available to common shareholders. Building off the strong momentum from our annual results, we delivered first quarter 2022 pre-tax, pre-provision income growth of 12% from the previous quarter. Our teams also continue to leverage our expanded product offering and digital capabilities to grow full service client relationships with another strong quarter of growth in branch-raised deposits. I'm very proud of our very strong financial performance that reflects the momentum our teams have built. We also continue to advance our approach to sustainability, which focuses on the environmental, social, and governance factors that are most important to our internal and external stakeholders. We recently published our inaugural sustainability report, which provides further information on the progress of our sustainability journey. I hope you enjoy the following video that highlights the many achievements our teams delivered as we made significant progress toward our goal to become the best full service bank for business owners in Canada. At CWB, our winning strategy is uniquely focused on business owners. Our clients choose us for our proactive, personalized service and specialized advice. With the strategic investments we've made in our capabilities and teams, we're now a stronger full service bank. We're building on our momentum as even more business owners choose CWB for the unrivaled client experience we deliver. Our people are a core competitive strength, and we're committed to be a career destination for top talent. I'm very pleased that our unwavering commitment to advance our people-first culture was recognized as one of the 50 best workplaces in Canada again this year by Great Place to Work Canada. The last few years have fundamentally changed us as individuals and as an organization in ways we never imagined. To solidify our employer brand and allow us to continue to attract top talent, we're redefining the future of work at CWB. We believe that we're better together, and as we return to the workplace, we're supporting and engaging our employees so they can embrace the challenges and the opportunities of a truly flexible and hybrid work environment. To position CWB as a growing force in our core markets, we recently announced several new locations, including expanding our growing banking center footprint in Ontario and finalizing plans to transition to a new corporate head office location in downtown Edmonton's Ice District in 2026. These are modern and exciting spaces designed to offer the flexibility, collaboration, and preferred work styles our high-performing teams are asking for. We're proud to call Edmonton home and be part of its vibrant business community. Our focus on developing our inclusive and diverse culture is steadfast. I'm proud of the employment experience and career development programs for Indigenous persons and persons with disabilities that we launched. It's exciting to see our strong inclusive culture strengthened by several new employee-represented groups. These ERGs enhance community and culture in our workplace by providing support, creating belonging, and driving action-oriented personal growth for our employees and leaders. We're seeing the successes of each ERG shared broadly, and together, they help to accelerate our high-performance culture. CWB's unique strategic focus and commitment to our clients resonates with business owners and has contributed to strengthening our strong brand and client satisfaction scores. Enhanced capabilities created from our commitment to invest in the transformative strategy support ongoing growth in our largest full-service opportunity, general commercial loans. This category represents a broad section of the Canadian economy that is underserved, and our focus to create unrivaled client experiences is yielding strong results. On average, over the last five years, we've grown general commercial loans by 14% annually and have increased our branch-raised deposits by 11% annually and diversified our other sources of funding. We're also seeing the benefits of our strategic investment in our wealth management capabilities through positive feedback from our clients on our enhanced offering. These results all reflect our momentum. We're growing our brand and market share in Ontario, thanks to the contributions from our business lines. On average, over the last five years, we've increased loans in Ontario by 18% annually. Our Mississauga banking center has significantly exceeded expectations with our new clients saying it feels very different dealing with CWB, noting our specialized, proactive, and personal touch. Our performance in the GTA provides clear evidence that Ontario business owners are ready for a clear alternative to the big banks. We're ready to be that choice. We're excited to open our Markham location opening in 2022 and a new banking center in Toronto's financial district in 2023 to consolidate our Toronto wealth management and downtown banking teams into one location. In combination with our targeted physical expansion, our investment in digital channels will enhance our full-service client experience and support our strong growth momentum within and outside our banking center footprint while further broadening our access to stable, lower-cost funding. Our digital program will complement our high-touch, personalized service and specialized expertise that our clients value with full digital access. We will launch our digital banking platform later in 2022 for personal, small business, and commercial clients, including integration with the Virtual COO solution. An initial rollout of our Virtual COO solution is currently underway, and once it's fully launched later this year, it will provide clients with real-time access to cash flow information and their business health score, better cash flow analytics with simulations, and customized and actionable data-driven insights. We're making good progress to advance our AIRB transition program, including incorporating changes to adopt the revised capital guideline revisions that were recently published by OSFI and complete the implementation of enhancements to our tools and models that we believe will drive a more effective and efficient result for us upon approval. We believe that approval will make us more competitive, support higher growth, achieve further diversification with an enhanced view of risk, and provide a boost to our regulatory capital ratios. Transition to AIRB will enable us to realize our full potential across Canada and deliver increased value for all our stakeholders. CWB is positioned for an exciting future. Continued strong growth of our franchise will be supported by the combination of our investments in digital capabilities, expansion in Ontario, our focus on delivering a lower-cost funding model, and the transition from a standardized bank to a model-enabled AIRB bank. We're creating an enhanced client experience across Canada, and I'm very confident in our ability to achieve our full potential. The day we filmed this video was the two-year anniversary of the beginning of the pandemic. While it has been easy to lose track of time over the last two years, this anniversary was a strong reminder of just how long our teams have been working in a challenging environment. To our team members listening, I'm grateful for all of you, your extra efforts to continue to go above and beyond every day to deliver an unrivaled client experience and make progress on our strategic initiatives. Our people are truly our greatest strength. It's with mixed emotions to note Glen Eastwood's incredibly well-earned retirement at the end of March. Glen most recently served as our Executive Vice President, Business Transformation, and his leadership influence was woven into the fabric of CWB's story. Over the past 21 years, Glen has held numerous significant banking center leadership roles in B.C. and Prairies, including as our Senior Vice President and Regional General Manager for the Prairie region. He's been an instrumental member of CWB's Executive Committee since 2016 and will be greatly missed. As with any change, we carefully reviewed our business needs in the future and have chosen to reposition the structure of our Executive Committee to accelerate progress for key elements of our ambitious strategic agenda. I'd like to welcome three internal promotions who will be members of the Executive Team. John Steeves was promoted to Executive Vice President, Banking. Jeff Wright was promoted to Group Head, Client Solutions and Specialty Businesses, and Azfar Karimuddin was promoted to Chief Information Officer. These new members will join our existing executive team members, Kelly Blackett, Stephen Murphy, Matt Rudd, Carolina Parra, Darrell Jones, and Carolyn Graham. This executive team is ready to accelerate progress of our ambitious strategic agenda to seize the significant opportunities that lay ahead for CWB. To my fellow shareholders, I want to thank you for your confidence and commitment to CWB. We are well-positioned in Canadian financial services to deliver profitable long-term growth and provide attractive, sustainable returns. I'd like now to hand the call back over to Bob. Thank you, Chris, and thank you for both your presentation and that great video. At this time, I invite our shareholders and duly appointed proxy holders to ask questions. If you are joining us in person, please use one of the standing microphones so that everyone in the room and on the web can hear your question. If you are attending virtually, you can ask a question by typing your question in the online platform provided by Lumi. The moderator will review and pose the question to Chris or to me as appropriate. I have no questions online. Any questions from the room? There are no questions from the room. Well, thank you, Chris. After 21 years as a director of your board, including six as your Chair, I am retiring this year. In my 21 years, I have enjoyed immensely my time on the board, and I very much look forward to watching CWB continue its journey under Sarah Morgan-Silvester's leadership. Your board will benefit from Sarah's conscientious leadership, strong business acumen, and wealth of knowledge and experience in financial services. She has played a critical role in oversight of the development of CWB's risk framework as the inaugural Chair of our risk committee, and she always brings a thoughtful, strategic perspective to the table. Our new Chair, Sarah, will say a few words and then conclude our meeting today. Thank you, Bob. I am honored to take on this role at such an incredible time for CWB. Bob, you have left an indelible mark on CWB. Our strong, differentiated business model, focus to deliver an unrivaled client experience, and continued growth in Ontario all position us well to offer sustainable value for our stakeholders. You have provided an extraordinary perspective and guidance throughout your tenure as a board member. Your demonstrated understanding of our business, combined with your ability to hear and balance opinions and effectively manage relationships, has been integral to the effective functioning of our board. Your energy and devotion have been invaluable, and we wish to express our utmost gratitude to you for the leadership you have provided. I too would like to take this opportunity to acknowledge and thank Sandy Riley as he retires. Sandy, your broad experience, vision, and particular expertise in wealth management have been vital in advancing CWB's strategic direction. Your strong business acumen and thoughtful contributions have enhanced our board discussions, and we are grateful for your years of dedicated service. Finally, I would like to thank my fellow directors. I appreciate your confidence and look forward to continuing to work with you and our talented management team to further CWB's strategic priorities and build on the achievements realized under Bob's exceptional leadership. Those thank you bring our meeting to a close. I look forward to talking with you at next year's annual meeting. On behalf of CWB, thank you for joining the meeting today.
