Please go ahead, sir. Good morning, ladies and gentlemen. Welcome to the annual general meeting of the shareholders of Quisitive Technology Solutions Inc. I'm Mike Reinhart, Chairman, CEO, and a Director of the company. We have 4 items of business to conduct today. 1. to appoint KPMG LLP Chartered Professional Accountants as the auditors of the company for the ensuing year and to authorize the directors to fix their remuneration. 2. to fix the number of the directors of the company at 5. 3. to elect the directors of the company, and 4. to approve the company's revised stock and incentive plan. Once the formal business of the meeting has been completed, there will be a brief company update and an opportunity to ask questions. I will now call the meeting to order. In accordance with the bylaws of the company, I shall preside as chairman of this meeting. I shall ask Scott Meriwether, CFO, and corporate secretary of the company, to act as secretary of the meeting. I shall ask Deanna Hintersteininger of Computershare Trust Company of Canada to act as scrutineer for the meeting. The secretary has advised me that the notice of the meeting, together with a form of proxy, management information circular, and request form, have been provided to, as applicable, each director of the company, the auditors of the company, and provided to each shareholder of the company of record on May 25th, 2022, the record date for the meeting. An affidavit of mailing has been provided by Computershare to the company. I direct that the affidavit be annexed to the meeting minutes. Accordingly, I will dispense with the reading of the notice of meeting. The scrutineer has provided me with the preliminary report regarding shareholder attendance and representation at this meeting. The scrutineer reports that there are present at this meeting in person or by proxy, 203 shareholders holding 131,927,671 common shares. I declare that the requisite quorum of the shareholders is present, and I declare that the meeting is duly and properly constituted for the transaction of business. I direct that the scrutineer's complete report on attendance be annexed to the minutes of the meeting. Before we commence the formal business of the meeting, I would like to provide some opening remarks. The world has continued to face an interesting challenge with respect to COVID-19 pandemic. We have scheduled our annual general meeting to this virtual platform as precaution in order to limit the potential spread of the virus. We thank you for your understanding and for dialing in today. We respectfully ask for your patience as we move through this meeting in this virtual format. While this year's meeting will comply with applicable legislation, our rules of conduct will differ from an in-person meeting. Firstly, each attendee today is being asked to provide their full name prior to joining the platform, and these details have been conveyed to Computershare for the purposes of registration and record-keeping in order to enable them to prepare their scrutineer's report for this meeting. Before we begin, I'd like to set out some additional rules for orderly conduct of the meeting. Any registered shareholders and valid proxy holders present who have either not already voted or who wish to revoke a previously cast vote in order to recast their vote at this meeting today will be able to complete this process when they speak with Computershare. Registered shareholders and valid proxy holders in attendance can do this by pressing star one at the time of voting on matters. Computershare will cross-reference your name against the registered shareholder list. If it turns out that you are not on the list, you will not have standing as a registered shareholder at the meeting. In addition, since voting in this platform cannot be done by show of hands, we are doing a poll for each motion and asking that registered shareholders and proxy holders log their vote in advance for all motions and agenda items when you speak with our Computershare representative. All polling results will be retained with Quisitive's records for this meeting. Voting on all matters will be conducted by telephone. Registered shareholders and duly appointed proxy holders will be asked to vote on each business item. If you have already voted by proxy, it's important that you not vote again here at this meeting unless you intend to change your initial vote. Questions in respect of a motion can be submitted by any registered shareholder or duly appointed proxy holder by pressing star one. When asking the question, please indicate your name, which entity you represent, if any, and confirm that you're a registered shareholder or duly appointed proxy holder. Given the virtual format of the meeting, we would encourage registered shareholders and duly appointed proxy holders who have specific questions on an item of business to be discussed at today's meeting to submit your questions now. Questions will be addressed during the question period at the end of the meeting, provided that any questions regarding procedural matters or directly related to the motions before the meeting will be addressed during the meeting. All other questions will be addressed during the questions and answer period at the conclusion of the formal part of the meeting. Due to the virtual nature of this meeting, voting results will be provided at the completion of this meeting in order to limit the wait time for tabulating the results of votes provided. I now place before the meeting the company's audited, consolidated financial statements for the fiscal period ended December 31st, 2021, together with the auditor's report thereon. These financial statements were mailed to each shareholder who requested a copy and were filed on SEDAR. Accordingly, I will dispense with the reading of the financial statements and auditor's report. We will now proceed with the appointment of the auditors of the company. Management has recommended that KPMG LLP, Chartered Professional Accountants, be appointed as auditors of the company to hold office until the close of the next annual meeting of shareholders or until their successors are appointed, at such remuneration as may be fixed by the directors, and the directors be, and they are hereby authorized to fix such remuneration. Computershare has advised me that the shareholders vote in favor of this motion. Accordingly, the motion is carried. I declare that the resolution appointing the auditors of the company at the ensuing year and authorizing directors to fix their remuneration has been carried. Our next item of business is fixing the number of directors at 5. Computershare has advised me that the shareholder vote is in favor of this motion. Accordingly, the motion is carried. Our next item of business is the election of the directors of the company. Management nominates the following persons as specified in the management information circular delivered with the notice of meeting, namely Mike Reinhart, Laurie Goldberg, Dave Guebert, Philip Sorgen, and Amy Brandt, to be elected to serve as directors of the company to hold office until the next annual meeting of shareholders or until their successors are duly elected or appointed in accordance with the articles and bylaws of the company. Computershare has advised me that the shareholders vote is in favor of this motion. Accordingly, the motion is carried, and Mike Reinhart, Laurie Goldberg, Dave Guebert, Philip Sorgen, and Amy Brandt have been elected as directors of the company to hold office until the close of the next annual meeting of the shareholders or until their successors are duly elected or appointed. We will now proceed with the ordinary resolution approving the company's new rolling equity incentive plan as described on page 17 of the management information circular under the heading Summary of 2022 Equity Incentive Plan. This resolution is an ordinary resolution that requires the approval of at least a majority of the votes cast thereon by the disinterested shareholders in person or by proxy at the meeting. The board of directors of the company recommends the shareholders vote in favor of this resolution and believes that the passing of this resolution is in the best interest of the company. Computershare has advised me that the shareholders vote is in favor of this motion. Accordingly, the motion is carried, approving the company's new equity incentive plan. I hereby declare the meeting is adjourned. I will now provide a brief company update prior to opening the call to questions. I want to just share a little bit, 2021 was a super successful year for the company. As we had shared in previous communications, revenue was up over 94% to nearly CAD 197 million. Gross profit up 81% to right about CAD 36.5 million. Adjusted EBITDA up 78% to CAD 14.7 million. Our Global Payments revenue grew 66.2% to CAD 26.7 million. We had strong cloud solutions organic growth of 19%. Certainly other key things that we shared throughout the year and are proud of looking back on 2021. The important bank sponsorship that we received mid-year last year with The Bancorp for our LedgerPay platform. The announcement of our ISO certifications for both information security and business continuity, which are prerequisites to be able to advance the platform. Further achieving PCI DSS certification of level 1, which again, extraordinarily comprehensive certification for security protocols and information security in the context of payments. We also completed 3 acquisitions, the Mazik Global acquisition in April, BankCard, the payments processing and merchant services business that we acquired in May. Then the Catapult Systems acquisition that we completed in November of last year. We were also named last year as the Microsoft Global Healthcare Partner of the Year. Since the new year, some preliminary 2022 highlights as we progress. As we reported, Q1 revenue was up over 256% of just under CAD 50 million. Our gross profits were up 317% to CAD 13 million for the quarter. Adjusted EBITDA up 450% to CAD 6.4 million in the quarter. Cloud solutions revenue was up 175%. The Global Payments revenue, which reached CAD 11.2 million, and our processing volume on the payment side was over CAD 1 billion. Really, again, great start to the year. Some other key accomplishments. We graduated to the OTCQX marketed here in the U.S. Appointed Jana Schmidt to a newly created position of President of our Global Payments to bring leadership to that business as we drive and grow. Appointed Scott Meriwether as our Chief Financial Officer and Corporate Secretary, bringing strong payments expertise as well as public market expertise, including NASDAQ public listing as we advance the company. Of course, some really important things that have happened around our platform with LedgerPay. In fact, achieving Mastercard certification to process both credit and debit. Just recently announcing the Visa certification to process credit and debit payments and being able to bring that together. As just announced yesterday, Quisitive was once again named a finalist for the Global Microsoft Healthcare Partner of the Year Award. The business as we sit here today, about $180 million U.S. run rate business with nearly 50% of our revenues in a recurring or transaction-based revenue stream. Really strong footprint across the globe of over 800 team members now in 17 different resource hubs, obviously with a heavy concentration in the U.S., but global reach, being able to leverage our offshore and nearshore capabilities in India, Pakistan, and in South America. On the cloud solutions side, we continue to see very strong demand in IT services. The business had a strong quarter. We see the momentum continuing in Q2 and pipeline continue to develop. As we've talked about in our last earnings update, the IT services demand continues to be there, companies making investments in their digital transformation journey and really helping leverage Microsoft's cloud platforms as a key enabler to make that happen, and our unique position with Microsoft enabling us to really build and grow. We continue our very rapid integration of acquisitions, including Catapult, where we've fully integrated the teams under a common organization model. We're making final steps to bring all of the brands and identity of the companies all under the Quisitive brand. We'll be doing that here in the next few months. Also back office systems around our ERP and financial systems, project operation systems. We have activities going on to bring those under a common platform to streamline operations and really enable our ability to execute and deliver for our customers. On the payment side, we outlined some key objectives for the year. As we talked about in Q1, securing the Mastercard certification we've done. We also secured Canadian bank sponsorship for payments with Peoples Trust Company. We, in Q2, had outlined the intent to continue our network certifications and have achieved that with Visa. American Express and Discover are in flight and progressing as we speak. We're working on our first pilot customer to be moved over, expecting that to occur here in Q3 as we've gotten Visa on board. We're doing all the planning work for BankCard customer migration of the existing BankCard customers. We'll be starting that process in Q3 as well. Also have some really good conversations going on with retailers around our payments intelligence data insights platform and doing some proof of concept work to begin that process as we had outlined, and really looking to begin to activate that platform here in Q3, building momentum through Q4, and really being in a position for that part of our business around payments and the LedgerPay platform to really come to life as we move throughout 2023. Just a quick update on the company.
