Good evening, everybody, and welcome to 2021 full year results presentation of Mediaset España. This is Mario Salcedo, Head of Investor Relations. As you say, we have schedule for today a presentation hosted by Massimo Musolino, General Operations Manager. After this presentation, there will be a Q&A session where Massimo, Paolo Vasile, España General Manager, and Javier Uría, Company CFO, will answer all your question. Massimo, you have the floor. Good evening, all. Thank you for joining Mediaset España 2021 full year result presentation. First of all, I will go over the main figures and events of the year, then you can ask any questions in the Q&A session at the end of the presentation. Let's start on slide number two with our traditional quick review of the year main figures. As you know, one of Mediaset España target is to maintain the audience share leadership position in the Spanish market. On the top right-hand side of the slide, you can see that our 24-hour total individual audience share reached 28.2%, achieving once again the highest TV audience share in the Spanish sector, almost one-point gap with the second player. This is the 11th year in a row in the leadership position. On top of this total audience share performance, our commercial target is also seeing a remarkable evolution. We will go into more detail on this point later on. Following the figures reported by InfoAdex, the total TV advertising market bounced back by 8.3% in the year, with Mediaset España reaching a leading market share of 43.2%. We are clear leaders with a gap of 2.8 percentage points compared to the second players. If you look at the total Spanish audiovisual market, Mediaset España market share, including social networks, was 24.4% in 2021. Moving onto financials, on the left-hand side of the page, total net revenue in the year grew by 4.7% to EUR 876.3 million. Advertising revenues have grown in high single digits, in line with the market. Operating costs amounted to EUR 633.4 million. The 8.5% increase cannot be considered as a comparable figure, as the pandemic and the lockdowns in 2020 prevented our regular activity, which was suspended for many months. EBITDA for the year amounted to EUR 243 million, a 27.7% margin on total net revenues. Finally, net profit for the year increased by 1.3% to EUR 181 million due to the positive contribution of financial income and driven by the ProSiebenSat.1 dividend. 2021 has been a complicated year, but we have finished it maintaining one of the highest margins in the sector. The small difference with the previous year is exclusively down to the fact that 2020 was an exceptional year, when we spent much less than normal. We relied on our content library and also to the exceptional sales of serialized products to third parties. I say that 2021 has been complicated because the virus has had several peaks that have affected the advertising market and the production and distribution activity. In addition to this, the lack of supplies has had an impact on many sectors that are very important for our commercial activity. Even in this setting, we have obtained some very strong results. Just consider that in the two years of COVID, we have achieved an accumulated EBITDA of EUR 496 million and EUR 360 million in net profit. On slide number three, you can see how the company worked very hard to monetize our audience share throughout 2021. First, let me remind you that commercial target includes those individuals from 16 years old- 59 years old that live in areas with a population of more than 10,000 inhabitants and belong to all but the lowest socioeconomic index. Commercial target is the most valued part of the audience, and therefore advertisers are willing to pay higher prices for it. The graph on the left-hand side of the slide shows how our commercial target improved in the year, thanks to the balanced programming grid directed towards the most valuable segments. The key point to look at here is the evolution of the conversion rate from audience share to commercial target. Although the audience share in terms of total individual was leveling off, the positive conversion maintained its accelerated trend, and it has consistently been above 2 points. We are actively managing our content in order to maximize this conversion, which is a key element for increasing prices. As a result, the average conversion ratio in the year was a positive 2.4 percentage points for Mediaset España, while Atresmedia had an average of minus 0.1%. The graph on slide four illustrates the evolution of our group channel positioning compared to our competitors during the year. The graph is based on figures from Kantar Media from the years 2020 and 2021. On the horizontal axis, there is a line with the age, while the vertical axis represents the viewers affinity. Affinity is the capacity to convert audience into commercial target, individual audience into commercial target. As we said before, commercial target is important because it allows us to be more valuable for our advertisers. It allows us to increase prices and be more profitable. Now, looking at the graph, you can see that there are two clear trends in the market. Our competitors are going down, while at the same time, Mediaset España is moving up. In the past, TV targeted the older and less commercial audiences, while Mediaset España and Atresmedia competed for the younger audiences and more commercial target. We have reinforced our content proposal for younger audiences in order to capture a larger share in this highly prized segment, while Atresmedia is now targeting older audiences with less commercial target, which has always been TV's territory. As a result, we are confident that we are on track to offer advertisers a high-value proposal. This strategy is very relevant for today's sector because in our view, it's the best way to defend commercial linear TV against new platform. If you want to engage younger people who are the group that's more inclined to go to other platform, we must put our proposal on the left side of the graph. In the chart on the right, you can see Mediaset España commercial target in 2021 was 30.6%, which is 3.4 percentage point better than our main competitors. Looking at the total individual audience figure by age group, there is a clear leadership position in the target, 4 years old-54 years old, while Atresmedia is leading the over 55s group. The audience gap in the 4 years old-24 years old group reached an outstanding 11.8 percentage points, while in the 25 years old-54 years old group, it was 4.5 percentage points. The positioning among the most valuable viewer segment allows us to increase prices compared to last year, not just because the market condition have improved, but also because our proposal is more valuable in relative terms. Now on slide five, there are a couple of graphs which demonstrate the quarterly evolution of both the TV and digital market throughout the year. On the left side, there is a visual explanation of the TV advertising market in 2021. The first half of the year was affected by the pandemic in the comparison base, and we can therefore consider the first half of 2021 as a comparable period. On the other hand, the second half was what we consider a temporary effect due to the auto sector crisis, which brought a weaker than expected market evolution after the summer period. Regarding the digital advertising market, if you use as a reference the business where we have operation, search engine excluded, 2021 posted an increase of 18.6%. Mediaset España outperformed the market with an increase in the digital advertising of 44.3% growth. Moving now on slide six, we can see our TV advertising performance in the year. As InfoAdex reported, Mediaset España TV advertising revenue amounted to EUR 767 million, reinforcing the leadership position in TV advertising market with an amount of EUR 49 million or 6.8% more than our main competitors in terms of TV advertising revenues. As you can see on the right side of the slide, our TV advertising market share has been stable year after year, and we have improved our audience share in the high available segments. The gap with Atresmedia amounted to 0.8 percentage points, with Mediaset España reaching a total period advertising market share of 43.2%. In the table on the left side of the slide, you can see how the price evolution in the year saw an increase of 4.3%. This positive conversion ratio allowing us to increase our prices as the only way to offset the TV consumption decline that free-to-air operators are suffering during the last year. The aforementioned 4.3% increase in prices posted in 2021, Mediaset España reached the second year in a row with a better price index than our competitor. It's our aim to maintain the current strategy as a way of improving the monetization of our audience share and increasing our profitability. We have a clear ambition for some specific period of the year 2022, which is to double the 4.3% price increase achieved in 2021. In conclusion, the above points all suggest that the market is on the road to recovery. On slide seven, I want to highlight the successful digital performance in 2021. It was a year in which the pillar for the future development of the HbbTV operations were established. From a technological point of view, we improved our tools such as the incorporation of ad impact and ad sponsor. These new elements will allow us to enhance our offer to our customers, thanks to a better targeting, presentation and management of the campaigns. We received an award of the International HbbTV Awards 2021, validating our strategy. In 2021, we began commercializing campaigns under the HbbTV format and generating our first revenues, which at the moment are not material but look promising for the future. Digital revenues for the year, which include advertising revenues, subscription fee of Mitele Plus and other digital revenues, amounted to EUR 67.8 million. This represented a 61.6% increase compared to 2019. In this sense, Mediaset España was the leader among Spanish media players in terms of video consumption and reached a record 19.4 million unique users. Mitele was the most viewed television platform of the year with 2.9 million unique users. Digital web, ElDesmarque and News also achieved the highest ever number of unique users, both obtaining 4.8 million unique users. On slide eight, you can see how the company has been managing the cost base over the last few years. As I mentioned in previous call, it's quite evident that 2020 is not a valid reference because of the pandemic. The correct and homogeneous comparison should be made with 2019, which was a normalized year. The EUR 333.4 million that was recorded in 2021 clearly illustrates our active OpEx management in the long term. If you compare this figure with, for example, 2016, the last year we broadcast in EuroCup, our OpEx stands at EUR 170.4 million lower than then, or 50.6% less. Furthermore, if we compare the 2021 OpEx figures with the date of 2019, the fair comparison base, our costs remain lower even including the EuroCup cost in the calculation. At the end of the presentation, we will elaborate on this topic to bring some visibility on the expected cost evolution in 2022. On slide number nine, you have evolution of the free cash flow generation over the last year, which was not only high but also stable over time. At the end of last year, it stood at EUR 252 million. In term of free cash flow to EBITDA ratio, the percentages are also stable and close to 100% throughout the period, although in the last couple of years, this ratio has been higher than it should have been due to investment deficit in content as a result of the pandemic. We are talking about a time difference, which we expect will be corrected in the future quarters when the health situation normalizes and the lack of investment in content has recovered. In any case, in the two years of COVID, we have generated almost EUR 456 million of free cash flow. Nonetheless, in view of the amount of cash at our disposal, the Mediaset board of directors has resolved to propose to the general meeting the approval of a share buyback plan of up to EUR 150 million. We should not exceed the legal limit of the 10% of the company share capital. This plan recognizes that treasury stock is the best investment alternative at our disposal at the moment, and the right way to remunerate shareholders. On slide 10, there is a quick review of our main investment carried out in last few years. After the latest acquisition communicated in January 2021, Mediaset España is the largest shareholder of the German company ProSiebenSat.1, with 13.18% of the capital, which is close to 25% if you look at it from a Media for Europe level. As we have mentioned in previous call, the stake is a long-term investment of an industrial nature. It allows us to have an entry point in the largest European country, and thanks to the cash flow generation from previous years, it is financed mainly with equity. On top of the share price variation, we are expecting to have a positive impact in our profit and loss account via dividend received. On slide number 11, we would like to highlight some of our achievements and projects related to ESG throughout the year. Mediaset España has been named as one of the 23 Spanish companies in the Financial Times ranking of Europe Climate Leaders 2021, which is composed of 300 European companies that achieved the greatest reduction in the greenhouse gas emission intensity. We are the only Spanish media group with an AENOR COVID-19 certification because of our best practices and measures taken to protect our employees and operations during the pandemic. Health and safety is something that we take very seriously. These achievements are part of a long-term commitment in the international agenda to 2016, 2030 for sustainable international developments. Mediaset España assumes its own responsibility in this area, and as you can see below, there are several areas where our initiatives have a more evident impact for people and the environment. We try to push the best social value through our programming grid and content distribution based on gender equality, diversity, environment, and climate change and welfare management. In addition to our own involvement in daily activities, we also offer free advertising space to NGO to increase the visibility of their projects, and we also traditionally devote some space to social campaign. Our aim is to maintain or even increase our business awareness for having a better society employment condition for the employees with the minimum impact on the environment. Finally, on slide 12, before we move on to the Q&A session, let's quickly review what we expect for 2022. Our primary objective is profitability. In order to increase profitability, we will need to increase the revenues, and in a world where this consumption is declining, the only way to do this is by increasing our prices. In order to increase prices, we have to improve the quality of our audiences, and in this context, we focus on commercial target. In terms of audience, after achieving the audience leadership objective again, we repeatedly started from 2022 with a particular attention to the commercial target. In order to improve our offer to advertiser and monetize and increase company profitability, we must focus on the commercial profile of our viewers and not just increasing, or better say, not only just increasing the number of viewers. Also, in terms of advertising market share, our expectation is to lead once again with price increases, thanks to the better audience profile mentioned before. In turn, although we never provide any guidance, I can share our thoughts on the auto sector recovery with you. It's true that there is no clear time, there is no clear timing right now, and depending on when in the year it happens, the TV advertising market evolution could be more positive. In terms of costs, we forecast a gradual return to the normal programming grid, with a stable evolution of TV programming costs versus 2021. On the other hand, an increase in costs related to cinema activities is expected. Difficult to quantify at the moment because the number of premiere releases expected for the year is between 1-5. It will depend on the market. We are also expecting an increase in digital costs due to the new projects we have planned. In any case, let me say that the cost increase linked to cinema and the digital activities will also be reflected on the revenue, on the revenue side. As we previously mentioned, we also expect to generate cash and accumulate financial resources and benefit from potential opportunities that may arise in our audiovisual world, where there is a lot simmering at the moment. Finally, we are going to propose to the next annual shareholders meeting, which is scheduled for April, a share buyback program, EUR 150 million, up to the legal limit of 10% of share capital. Mediaset España management team and the board believe that at the moment, the best way to remunerate our shareholder is to invest in our own business. Now, let's move on to the Q&A session. Please go ahead. Hello. Good afternoon. Thanks for taking my two questions. The first one, both questions are to some extent related. The first one is, considering your comments on the cost guidance, I would like to understand to what extent do you see chance to broadcast again a singular sport event in 2022, like the World Cup at the end of the year. And what could be the impact into your cost outlook. The second point is regarding your other revenue evolution. We have seen a I would say unexpected fall in 2021, as you have already been highlighting in previous calls. I would like just to understand when do you expect to come back or to recover this EUR 100 million capacity or level in other revenue, given that you are already having, let's say, the resources enough, in order to reach this volume of activity in other revenue? Thank you. In terms of cost, we forecast for 2021 a slightly lower TV programming cost structure and an increase in cost related to digital business and higher general distribution activity. In line with this, these two activities with the increase in the related revenues. We can distinguish three groups. TV business, it's true that in 2021, in 2022, we do not have EuroCup, but the return to the pre-COVID programming grid, together with the need to renew some of it, means that our forecasts are for a slightly lower cost structure, albeit with a more linear seasonal periodicity without the June and July peak that we have in 2021 for the EuroCup. Cinema business, after the COVID interruption, you know that during 2021, we released only two movies. Now, the idea is to return to a more normal situation. We have four or five films scheduled for this year, which will obviously increase revenue and associated cost. In the beginning of March, we release Malnazidos, the first of these movies. This will be a good test to evaluate the market and decide what to do in the other quarters of the year. We have some flexibility, of course, in premiere movies, but considering the COVID situation and the movie theater situation, we have to navigate by sight. In terms of web and digital business, something similar applies to digital business. This is an area where we have many projects for growth. Obviously, these are all new activities relating to new channels for Mitele Plus, the new editorial project for the web, the strong commitment we have to ad tech and the development of HbbTV, branded content. Our plans, we have more activities during the year that will entail more costs, but also more revenues. It's difficult at the moment to set a timetable, but it's clear that this will be the trend during the year. Therefore, summarizing, we expect an increase in our costs in line with increase in the other revenue line in digital revenue. How much will depend on the number of movies that we will premiere during the year and on the new digital process that we will run in 2022. Impossible at this stage to value it and quantify, but these are the main trends of our cost line for the year. As for the other income, well, you will have seen that in the year there has been a decline of close to EUR 27 million. This is the decline, which is basically twofold. One of them is the sale of rights. As you know, we had an exceptional year in 2020 because we had the library product that we could sell, but we did not keep on with the series production in 2020 and 2021. That's why there was a significant decline there. On the other front, we have a movie activity in which last year we only had two films. This year, as you know, Massimo said right now, we're gonna have four or five. At the end of the day, we might say that from the EUR 107 million of two years ago to the EUR 79 million of last year, probably next year we're gonna see a recovery in the film activity if all the, you know, premieres go the way that we actually think and we expect. As for the sale of content, we still have to wait a little bit until we get to the normalized levels of 2020, because we have to build up that level of product that we have then, and with that, you know, pandemic we have not been able to build that in full. I will say that it's unlikely that in next year, in this year, we're gonna see the numbers of 2020 in terms of sale of rights, but it is a timing difference. As soon as things normalize and we can go on with the production, we will expect that we will get to those levels and even higher. It is a matter of time, and it has to do with the pandemic. About the sports events for the year, probably you are thinking about the World Cup, December World Cup. We participated In the past at the bid, we made our best offer and they didn't win. Now I imagine that if they are going to sell the World Cup, they want to gain some money. It looks to be much too expensive for us, the World Cup this year. Very clear. Many thanks, Massimo and Javier. Thank you for your question. The next question from Fernando Abril-Martorell from Alantra. Please go ahead. Hi. Thank you for taking my questions. I have three, if I may. First, is with regards to the free cash flow. You've posted over 100% EBITDA conversion this year, which is quite strong. As you said, you expect CapEx to pick up a bit in 2022. My question is whether you see EBITDA conversion in 2022. My second question is with regards to inflation. I don't know if you can comment on how current inflation trends could run into your revenues and OpEx, and at the end of the day, what could be the impact at the EBITDA level as of today. Last, with regards to your capital allocation. There, you know, this share buyback of EUR 150 million, you have more than EUR 250 million net cash, plus the cash generation of 2022. I don't know what implications could this have into your potential M&A strategy and on your potential dividends going into this year. Thank you. Okay. Fernando, on the first point, how you said that the free cash flow and the free cash flow conversion. It is true that this year we had a conversion of 103.7%. Like we have said before, this is an exceedingly high number. Why is that? Because of the pandemic, we have some slack investment in movies and in series, in fiction, especially movies, which we have not been able to complete because of the pandemic, because of the you know, restrictions and everything else. Just to give you a number to shed some light, we can think that we there could be up to EUR 40 million worth of commitments that we have and which have not been invested up to date. Whether or not we'll be able to recover this slack investment in 2022 basically depends on how quickly we go back to normal in terms of shooting films and the like. In any case, whether we do it this year or not, at the end of the day, you should remember there's some EUR 40 million of investment that we have to make, and this is something that it will come to the surface this year or in years to come. That's the key element. About costs in terms of the inflation, on the cost side, this impact is, we estimate that the impact is very limited. On the contractual side, we expect only an impact on the part of the personnel side and a few contracts. Nothing material, I think. The difference is the fact that it does complicate negotiation with our suppliers, because of course everybody is now trying to reflect in their prices the increase of the inflation. Our target is to be able to manage this issue in such a way that there are no material effects on our profit and loss accounts. Revenues, in volumes, of course, it has an impact in our pricing policy. As Massimo has said, in 2021, we have improved or grown our prices by almost 4%. In the last quarter was More than 5%, and now we can say that in February, our pricing are growing in the region of 88%. We expect to be above 10% as soon as possible. This is my answer to our inflation impact in our pricing policy. Regarding the capital allocation and the subject to the board that decide to propose a buyback plan, that doesn't change our interest for investment opportunities, both national and international, which could come our way. We believe more than ever that boosting such investment opportunity is a must if you want to make our business grow in today's fast changing market condition. Considering our high capability of generating cash flow and the current net cash position, we would like to think that we will be able to do both things. From one side, shareholder remuneration, from other side, growth project and looking at new opportunities. Okay. Thank you very much for the answers. May I have just a follow-up, please? Yes. We want Fernando to- Okay. Thank you very much. Just, you've mentioned your pricing policy for the beginning of the year and what you aim to get this 10% target. How is the market behaving in the very beginning of the year? Just if you can update on this front, please. Okay. I mean, the market. I mean, the question is not how the market is receiving this pricing policy. The question is that the TV in Spain is really cheap, then there is room to increase our pricing. Our pricing, of course, is not easy, and we are fighting. We are dealing with the market as best as we know. No, my question was compared to 2020, how was January and how is going February and any outlook on the TV market? Yeah. Okay. No, the pricing. Sorry. The market, I mean, the market is being positive in January and February. January was a difficult month because with the impact of the COVID was here in Spain, as you know, really tough, really hard. February, I think we expect that the market is growing above or in the region of 4%, because new clients are coming or are coming back to the TV again, and it's around 4%. If the situation, I think, will become more quasi-normal in Spain about the pandemic impact, we think that March is going to continue to grow absolutely at the same pace as in February, because we are confident with that. I think the TV is really now recovering positions that we had before pandemic, but of course, step by step. Okay. This is all without the autos, right? Because autos are still not there. Autos in February. In January, it was not really good, but in February, the autos, I think, has changed the trend and improving their investment. We have good news for the autos too for March. Of course, they are not going to reach the levels that we had in 2018. For us, the big impact of the autos investment will be after this week, after April, May and June. Okay. Thank you very much. Thank you. Thank you, Fernando. Next question, please. Thank you for your question. The next question from Richard Eary from UBS. Good evening, everyone. Thanks for the call. I just have a number of questions. Firstly, just to clarify on the buyback, I presume this is a non-market buyback, not a tender offer. That will happen after the approval at the AGM. The second question is that I presume with the announcement of the buyback, a dividend that hasn't been announced. I can't see anything in the press release. I just want to make sure that I haven't missed it, that you're doing a buyback and a dividend, or is it just a buyback? That's the second question. The third question is just on the ProSieben stake. You've outlined, obviously, 13.2%. How much of that is actually now underlying equity versus actually derivatives? So we actually understand where the positioning is. So those three questions, if possible, thanks. Okay. As for the share buyback, as you know, what we have today is the board's decision to take the issue with the general assembly, which will be held in April. That implies that the specifics of the buyback will have to be put on the table once the AGM you know decides to approve what has been proposed today. The only thing that we have today is a proposal. It has to be done in April, and then depending on the approval by the AGM. We will have more light and more clarity in terms of how the share buyback is gonna be implemented. On the second point, if I understood correctly, was the sort of balance of the alternative of dividends versus share buyback. As Massimo said in the presentation, the share buyback, we thought that it was a mix of two good things. The first one was just remuneration to the shareholders. We dispose of part of the cash that we have that is gonna go to the shareholders. The second is just a message that I think that we want to make our case loud and clear, in the sense that we think that at this point in time, investing in our own shares is about the best investment that we can have, you know, waiting for other opportunities, as Massimo said as well, that could come our way both, you know, nationally or, you know, or somewhere else in Europe. That's why the board decided to opt for a share buyback and not for a dividend. With regard to the preceding stake, as you know, there was a direct investment with some, you know, derivatives which were put in place to hedge the investment. In the course of 2021, we have been unwinding some of, you know, the derivatives so that we have a position now which is much more, you know, open in the sense that, because of course we're doing, you know, doing this. We have released the, you know, voting rights which were attached to the shares that we had to loan in order to have this hedge in place. With this, you know, reduction. We still have some derivatives, but of course the, you know, direct investment is higher now than it was last year. Also, the debt, as you have seen in our, you know, balances is lower now. With this more open kind of a position, we have both more voting rights and of course more access to the dividends of the company, which you know hopefully will be you know distributed this year as it has been the case in the past. Can I just ask a follow-up? Just of the 13.2%, can you be specific about what the derivative position is in that? Is it 3% out of the 13, as an example, or is it? Yes. We're almost there. I mean, what we have as, you know, derivatives, which in turn implies that no shares. We're very close. We right now have 13.2%, which is the stake that we have in the company, but I can tell you that, you know, we have an open position which is very close to that one. Without getting specific into the amount, that is very close now to that 13.2%. Okay. Thank you. Can I ask you another follow-up question just on the cash flow side? Obviously this year has benefited again from probably relatively lower levels of CapEx or content investment and obviously positive working capital. I presume that as we go into 2022 that positive working capital movement that we've seen in the last couple of years probably unwinds and we go back to a sort of normal position, you know, which is basically not a material, basically change. I presume that the content investments, I'm not sure whether they step back up to the 2019 levels, but I'm just trying to understand that. Yes. You have to bear in mind that both the working capital numbers of 2019 and, sorry, 2020 and 2021 are absolutely, you know, kind of one-off, you know. Very, very exceptional. They move in opposite directions. We have what was exceptional in 2020, and that's why we have a very negative number, you know, came back and, you know, reversed and it was very positive because of the reversal of such kind of very strange situations that we had in 2020. Both are just not normal, I would say. I hope and I expect that when we get to normalized levels and we don't have the pandemic and the impact of the pandemic, we will get the levels of 2019, 2018 and 2017. You know, normalized much less, you know, high or low as we have seen the last couple of years. Thank you. Maybe if I can steal one last question. Apologies for hogging the call. Just one, Richard, and please very quick. There are more people waiting for the presentation. Sorry. Just going back to the market outlook for this year, given your stance on basically doing aggressive price increases, obviously we've seen media buyers talk about +5% growth for this year with auto driving that rebound. Is that something that you are comfortable with as a TV ad market forecast for this year? What about the total year for 2022? Really, we don't know.
