Hello everybody. Thanks for joining us today for our full-year results presentation. I'm super happy today to have the opportunity to present these results with Aude for the first time, Aude Durand, that was just named Deputy CEO yesterday night. With Aude, we've been working together for almost five years, so I'm not going to say welcome, but I'm just going to say congratulations. You have been very instrumental on all the successes that we had in terms of transformation over the last few years, especially in terms of a better usage of data with a new data governance, in terms also of initiatives around AI within Scaleway. You're already in charge of the supervision of Scaleway, and I think that your nomination is a sign that we're going to move forward. Of course, we are very happy with the 2023 results, but we're not complacent at all. We consider that we still have a lot of work to do, and your nomination is an amazing sign for the evolution of our organization. Thank you very much, Thomas. I'm very happy to be here for the first time. Of course, I've been already working with the group for the last few years, and I will continue my work, especially on the data initiatives, but also improving our operations, continuing to work with all our marketing departments, and continuing to push our network teams to their maximum capacity. Thank you, Aude. I will start now the presentation, and Nicolas Didio, our Head of IR, will present you all the financial results. I will start with the commercial performance. We are the market leader in terms of market share gain, and clearly, we improved our growth momentum over the last quarters. A quick spotlight on France: we gained one million net adds, and we even post our best quarter in 10 years in terms of Freebox customers, and that's all before the launch of our game-changing new Freebox, the Freebox Ultra. In Italy, we are, for the sixth year in a row, number one in terms of net adds, with an additional 1.3 million new subscribers, and we have a very good momentum on our broadband activity, and I do expect that momentum will accelerate in 2024. In Poland, 500,000 more new customers. We are now clearly the number one B2C operator in the country, in front of Orange Polska, in front of T-Mobile, and the name of the game for us is to have more convergent customers, and we are at the beginning of a new cycle of investment in fiber in Poland. So the full credit must go to our old team for their exceptional work, and in total, we gained 2.7 million net adds in 2023, which means that we have now more than 48 million subs, and the new target is to reach 50 million subs as soon as possible. We are clearly the growth leader in Europe. We managed to deliver an 8% organic growth rate for revenues, the best in Europe, and we even see a big acceleration during the last quarter above 9%. Our economic performance is clear and well balanced. That growth, that amazing transformation over the last few years, is not coming at the expense of the profitability. The opposite, actually. EBITDA +4% in the context of strong inflation and operating free cash flow +23%. And the good news is that our leverage is down to 3x at iliad Group and 4x at the holding level, with a lot of liquidity, more than EUR 4 billion of liquidity in cash, cash equivalent, and available credit line, and the change of dimension of the group over the last few years didn't come at the expense of our financial position. Clearly, since 2021, when we took private the company, we managed to improve our balance sheet position. For your memory, when we took private the company, we were at more than 4.6x EBITDA at the holding level. We are now below 4x. The performance is also in terms of ESG. Strong performance in 2023. We made great progress with our Climate Strategy, first in terms of the fact that we decided to submit our carbon reduction trajectory to the SBTi, which is quite demanding. It's a scientific approach validated by the UN. Two, we invested in new renewable energy projects, and especially in Poland and in Italy, where the carbon intensity of electricity is quite high, and we took plenty of other initiatives. The name of the game for us is to cut our carbon emission by 50% by 2030 and by 90% by 2050, Scope 1, Scope 2, and of course, the most important one, Scope 3. So over the last few years, there has been clearly a change of dimension. We more than doubled the size of the company in terms of subs, in terms of revenues, in terms of employees. What is super important for us is to keep that iliad mindset, that iliad entrepreneurial mindset in a growing organization, and to still be a grounded management team that does care about the satisfaction of our customers. But what's important is to understand where this success, where this transformation comes from. It doesn't come from nowhere. It reflects the choices that we made when we defined our 2024 Odyssey in 2019 with three pillars that create, in my mind, a clear singularity differentiation sector compared to the rest of the industry. First, investment. Yes, we invest, on average, 25% of our revenues each year. Last year, it was 22%. We invested EUR 2 billion, especially in 5G and fiber in France, and we have the highest adoption rate of fiber among the four telecom operators. We are at the beginning of a new cycle in Poland with the creation of our FiberCo, and we want to cover more than 50% of Polish homes, and also the beginning of a new cycle with 5G spectrum allocated at the end of 2023 at a fair price. Clearly, we do care about the efficiency of our CapEx spending, and that's why we do not hesitate to get into mutualization agreements. We closed a very important one at the beginning of 2023 in Italy with Hutchison that is covering roughly 40% of the country. Second pillar, innovation. For example, the success of the launch of our Freebox Ultra. I really insist on the fact that we are, in my mind, the only telecom operator in Europe that designed internally our telecom equipment. Another very important innovation, the launch of our supercomputing power in AI. We have the largest computing power dedicated to AI in Europe, located in our Scaleway subsidiary, our cloud subsidiary, and with a great prospect in terms of growth. Finally, NPS. NPS is at the top in our three countries, improving NPS, and this is, for us, the most important KPI in 2023. We get a totally different approach in terms of customer care, for example, with our initiatives with Free Proxi, and we start to see very positive impacts in terms of churn reduction or in terms of additional net adds. So today, we are in eight European countries, from the south of Italy to the north of Sweden. Clearly, we keep on building a pan-European telecom group centered on connectivity, but also on AI, on cloud, and more and more on B2B activity. We are going to keep on building this European telecom group by diversification, but also, when it makes sense, external growth, but we will invest only when it makes sense. I'd like to come back on our M&A policy. At the end of the day, we have three criteria. The first one, it needs to make sense from an industrial perspective, which means create synergies between the countries. Two, we want to pay a fair price for the asset, and we do not want to jeopardize our balance sheet. Three, we have a tendency, or we prefer, to invest in assets where we have a common DNA, and I clearly see a common DNA between the Free brand, the iliad Italia brand, the Play brand, and the Tele2 brand. We took 20% of Tele2, 30% of the voting rights, and clearly, we have a lot in common with Tele2. Tele2 is a great asset. This is a challenger of the Swedish market, which is a strong number two, and also a strong position in the Baltics, and all in all, nine million customers, EUR 2.1 billion revenue. Finally, what is our ambition for 2024? First, we want to become the fifth largest European telecom operator in 2024, and two, we want to generate EUR 10 billion in revenues across France, Poland, and Italy, and we will achieve this only if we are true to our history, to our mindset, by being a group with a clear focus on investment, innovation, customer satisfaction, and I really insist with that entrepreneurial mindset, with that iliad mindset. To conclude, I'm not going to get too emotional, but I just want to mention my dear friend Nicolas Jaeger that passed away a few weeks ago. He loved to present the financial results of the company. We've been doing that exercise for the last 15 years, and I made a promise to keep on pronouncing his name with a big smile on my face, and so that's why I'm pronouncing his name today, and clearly, he was really instrumental in the good results of 2023. Thank you, Thomas, and good afternoon, everyone. As indicated by Thomas, starting with Slide 24, the group continues to be the European leader in terms of revenue growth: 10% on a reported basis, 8% on an organic pro forma basis, with an acceleration in Q4 at more than 9%. We benefited in 2023 of an appreciation of the Polish złoty against the euro by roughly 3%. Note that in the first quarter of 2024 so far, złoty has improved by 7%-8% against the euro over the same period last year. As you know, our three geographies are in a different phase in terms of maturity and market positions, but they share a common pattern: market share gains are to increase, improve customer satisfaction, and constant investments in networks, which are increasingly success-driven. Looking briefly at country performance for the full year and Q4, you will see Italy growing roughly 20% in Q4 and 14.5% for the year. Sequential improvement is partially coming from a non-recurring item, but without it, performance remains solid, and we see some traction in B2B and fiber. France is doing great: 8.7% for the year, and the best quarterly growth over the last nine years at 9.9% in Q4, basically the best performance since the launch of Free Mobile in 2012. All the segments contribute to this acceleration in France, as we benefit from market share gains across the board, and this is remarkable that this performance has been achieved without price increases. Poland has been growing 4% for the year on an organic pro forma basis, so with UPC Polska for 12 months in 2022 and at constant Forex, the growth in Q4 is slightly improved over Q3 at +3% thanks to rebound of equipment sales. If we move to Slide 25 now to the EBITDA performance, the group reported EBITDA grew 4.2% for the year and 2.1% on an organic pro forma basis. We see this 4% growth as a good performance in light of the inflationary headwinds we experienced in the three countries, especially on energy costs and the implementation of the FiberCo in Poland from April. France's EBITDA grew 4.6% in 2023, with the headwind from energy starting to reduce in H2. Taking into account the excellent commercial trends and the strong pipeline in terms of new offers across our brands, Free, Free Proxi, Scaleway, this is clearly a strong result. EBITDA in Poland was flat in euro terms, but down 8% on an organic pro forma basis. Poland has faced higher inflation headwinds than France and Italy this year on energy and staff costs, especially, and the implementation of the MSA on the FiberCo had a logical drag impact on the EBITDA for the first 12 months. The trends should improve from H2 this year. Excluding energy inflation and the impact of the FiberCo, EBITDA would have been growing by 3% in Poland. Italy's EBITDA improved by 17% year-on-year, despite lower contribution from build-to-supply program profits and an intensification of our efforts in B2B and fiber. If we move to Slide 26 on CapEx and operating free cash flow trends, group CapEx declined by 5.8% and 7.1% on an organic pro forma basis at EUR 2 billion. That's a CapEx intensity still at a high level, at 22% for the year. CapEx in France is slightly up at EUR 1.5 billion as we build Freebox inventories for the launch of the Freebox Ultra and for the strong demand for fiber from our B2C subscribers and new connections for the B2B clients. As mentioned by Thomas, we made a strategic investment in AI, a significant investment amounting to EUR 64 million in H2 2023 for the acquisition of a supercomputer. With our data centers and our cloud activities, we are convinced that the group has a card to play into the artificial intelligence market. In Italy, our CapEx was down by 36% as we front-loaded last year some 5G CapEx and finalized the JV with Wind Tre. In Poland, the CapEx was down 8% on an organic pro forma basis as we had less integration CapEx from UPC. A quick word on spectrum. This year, the total spend amounted to EUR 185 million, a much lower amount than last year at EUR 1.2 billion as we had the last payment of the 5G spectrum in Italy. We acquired in October, 100 MHz in the 5G C-band auction in Poland for a bit more than EUR 100 million. We paid around 40% of that amount in Q4, and the remaining part has been paid in January this year. On the right side of the slide, you can see the main moving part of our operating free cash flow. Logically, with higher EBITDA and lower CapEx, you have a growing operating free cash flow up 23% to EUR 1.4 billion or 19% on an organic pro forma basis, with the main contributors being France and Italy. Moving to Slide 27 on the usual free cash flow bridge, we already touched base on the group operating free cash flow, so let's look at rapidly the other items. Working capital outflow, excluding the one-off items from Bouygues Telecom, of EUR 143 million. That's a higher cash outflow than last year due to several items, notably strong activity on Free Flex in France, our handset offer enabling different payments, and some accounting impact on B2B flows previously accounted in flows from assets held for sale. Financial interest at EUR 436 million are 55% higher than last year. It reflects naturally the higher average gross debt post-UPC acquisition on higher interest rates, especially in Poland. Cash tax at EUR 594 million is up EUR 67 million year-on-year, with a reversal in 2023 of a positive impact in 2022 from the fiscal integration. The other block of EUR 1.3 billion is essentially composed by the monetization of assets, such as the 30% remaining stake in OTP to Cellnex, the 50% in the FiberCo in Poland, and some inflow from a capital structure reorganization at IFT. The cash outflow in this other block being related to a EUR 75 million payment related to the first tranche of the roaming sharing in Italy. Finally, distribution to iliad Holding amounted to a bit more than EUR 700 million. Finally, on the net debt and liquidity, in 2023, as Thomas said, the iliad Group leverage declined by 0.2x to 3x, with the net debt declining notably thanks to the monetization of assets in Poland and the growth of the EBITDA. iliad Holding's leverage declined to 3.9x end of 2023, with around one-turn difference between iliad Holding and iliad Group. We are now back to our leverage comfort zone. On a consolidated basis at iliad Holding level, the average maturity is around 3.3 years, and it bears the weighted average cost of debt of 4.8%. On the next slide, you will see our liquidity profile. The group debt is diversified: bonds, bank loans, EIB financing. We had active refinancing activity this year. We issued two bonds, one of EUR 500 million in February for seven years and a long five-year of EUR 650 million in December 2023, and we raised two new loans from EIB, both of EUR 300 million and currently fully enrolled. As you can see, our liquidity position at the end of 2023 was very strong as we cover all our maturities until 2025 and part of 2026 at iliad Group level. Please go ahead. Oh, hi. Thank you. Hi, everyone. A few questions on fiber in France. First, I would like to find out if anything is changing for iliad after Orange has signed a deal with the government to adjust its fiber coverage targets, in particular in the medium area. The second question is on IFT because you announced you are opening the network to third parties. So if you can help us assessing the business opportunity from doing so in terms of upside in utilization rate. And also, I was curious to know whether you are using yourself some third-party wholesale providers. And very last, still on IFT, I saw you reorganize the shareholding structure, and it did cost you a few hundred of millions. Can you explain the move, and will you eventually consolidate IFT? Thank you. Thank you for your question, Nicolas. No, there will be no consolidation of IFT on our balance sheet. IFT was set up in 2019 in order to accelerate the rollout of fiber in France. It enabled us today to have the highest penetration rate in terms of fiber among the four players. What IFT, which is a 50% subsidiary of iliad, the remaining 50% are owned by InfraVia. IFT decided to launch recently a wholesale offer to some small B2B players. They're not going to sell some retail offers with boxes. It's just a wholesale offer. And we did not reinject the EUR 300 million in IFT. I don't see where you noticed that information, but this is not the case at all. In terms of fiber in France, no, what we can say is that it will not change the rhythm of rollout on our side. Clearly, we are clearly disappointed by the rise in unbundling fee. It doesn't make any sense. The priority of the French public authority should be to do the acceleration of the closing of the copper network, and that wholesale price increase didn't make any sense in terms of public policy. Firstly, just a question on OpEx development in 2024 and 2025. You mentioned energy was a headwind the last couple of years. Curious what you expect for the next couple and whether we see some extra tailwinds when it comes to your margin development. My second question is around Italy. There's clearly an approach you made to consolidate the market that was, at least for now, rejected. Just wanted to hear from you whether you believe consolidation is necessary, whether your efforts could be revisited, or whether for you now, it's going back to the organic strategy and that chapter is behind you. And then the final question is just on the broadband developments in France. And as you mentioned, 2023 was a great year for iliad. One of the things that hasn't helped you, I guess, anyone in the market has been how significantly lower the overall net additions of the market have been in 2023, and iliad did very well by winning share. Are you seeing any signs of that changing? Noticed fourth quarter, very strong results from you. We don't have the picture for the whole market, but are you seeing signs that the market is back to more normal growth again? Thank you. Thank you so much for your three questions. I will start with broadband in France. You're right. We had an amazing fourth quarter. In fact, it was the best quarter in 10 years in terms of recruitment of Freebox customers. And what's very interesting is that there is not a specific driver. We take market share across the board. It will be interesting to see the momentum of the Q1 of 2024 because we launch a new box, which is an amazing box, the Freebox Ultra. Maybe you will have some questions, and we have the chance to have with us the CEO of Free France, Nicolas Thomas, that will give you, if you want after, some details about the momentum of our new box, which is amazing. Regarding Italy, I will be quite transparent. We've been number one in terms of net adds over the last six years. We managed to get more than 10 million subscribers. I consider that we should do better in terms of broadband, and we will keep on taking initiative on broadband. We should also address the B2B segment. Now, regarding a consolidation for our group, a consolidation is a nice to have, but this is not a must-have. This is the reason why we tried to buy twice Vodafone Italia. We thought that it was the best option for the Vodafone shareholder. Clearly, the Board considered that they refused an offer with EUR 3 billion cash above the one from Swisscom and with less synergies, but I fully respect the independence of the Board of Directors of Vodafone. So if I should sum up my mind in just a short sentence, for us, nice to have, but not a must-have. Regarding OpEx. Yeah. Hi, Georgios. Basically, what we said last year is the inflation on the commodity price in energy would cost us 1-2 points of EBITDA margins. That's basically the baseline of what happened in 2023 in the middle of the range. And we expect 2024 to recoup roughly 40% of what we lost in 2023. Very clear. Thank you. Firstly, if I can pick you up on your offer to give a bit more color around the Freebox Ultra, that would be quite helpful. Secondly, on Tele2, I'd be interested if you could maybe give a little bit more insight into what sort of role do you see yourselves playing. I guess you'll get a Board seat, and you'll kind of work through that, but just interested in what you think you will bring to it. And I think you mentioned earlier that you tend to look for businesses that are integrated. Is there anything you can sort of share in terms of purchasing or expertise or anything else that you can share at this point? And then just finally, on Italian broadband, as you mentioned, the net adds picked up a little bit for broadband. Just sort of interested in your thoughts on the outlook for Italian broadband additions from here. Thank you. Okay. Thank you. I will start with Tele2. I know we are very supportive, and we are really a long-term investor in Tele2. Of course, we will seek for Board representation at the General Assembly sometimes. It makes sense because we became the reference shareholder of Tele2 with 20% stake and 29% voting rights. It makes sense for us to be represented at the Board of Directors. I think that we have a lot to learn also from Tele2, which is a great company, good dynamic. The Swedish market is a very sophisticated one, and I'm pretty sure that it will be mutually beneficial for the two organizations, for Tele2 and for iliad. On our Freebox Ultra, Nicolas. Yes. Hello, Nicolas Thomas. I'm the CEO of Free. So we launched Freebox Ultra end of January, so it will have the effect in Q1 on two months. We made a Q4 which was historic. We saved it with 100,000 net adds. Freebox Ultra launch is really a great success, so we've seen a boost in the net adds. We also took this opportunity to reposition the whole broadband offers we have to simplify it even more. So now we have three price points: EUR 29, EUR 39, EUR 49, EUR 99. We also reviewed the convergence rules to have something smart also on Ultra. So I can tell you I won't give you any figures, obviously, but I can tell you that we've seen a boost on Ultra, but we've also seen a boost on the whole broadband portfolio with a great traction of the repositioning of all the offers. With Freebox Ultra, we enlarged the gap between Free and our competitors in terms of innovation, in terms of generosity of what we include in the offer. We now can tell two months after launch or one month and a half that we really chose the right strategy. With our portfolio of offers, it seems like we have the right answer to every need of the market. You saw a Q4 which was historic. You may also see a Q1 that will be historic. Thank you, Nicolas. Maybe Benedetto, you're in Milano. If you can give us some color on the broadband momentum for iliad Italia. Sure. So hi, everyone. So as you know, we made the choice in Italy to only sell FTTH offers. And in less than two years, we reached around 4.8% of market share in FTTH. 2023 was a year where we expanded a lot our footprint. Today, we sell, of course, the Open Fiber footprint, the FiberCop, the Fastweb. And we launched also the white areas from Open Fiber a couple of months ago. So today, our footprint reaches a bit more than 13 million households. And you saw a first acceleration of net adds in Q4 2023, and we are definitely seeing this trend continuing also in 2024. So we believe this acceleration was a good thing. But as Thomas said, we are definitely not satisfied, and we see a lot of potential knowing that in Italy, FTTH adoption and uptake is still far behind many other countries, France, for example. And you're not going to give some numbers. I understand that. But can you tell us whether you think this is more of a niche product, which is what some of your competitors think because it's a relatively high price? Or do you think, actually, it's largely mass market because it's including so much content and that it can be eventually a relatively big portion of your customer base in the future? And my second question is regarding CapEx. Can you give us a little bit of guidance on France? I mean, should we expect now that the fiber is not totally coming to an end, but clearly, we should see some deceleration? Therefore, CapEx should start to reduce in France. And in Italy, I also noticed that your CapEx are relatively low. Can you comment a little bit on CapEx in Italy? Thank you. Thank you, Stéphane. Now, regarding the evolution of cash flow generation in France, yes, you will see an improvement of our cash flow generation in France, but it makes sense with almost 10% organic growth with some operating leverage. At the same time, it's true a slowdown of fiber CapEx. The peak of the CapEx cycle in fiber is behind us in France. So it would make sense that we have an improvement of the cash flow generation in France. In Italy, 2023 was a kind of a transitional year because we made a big push in terms of 5G in 2022, and we decided also to build inventories in terms of Nokia equipment in 2022 for different internal reasons. And that's why 2023 CapEx was more on the low side, and you will see a normalization in 2024. Regarding our last Freebox Ultra, but I will repeat what Nicolas said. It's not a niche product. It's really a mass market product. Why? Because it gives a lot of visibility to our subscribers in terms of managing the different bills because it's an all-included package with a lot of streaming platform included with the CANAL+ channel too. So we don't necessarily view it as a niche market, and it makes a lot of sense for us. If I can follow up, sorry, is there a little bit of exclusivity in some of the content deals that you have so that competitors cannot replicate it just right away? We have some exclusivity, in fact, with CANAL+ Group. They cannot replicate the offer, at least right now. Of course, you do not improvise such an offer. We've been working on it for at least one year. It's a long time of negotiation with the different partners. You need the right scale. You need the right platform also to promote it. Then, obviously, we will see how our competitors react. But as Thomas said, it's not a niche product. We make significant gross adds on it. And what we see is that we target with this offer both the high-end market but also some part of the more mass market because you may see studies on how many subscriptions to a U.S. platform the French have on average. Migrating from something where you have confusion between the platforms, you have to choose between one or another, and to an all-inclusive package was really a winning bet. That's very clear. Obviously, you guys did EUR 708 million for 2023. Do you have a general expectation as to what it might be next or this year? I was also just going to ask as well around M&A. Obviously, there seems to be a little bit of a pivot towards Scandinavia, I guess, subject to those three points you made around M&A opportunities. Is there any other regions in Scandinavia that potentially look interesting for you? And also just finally on leverage targets. So now you're at sort of historic lows, three turns through the OpCo. Do you guys have an idea as to a target leverage amount now? Are you looking to revise that near-term? Just keen to get an understanding how you look at that over the medium term. Thank you. Regarding our dividend policy, it really depends mainly on our leverage. Clearly, 2023 was a year with a lot of asset monetization. And what we did, we had a dividend of roughly EUR 600 million and EUR 800 million of debt reduction. And we hit our leverage target, which is to be on a cruise mode around three times on the operational side and four times with the holding, where I'm even below. And clearly, 2024 should be a year of cash flow generation. So we get visibility. And keep in mind that that dividend paid at the OpCo enabled to strengthen the financial profile of the HoldCo. Regarding our M&A policy, of course, we will play close cards. We will not show our game. We have a lot on our plate right now with Tele2, with also the integration of UPC Polska within Play. We have plenty of organic opportunities within our organization. Our next line of questions comes from the line of Nicolas Cote-Colisson, HSBC. Your line is open. Please go ahead. Oh, hi. Me again. It's going to be short. You mentioned some synergies between countries. So can you talk a bit more about this? I mean, beyond the Freebox, for example, what type of cross-border synergies are you considering? Thanks. Thank you, Nicolas. You know what? We're not going to give you our secret sauce. But basically, you get some management synergies, clearly. You have also some important synergies in terms of purchasing power. Clearly, when we were a French-only company, sometimes we were not really well identified by some very large suppliers or by some very important content provider, a U.S. content provider. So the name of the game right now within our organization is to create those cross-border synergies in terms of know-how, in terms of getting better terms from our very large suppliers. And this is what we've seen so far. Look at the evolution of Play in Poland. And I'm pretty sure also that we learned a lot from our investment in Tele2 in order to improve our operations in our three existing countries. If I may ask, can you see some benefits from the centralization of network functions down the line? So basically, you're asking me the question that you ask Vodafone?
