Such results have not been audited by independent auditors but ha ve been reviewed by the audit committee of the Company. This announcement is made pursuant to the Inside Information Provision under Part XIV A of the Securities and Futures Ordinance (Cap 571, Laws of Hong Kong) (as defined in the Listing Rules) and Rule 13.09(2) and Rule 13.10B of the Listing Rules. Reasons for Retroactive Adjustments or Restatements In the fourth quarter of 2024, Shanghai Electric Automation Group Co., Ltd.* (上海電氣自 動化集團有限公司), a wholly -owned subsidiary of the Company, acquired 100% equity interest in Shanghai Ningsheng Industrial Co., Ltd.* ( 上海寧笙實業有限公司 ) held by Shanghai Electric Holding Group Co., Ltd. ( 上 海 電 氣 控 股 集 團 有 限 公 司) in cash. Pursuant to Accounting Standards for Business Enterprises No. 33, this transaction constitutes a business combination under the same control and requires retrospective adjustments to the 2024 first quarterly financial information.
