We have reviewed the accompanying statement of unaudited consolidated financial results of JM Financial Limited ('the Parent' or 'the Company') and its subsidiaries (the Parent and its subsidiaries together referred to as 'the Group') and its share of the net loss after tax and total comprehensive income of its associates for the quarter ended 30 June 2026 ('the Statement'), being submitted by the Company pursuant to the requirements of Regulation 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended ('Listing Regulations'). We have initialled the Statement for identification purpose only. 2. This Statement, which is the responsibility of the Company's Management and approved by the Company's Board of Directors, has been prepared in accordance with the recognition and measurement princip les laid down in the Indian Accounting Standard ('Ind AS') 34 'Interim Financial Reporting' prescribed under section 133 of the Companies Act, 2013 ('the Act'), read with relevant rules issued thereunder and other accounting principles generally accepted in India and in compliance with Regulation 33 of the Listing Regulations. Our responsibility is to express a conclusion on the Statement based on our review. Scope of Review 3. We conducted our review of the Statement in accordance with the Standard on Review Engagements ('SRE') 2410 - 'Review of Interim Financial Information Performed by the Independent Auditor of the Entity', issued by the Institute of Chartered Accountants of India ('the !CAI'). A review of interim financial information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analytical and other review procedures. A review is substantially less in scope than an audit conducted in accordance with Standards on Auditing and consequently does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion. We also performed procedures in accordance with the circular Issued by the Securities and Exchange Board of India under Regulation 33(8) of the Listing Regulations, as amended, to the extent applicable. 4. Other Matters 6. Attention is drawn to the fact that the figures for the quarter ended 31 March 2026 as reported in these financial results are the balancin g figure s between audited figures in respect of the full previous financial year and the publi shed unaudit ed year to date figures up to the third quart er of the previous fin ancial year. The figures up to the end of the third quarter of previous financi al year had only been review ed and not subjected to audit. We did not review the financi al results of 7 subsidiaries incl uded in the Statement , w hose financial results (before consolidation adjustmen ts) reflects, tota l revenue of Rs. 550.55 Crores, total net profit after tax of Rs. 260.26 Crores and total comprehensive income of Rs. 260.39 Crores for the quarter ended 30 June, 2026, as considered in the Statement. These financial results have been reviewed by other auditor s and their reports, vide which they have issued an unmodified conclusion on those financia l results, have been furnished to us by the Management and our conclusion on the Statement, in so far as it relates to the amounts and disclosures includ ed in respect of these subsidiaries, is based solely on the report s of the other auditors and the procedu res perform ed by us as state d in paragraph 3 above. 8. The Statement includes the financial info rmation of 5 subsidiaries which have not been reviewed by thei r auditors, whose financial results (before consolidation adjustments) reflects, tota l revenue of Rs. 16.62 Crores, total net profi t after tax of Rs. 5.26 Crores and total comprehensive income of Rs. 4.73 Crores for the quarter ended 30 June 2026, as considered in the Stateme nt. The Statement also includes the Group's share of net loss after tax of Rs. 0.17 crores for the quarter ended 30 June 2026, as considered in the Statement, in respect of 3 associates, based on their financial information which have not been reviewed by their auditors. According to the inform ation and explan ations given to us by the Management, these financial information are not material to the Group. Our conclusion on the Statement is not modified in respect of the above matte rs. j JM Financial Notes to the standa lone and consolidated financial results: I) The aforesaid standalone and conso lidated financial results for the first quarter ended June 30, 2026 of JM Financial Limited (the "Company") have been reviewed by the Audit Committee, and on its recommendation, have been approved by the Board of Directors (the "Board") at their respective meetings held on August 3, 2026 in accordance with the provisions of Regu lation 33 of Securities and Excha nge Board of India (Listi ng Obligations and Disclosure Requirements) Regulations, 2015, as amended (the "Listing Regulations"). The said results have been subjected to limited review by the statutory auditors, who have issued unmodified reports thereon. 2) These standalone and consolidated financial results have been prepared in acco rdance with the recogni tion and measurement principles laid down in the Indian Account ing Standard 34 "Interim Financial Reporting" (Ind AS 34) prescribed under Section 133 of the Compa nies Act, 20 13 (the "Act") and other accounting principles generally accepted in India and in complian ce with Regulation 33 of the Listing Regulat ions. 3) The said conso lidated financial results include the results of the Company along with its fourteen (14) subsidiary companies (inc luding step-down subsidiaries), one (I) partnership firm and one ( I) association of persons (collect ively referred to as "the Group") and three (3) associates. As reported in the earlier quarters, JM Financial Private Wealth , Inc was incorpo rated in the United States of Amer ica. Upon receipt of regulatory approvals , it will operate as a step-down subsidiary of the Company. 4) During the quarter ended June 30, 2026, the Allotment Comm ittee of the Board has allotted an aggregate of 5,89,384 equ ity shares of the face value of Re. 1/- each to the Eligib le Employees upon exercise of the ir stock opt ions. As a result, the tota l paid up equi ty share capital of the Company has increased to Rs. 95,69,59,936 / (Rupees Ninety-five cro re sixty-nine lakh fifty-nine thou sand nine hundred and thirty-six only) representing 95,69,59,936 equ ity shares of the face value of Re. 1/- each. The gross charge for the share-based payment s in respect of the stock options granted by the Company is Rs. 0.53 crore for the quarter ended June 30, 2026 . 5) As reported earlier during the year ended March 3 I, 2026 , JM Financial Services Limited (the "JMFSL") , a wholly owned subsid iary of the Company had received orders from the Income Tax Appe llate Tribuna l, Mumbai ("IT AT") regarding disallowances related to the arbitrage business for the Assessment Years 20 I 2- 13, 20 13-14 and 2014 -1 5. Cons idering the favourable orders received by JM FSL in simi lar matters for earlier assessment years and as lega lly advised, JMFSL continues to believe that it has a good case to succeed on merit in higher lega l forums. Accordingly , JMFSL filed appeal s before the Honourable High Court, Mumbai against the IT AT orders for the Assessment Years 2012-13 and 2013- 14 in the previous year and an appea l against the !TAT order for the Assessment Year 2014- 15 will be filed in due cou rse. The impending tax demands pursuant to the said orders of the ITAT, though likely to be material , cannot be quantified at this stage as the Order Giving Effect to the above ITAT orders is still pending. JMFSL will continue to carefully monitor the developments and the financ ial impact, if any, arising from this matter. 6) The aforesaid standa lone and conso lidated financia l results are being uploaded on the Company's website viz., www.jmtl. com and the websites of BSE Limited and Natio nal Stock Exchan ge o f India Limited viz., www.bseindia .com and www.nse india.com, respectively. 7) The figures for the quarter ended March 31, 2026 in the above financial results are the balancing figures between the audited figures for the year ended Marc h 3 1, 2026 and the year to dat e pub lished unaudited figures for the nine months ended December 3 1, 2025 , whi ch were subject to limited review by the Statutory Auditors.
