' The Company operates its business through three operating segments, representing our business on the basis of geographies which are India, Mexico and Others. * The operations at JK Tornel, Mexico were impacted during the quarter due to ongoing geopolitical disruptions, resulting in constrained availability of key inputs. Furthermore, produ(Hvity enhancement negotiations with workers resulted in IR issues, which have since been resolved. + Exceptional Items for the quarter ended 30th June, 2026 include: a) Foreign exchange gain of ? 17.91 crores. b) VRS expense ? 4.31 crores. b) Stamp duty expense of ? 2.75 crores pursuant to the Scheme of Amalgamation of Cavendish Industries Ltd. (CIL) with the Company. ' The above results have been reviewed by the Audit Committee in the meeting held on 6th August, 2026. Subsequently, the same were approved by the Board of Directors at the meeting held on 7th August, 2026 at Udaipur. The auditors of the company have carried out the "Limited Review" of the same. We have reviewed the accompanying statement of Unaudited consolidated financial results of JK Tyre & Industries Limited ("the Holding Company") and its subsidiaries (Holding Company and its subsidiaries together referred to as “the Group") and its share of net profit / (loss) after tax and total comprehensive income / (loss) of its associates, for the quarter ended 30th June 2026 (the “Statement”), being submitted by the Holding Company pursuant to the requirement of Regulation 33 of the (SEBI) (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended. 2. This Statement, which is the responsibility of the Holding Company’s Management and approved by the Holding Company’s Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in the Indian Accounting Standard 34, “Interim Financial Reporting" (“Ind AS 34"), prescribed under section 133 of the Companies Act, 2013 read with the relevant rules thereunder and other accounting principles generally accepted in India. Our responsibility is to express a conclusion on the Statement based on our revl ew 3. We conducted our review of the Statement in accordance with the Standard on Review Engagement (SRE) 2410, "Review of Interim Financial Information Performed by the Independent Auditor of the Entity" issued by the Institute of Chartered Accountants of India, A review of interim financial information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analytical and other review procedures. A review is substantially less in scope than an audit conducted in accordance with the Standards on Auditing and consequently does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion. We also performed procedures in accordance with the circular issued by the SEBI under Regulation 33 (8) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended, to the extent applicable. 4. Other Matters: (a) We did not review the financial results of eight (8) subsidiaries (incorporated outside India) included in the unaudited consolidated financial results, whose unaudited financial results reflect total revenue of Rs. 146.94 Crores, total net profit/ (loss) after tax of Rs. (33.53) Crores and total comprehensive income /(loss) of Rs. (33.53) Crores, for the quarter ended 30th June 2026, as considered in the unaudited consolidated financial results, whose financial results have not been verified by us. The unaudited consolidated financial results also include the Group’s share of net profit of Rs. 0.45 Crore and total comprehensive income of Rs. 0.23 Crore in respect of one associate company for the quarter ended 30th June 2026 as considered in the unaudited consolidated financial results, whose financial results have not been verified by us. These financial results have been reviewed by other auditors whose reports have been furnished to us by the management and our conclusion on the statement, in so far as it relates to the amounts and disclosures included in respect of these subsidiaries and associate, is based solely on the reports of the other auditors and the procedures performed by us as stated in paragraph 3 above. (b) The Unaudited Consolidated Financial Statement also includes the financial results of seven (7) subsidiaries which have not been reviewed by their auditors, whose financial results reflect total revenue of Rs. 5.74 Crores, and total net profit / (loss) after tax of Rs. 0.31 Crore and total comprehensive income /(IOSS) of Rs. 0.31 Crore for the quarter ended 30th June 2026 and as considered in the unaudited consolidated financial results. financial results also include the Group’s share of net profit of Rs. 1.46 Crores and total comprehensive income of Rs. 1.46 Crores for the quarter ended 30th June 2026 as considered in the unaudited consolidated financial results, in respect of two (2) associates, has not been reviewed by their auditors and based solely on their financial results which have been certified by the management. According to the information and explanations given to us by the Management, these financial results are not material to the group. The Group has not consolidated the financial results of one associate company, Hari Shankar Singhania Elastomer and Tyre Research Institute (HASETRI) which is section 8 company under Companies Act 2013 and the equity of the said associate company is not available for distribution to its members. Our conclusion on the statement is not modified in respect of the above matters. 7. We draw attention to the accompanying Statement in respect of the Scheme of Amalgamation (the scheme) of its subsidiary (then subsidiary) Cavendish Industries Limited (CIL) with the Company from the Appointed date i.e. 1't April 2025, as approved by National Company Law Tribunal vide its order dated 20th November 2025 and effective from 22-d December 2025. The comparative financial information for the quarter ended 30th June 2025 has been restated in the accompanying consolidated financial results to give effect to the Scheme in accordance with Ind AS 103 - Business Combinations. Commenting on the results, Dr. Raghupati Singhania, Chairman & Managing Director (CMD), said: “ JK Tyre continued its steady performance in QIFY27 with a consolidated turnover of Rs.3,956 Crore, supported by strong demand momentum across segments. The performance is driven by sharp focus on customer centricity, product excellence and disciplined execution across markets. During the quarter domestic volumes grew by 25% on year-on-year basis, across both replacement (12%) and OE markets (42%), with increasing contribution from higher-value added products. The continuing west Asis crisis led to a sharp increase in raw materiat prices which impacted our gross and operating margins. As is known approximately 70% of the tyre industry raw materials are petro based, hence, it is highly vulnerable to oil price movement”. Consolidated EBITDA for Q1 was Rs.268 crore. Dr. Singhania further added: “With a sharper focus on operating leverage, cost reductions, and increasing share of premium products, JK Tyre remains confident to improve performance in FY27 with double-digit revenue growth, aiming to create enduring value for all stakeholders with an increased profitability through strategic expansions”.
