Formation of JV with DDW, Dubai, a DP World Company ❑ Purpose: to operate, consolidate and expand ISRF targeting both regional and global maritime demand, thereby enabling growth and development within the Indian maritime sector. ❑ CSL Board approval obtained on Sep 09, 2026. ❑ Agreements finalised and JV Agreement proposed to be signed on Sep 11, 2026. ❑ JV Co. to be floated with 50:50 equity participation. ❑ DDW to have operational control of the JV Co. ❑ JV Co. Board to have 5 Directors (DDW – 3 and CSL – 2). ❑ ISRF to the transferred to the JV Co. at Rs. 1,800 Cr. CSL to receive consideration in Cash (Rs. 900 Cr.; 50%) and Equity Shares (Rs. 900 Cr.; 50%). ❑ CSL is in the process of obtaining necessary approvals viz., Cochin Port Authority, MoPSW, DIPAM and the Shareholders. ❑ The proposal is expected to be implemented before this financial year end.
