We have reviewed the accompanying Statement of unaudited consolidated financial results of Matrimony.com Limited (hereinafter referred to as "the Parent"), and its subsidiaries (the Parent and its subsidiaries together referred to as "the Group") and its share of the net loss after tax and total comprehensive loss of its associate for the quarter ended 30 June 2026 ("the Statement"), being submitted by the Parent pursuant to the requirements of Regulation 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended ("Listing Regulations") . 2. This Statement, which is the responsibility of the Parent's management and approved by the Parent's Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in Indian Accounting Standard 34 "Interim Financial Reporting" ("Ind AS 34"), prescribed under Section 133 of the Companies Act, 2013, and other accounting principles generally · accepted in India and in compliance with Regulation 33 of the Listing Regulations. Our responsibility is to express a conclusion on the Statement based on our review. 3. We conducted our review of the Statement in accordance with the Standard on Review Engagements (SRE) 2410 "Review of Interim Financial Information Performed by the Independent Auditor of the Entity", issued by the Institute of Chartered Accountants of India. A review of interim financial information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analytical and other review procedures . A review is substantially less in scope than an audit conducted in accordance with Standards on Auditing and consequently does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion. We also performed procedures in accordance with the circular issued by the Securities and Exchange Board of India under Regulation 33(8) of the Listing Regulations, to the extent applicable. 4. The Statement includes the results of the entities mentioned in Annexure I to the Statement. 5. Attention is drawn to the fact that the figures for the three months ended 31 March 2026 as reported in the Statement are the balancing figures between audited figures in respect of the full previous financial year and the published year to date figures up to the third quarter of the previous financial year. The figures up to the end of the third quarter of previous financial year had only been reviewed and not subjected to audit. 6. Based on our review conducted and procedures performed as stated _in paragraph 3 above and based on the consideration of the review reports of the other auditors referred to in paragraph 7 below, nothing has come to our attention that causes us to believe that the accompanying Statement, prepared in accordance with the recognition and measurement principles laid down in the aforesaid Indian Accounting Standard and other accounting principles generally accepted in India, has not disclosed the information required to be disclosed in terms of Regulation 33 of the Listing Regulations, including the manner in which it is to be disclosed, or that it contains any material misstatement. We did not review the interim financial information of five Subsidiaries included in the Statement, whose interim financial information reflect total revenues (before consolidation adjustments) of INR 298 Lakhs, total net profit after tax (before consolidation adjustments) of INR 134 Lakhs and total comprehensive income (before consolidation adjustments) of INR 143 Lakhs, for the quarter ended 30 June 2026, as considered in the Statement. The Statement also include the Group's share of net loss after tax and total comprehensive loss of INR 9 Lakhs, for the quarter ended 30 June 2026 as considered in the Statement, in respect of an associate, whose interim financial information has not been reviewed by us. This interim financial information has been reviewed by other auditors whose report have been furnished to us by the Parent's management and our conclusion on the Statement, in so far as it relates to the amounts and disclosures included in respect of these subsidiaries and associate, is based solely on the reports of the other auditors and the procedures performed by us as stated in paragraph 3 above. The statutory auditors have carried out limited review for the quarter ended Jun 30, 2026 and have issued an unmodified review report thereon. c) The figures for the quarter ended March 31, 2026 are the balancing figures between audited figures in respect of the full financial year ended March 31, 2026 and the published unaudited year to date figures upto December 31, 2025 respectively, which were subjected to limited review. d) The Consolidated financial results of the Company comprising its wholly owned subsidiaries (together 'the Group') and its associate includes the following entities: results of the Company Relationship S s India Private Limited Subsidi Consim Info USA Inc. Subsidi Bangladeshi Matrimony Private Limited Subsidiary Matrirnon DMCC Subsidi Boatman Tech Private Limited Subsidi Astro Vision Futuretech Private Limited Associate e) The Company had filed a Commercial Suit in the Hon'ble Madras High Court, against Google LLC and its affiliates ("Google"), challenging the service fee charge under the Google Play Developer Distribution Agreement (DDA). This was pertaining to payments made by Company's customers for in-App Purchases, downloade from the Google Play Store effective from April 26, 2023. In this regard, the Company amongst other reliefs, sought for injunction from the Hon'ble Madras High Co against delisting Company's Apps from Google Play Store for non-compliance of the DDA. On August 03, 2023, the Hon'ble Madras High Court rejected the plaint filed by the Company on grounds of jurisdiction and the said order was challenged in the Division Bench ofHon'ble Madras High Court. The appeal was dismissed on the grounds of jurisdiction vide its order dated January 19, 2024. The Company has file an appeal challenging the order with the Hon 'ble Supreme Court of India. Pending outcome of the appeal with the Hon 'ble Supreme Court of India, the management has made the best estimate of the economic outflow and recorded a provision towards service fee for the applicable period. Further, the Company's Apps were delisted fro the Google Play Store on March O 1, 2024. Subsequently, the Company changed its business model, for which service fee charged under DOA is not applicable and upon review of the submissions made by Company to Google, all the Company's Apps were restored in the Google Play Store on March 06, 2024. f) On November 21, 2025, the Government of India notified the four Labour Codes - the Code on Wages, 2019, the Industrial Relations Code, 2020, the Code on Social Security, 2020, and the Occupational Safety, Health and Working Conditions Code, 2020 - consolidating 29 existing labour laws. The Ministry of Labour & Employment published Central Rules and FAQs to enable assessment of the financial impact due to changes in regulations. Managementhad carried out an assessmen of the impact of these changes during the year ended March 31, 2026 on the basis of best information available, consistent with the guidance provided by the Institute o Chartered Accountants of India. Based on such assessment, management currently does not foresee any material adjustment to be recorded in these standalone an consolidated financial results. The Company continues to monitor developments on the rules to be notified by regulatory authorities, including clarifications / additional guidance from authorities and will continue to assess the implications basis such developments / guidance. g) During the quarter ended June 30, 2026, 22,000 stock options were granted to employees (14,500 stock options granted for the quarter ended March 31, 2026) an Nil stock options exercised by eligible employees (3,100 stock options exercised by eligible employees for the quarter ended March 31, 2026).
