A copy of the un - audited financial results along with Limited Review Report issued by Joint Statutory Auditors of the Company is enclosed herewith . The information as required under Regulation 52 ( 4 ) of SEBI ( LODR ) Regulations , 2015 is covered in the Un - audited Financial Results ( Standalone and Consolidated ) submitted herewith . Further , the following are also submitted herewith : 1. Statutory Auditors ' Certificate with respect to listed debt securities of the Company as on 30th June , 2026 , in terms of Regulation 54 read with Regulation 56 ( 1 ) ( d ) of the SEBI ( LODR ) Regulations , 2015 . 2. Statement indicating no deviation or variation in the use of proceeds of issue of non - convertible securities for the quarter ended on 30th June , 2026 , in terms of Regulation 52 ( 7 ) and 52 ( 7A ) of the SEBI ( LODR ) Regulations , 2015 . 3. A Navratna Compan)' Notes to Unaudited Standalone Financial Results : The above Standalone Financial Results have been reviewed and recommended by the Audit Comm ittee and approved by the Board of Directors of the Compa ny in their respective meetings held on August 04, 2026 . The same have been reviewed by the Joint Statutory Auditors of the Company as required under Regulation 33 and 52 of SEB I (Listing Obl igations and Disclosure Requ irements) Regulation s, 2015, as amended. 2 In view of the seasonal natur e of business, the Standalon e Financial Results of the Company vary from quarter to quarte r. 3 Electricity genera tion is the principal business activity of the Compa ny. Other operati ons viz. Power Tradin g, Contracts, Project Management and Cons ultancy work s do not form a reportable segmen t as per Ind AS I 08 - 'Operating Segmen ts'. The Company has a single geograp hical segment as all its power station s are located within the country. 4 The Central Electricity Regulatory Comm ission (CERC) has notified the Tariff Regulation s for the period April I, 202 4 to March 31, 2029 vide notification dated March 15, 2024 . Petitions for truing up of tariff for the period 2019-24 and for fixation of tariff for the period 2024-29 have been filed with the Comm issio n. In accorda nce with these regulations· and as per the operationa l parameter nonns of the respect ive power stations , customers are billed as per the Annual Fixed Charge (AFC) appro ved by the Commiss ion for tariff period 2024 -29. For power station s in respect of which tariff orders for the tariff period 2024-29 are yet to be notified , customers are billed as per the approved AFC applicab le as on March 3 1, 2024 . 5 (i) The Company has commissioned I unit of250 MW out of2000 MW Suban siri Lower Proj ect during the quarter ended June 30, 2026 . With this comm issioning, total 1000 MW ( 4 out of 8 unit s) of the Project have been comm issio ned. Petition for fixation of tariff has been filed with the CERC. Pendin g approva l of the CERC, an amou nt of ~ 574.31 Crore has been recognised provi sionally as sales during the quarter ended June 30, 2026 (corre sponding previous quarter~ NIL). (ii) The Compa ny has commiss ioned 800 MW Parbati-11 H.E Project during the FY 2025 -26 and petition for fixation of tariff has been filed with the CERC. Pending final approval of the CERC, an amou nt on 364.42 Crore has been recognised provis ionally as sales during the quarter ended Jun e 30, 2026 (corre sponding previous quarter~ 431.17 Crore). 6 Pursuan t to the ame ndment made by Finan ce Act 2026, the Company has decided to exercise the option under Section 200(5) of the Income Tax Act, 2025 from FY 2026-27 onwa rds. Income Tax (net of MAT credit utilisation) and Deferred Tax Liabilities (net) as at June 30, 2026 have been recogni sed accordingly. 7 The Board of Directors of the Company in its meetin g held on Septembe r 24, 202 I had approved the proposa l to initiate the process of merger of Jalpow er Corporat ion Limited (JPCL) (a wholly owned subsidiary) with the Company as per applicable provision s of the Companie s Act, 20 13. Approval of the Ministry of Power, Government of India had been conveyed on April 26, 2023 follow ing wh ich NHPC Limited and JPCL had filed first motion app lication with MCA on February 8, 2024 . The Ministry of Corpora te Affa irs (MCA) conducted first hearing on April 30, 2025, in connection with the application filed under Sectio ns 230-232 of the Companies Act, 20 13 for approval of the Scheme of Amalgamation . Pursuant to MCA order dated May 22, 2025, meeting of the Equity Share holders, Secu red Creditors & Unsecured Creditor s of NHP C was held on September 29, 2025 . Furthe r, NHPC and JPCL have filed second motion application with the MCA on Octob er 6, 2025 which is pending at this stage. 8 The Company has maint ained security cover of 100% or higher as per the terms of Offer Docume nt/ Information Memorandum and/ or Debenture Trust Deed, sufficient to discharge the principal amount and the interest thereon, in respect of its secured listed non convertible debt securities. Further, security has been created on specified assets of the Company throug h English/ Equitab le mortgage as per the terms of respect ive Debenture Trust Deed s for all secured non-convert ible debt sec urities issued by the Company. The Company is also in comp liance with all the covena nts, in respect of all listed non-c onvertib le debt securities issued by the Compan y. 9 Conseque nt upon completion of restoration works aris ing due to flash flood in Octob er 2023, Teesta-V Power Station 510 MW (3 units x 170 MW) has resumed commercial generation in July 2026 . I 0 Figures for the quarter ended March 31, 2026 are the balancing figures between the audited figures in respect of full finan cial yea r and the publi shed year-to-date figures upt o the 3rd quarter of that Financia l Year. 11 Figures for the previous periods have been re-gro uped/re -arranged/re-classified/re-stated whe rever necessary. Petitions for truing up of tariff for the period 20 19-24 and for fixat ion of tariff for the period 2024 -29 have been filed with the Commission. In accordance with these regulations and as per the opera tional parame ter nonn s of the respect ive power stations, customers are billed as per the Annual Fixed Charge (AFC) approv ed by the Commi ssion for tariff period 2024 -29. For power stations in respec t o which tariff order s for the tariff period 2024-29 are yet to be notifi ed, customer s are billed as per the approve d AFC applicab le as on March 31, 2024. 6 (i) The Parent Company has commi ssioned I unit of250 MW out of2000 MW Suba nsiri Lower Project during the quarter ended Ju ne 30, 2026 . With this commissioning, tota l 1000 MW (4 out of8 unit s) of the Project have been commiss ioned. Petition for fixation of tariff has bee n filed with the CERC. Pendin g approva l of the CERC, an amount of ~ 574. 31 Cro re has been recognised provisiona lly as sales during the quarter ended June 30, 2026 (correspo ndin g previous quarte r ~ NIL). (ii) The Parent Com pany has commi ssioned 800 MW Parbati -11 HE Proj ect during the FY 2025-26 and pet ition for fixation of tariff has been filed with the CERC. Pending final approva l of the CERC, an amou nt of~ 364.42 Cro re has been recogn ised provisionally as sales during the quarter ended June 30, 2026 (corres ponding previous quart e r~ 431 .17 Cro re). 7 Pursuant to the amendmen t made by Finance Act 2026, the Parent Company has decided to exercise the option under Section 200(5) of the Income Tax Act, 2025 from FY 2026 -27 onwards. Income Tax (net of MAT credit utili sation) and Deferred Tax Liabilit ies (net) as at Jun e 30, 2026 have been recog nised accord ingly. 8 The Board of Directors of the Parent Company in its meet ing held on September 24, 202 1 had approved the proposa l to initiate the process o merger of Jalp ower Corpo ration Limited (JPC L) (a wholly owned subsid iary) with the Company as per app licable provisions of the Compan ies Act, 2013. Approva l of the Ministry of Power, Govern ment of India had been conveyed on April 26, 2023 following which NHPC Limited and JPCL had filed first motion applica tion with MCA on February 8, 2024. The Ministry of Corpo rate Affairs (MCA) conducted first hea ring on April 30, 2025, in connect ion with the app lication filed under Sections 230 -232 of the Companies Act, 20 13 for approva l of the Scheme of Amalga mation. Pursuant to MCA order dated May 22, 2025, meet ings of the Equity Shar eholders, Secured Cred itors & Un-Secured Credi tors ofNH PC were held on Septembe r 29, 2025. Further, NHPC and JPCL have filed seco nd motion applicati on with the MCA on October 6, 2025 which is pending at this stage. 9 Consequent upon completion of restoration works arising due to flash flood in October 2023, Teesta -V Power Station 510 MW (3 units x 170 MW) of Parent Comp any has resumed commercial generat ion in July 2026. 10 Figures for the quarter ended March 31, 2026 are the balancing figures betwee n the aud ited figures in respect of full financ ial year and the published year-to-date figures upto the 3rd quarter of that Financ ial Year. 11 Figures for the previous periods have been re-grouped/ re-arranged/ re-classified/re-stated wherever necessary.
