Dear Sir / Madam , Pursuant to the provisions of Regulations 30 ( read with Schedule III ) and 33 of the SEBI ( Listing Obligations and Disclosure Requirements ) Regulations , 2015 ( " SEBI LODR Regulations " ) , we hereby inform you that the Board of Directors of the Company , at its meeting held today , i.e. , Friday , August 07 , 2026 , has , inter alia , considered and approved the following : İ . The Unaudited Financial Results ( Standalone and Consolidated ) of the Company for the quarter ended June 30 , 2026 , together with the Limited Review Report issued by the Statutory Auditors of the Company . A copy of the Unaudited Financial Results ( Standalone and Consolidated ) along with the Limited Review Report is enclosed herewith . ii . The Board has approved the issuance of corporate guarantees in favour of HSBC Bank for an aggregate amount of up to Rs . 50 Crores ( Rupees Fifty Crores Only ) , in connection with the term loan facilities proposed to be availed by its subsidiary - NRB Unitec Friction Solutions Private Limited , a joint venture company . The details as required under Regulation 30 read with Schedule III ( Part A ) of the SEBI LODR Regulations and the SEBI Master Circular No. SEBI / HO / CFD / POD2 / CIR / P / 0155 dated January 30 , 2026 ( as amended ) , are enclosed as Annexure A.
