Pursuant to Regulation 33 of the Listing Regulations, the Board of Directors of P atanjali Foods Limited (âthe Companyâ) has approved and took on record the unaudited standalone & consolidated financial results for the quarter ended June 30, 2026, duly reviewed by the Audit Committee. The unaudited standalone & consolidated financial results of the Company for the quarter ended June 30 , 202 6 and Limited Review Report issued by the Statutory Auditor are enclosed herewith as Annexure - I. We may also submit that M/s. Walker Chandiok & Co. LLP, Statutory Auditors, have issued Limited Review Report with unmodified opinion on unaudited standalone & consolidated financial results of the Company for the quarter ended June 30, 2026. B. Re-appointment of Shri Acharya Balkrishna (DIN:01778007) as Chairman & Non -Executive Non-Independent Director, liable to retire by rotation. Re- appointment of Shri Acharya Balkrishna (DIN:01778007) as Chairman & Non-Executive Non- Independent Director of the Company, who w as liable to retire by rotation, being re -appointed subject to approval of shareholders at the forthcoming AGM, in terms of Section 152(6) of the Companies Act, 2013. Details as required under Regulation 30(6) read with clause 7 of Para A of Part A of Schedule III of the SEBI Listing Regulations read with SEBI Master Circular No. SEBI/HO/49/14/14(7)2025-CFD- POD2/I/3762/2026 dated January 30, 2026, are enclosed herewith as Annexure â II. C. Appointment of M/s. Balwinder & Associates, Practicing Cost Accountants (Firm Registration No. 000201), as Cost Auditor of the Company for the financial year 2026-27. Appointment of M/s. Balwinder & Associates, Practicing Cost Accountants (Firm Registration No. 000201), as Cost Auditor of the Company for the financial year 2026 -27 and approval of remuneration subject to ratification by Shareholders of the Company at the ensuing AGM. D. Declaration of 3rd Interim Dividend for the Financial Year (FY) 2025-26. Pursuant to Regulation 43 of the Listing Regulations , the Board declared 3rd Interim Dividend of Rs. 1.50/- (i.e. 75%) per equity share of face value of Rs. 2/- each for the FY 2025-26. The payment of the same will be made on or before September 12, 2026. E. Declaration of 1st Interim Dividend for the Financial Year (FY) 2026-27. Pursuant to Regulation 43 of the Listing Regulations , the Board declared 1st Interim Dividend of Rs. 0.80/- (i.e. 40%) per equity share of face value of Rs. 2/- each for the FY 2026-27. The payment of the same will be made on or before September 12, 2026. F. Fixation of Record Date for the purpose of 3rd Interim Dividend for FY 2025-26 and 1st Interim Dividend for FY 2026-27. Pursuant to Regulation 42 of the Listing Regulation s, it is hereby informed that the Board at its meeting held on August 14, 2026, has fixed August 21 , 2026 as âRecord Date â to determine eligibility of shareholders entitled to receive the 3rd Interim Dividend for FY 2025-26 and 1st Interim Dividend for FY 2026-27. G. Fixation of day, date, time and venue of 40th Annual General Meeting (AGM) of the Company. The 40th Annual General Meeting (âAGMâ) of the members of the Company will be held on Tuesday, the September 29, 2026 at 3.00 P.M. through Video Conferencing (âVCâ) / Other Audio- Visual Means (âOAVMâ), in accordance with the relevant circulars issued by the Ministry of Corporate Affairs (MCA) and the Securities and Exchange Board of India (SEBI). We have reviewed the accompanying statement of standalone unaudited financial results (âthe Statementâ) of Patanjali Foods Limited (âthe Companyâ) for the quarter ended June 30, 2026, being submitted by the Company pursuant to the requirements of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (as amended) (âListing Regulationsâ). 2. We conducted our review of the Statement in accordance with the Standard on Review Engagements (SRE) 2410, Review of Interim Financial Information Performed by the Independent Auditor of the Entity, issued by the Institute of Chartered Accountants of India. A review of interim financial information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analytical and other review procedures. A review is substantially less in scope than an audit conducted in accordance with the Standards on Auditing specified under section 143(10) of the Act, and consequently, does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion. 4. Based on our review conducted as above nothing has come to our attention that causes us to believe that the accompanying Statement, prepared in accordance with the recognition and measurement principles laid down in Ind AS 34, prescribed under section 133 of the Act, and other accounting principles generally accepted in India, has not disclosed the information required to be disclosed in accordance with the requirements of Regulation 33 of the Listing Regulations, including the manner in which it is to be disclosed, or that it contains any material misstatement. Notes to the unaudited standalone financlal results: 1. The Audit Committee has reviewed the above results and the Board of Directors has approved the above results and its release at their respective meetings held on August 14, 2026, The Statutory Auditors of the Company have carried out limited review of above financial results for the quarter ended June 30, 2026. Pursuant to exercise of the options issued under "Patanjall Employee Stock Option Scheme, 2023", during the quarter ended June 30, 2026, the Company had made allotment of 4,400 Equity Shares of face value of &% 2/- each fully paid-up, which has resulted into increase in the paid-up Equity Share Capital by % 0,08 Lakh and Securities Premium by % 18.43 Lakh, respectively. Subsequent to the quarter end, the Board of Directors in their meeting held on August 14, 2026 declared 3° interim dividend of % 1.50/- per equity share of % 2/- each for the financial year ended March 31, 2026 and interim dividend of 2 0.80/- per equity share of % 2/- each for the financial year ending March 31, 2027. The record date for payment will be August 21, 2026. Based on our review conducted and procedures performed as stated in paragraph 3 above and upon consideration of the review reports of the other auditors referred to in paragraph 5 below, nothing has come to our attention that causes us to believe that the accompanying Statement, prepared in accordance with the recognition and measurement principles laid down in Ind AS 34, prescribed under section 133 of the Act, and other accounting principles generally accepted in India, has not disclosed the information required to be disclosed in accordance with the requirements of Regulation 33 of the Listing Regulations, including the manner in which it is to be disclosed, or that it contains any material misstatement. 5. We did not review the interim financial results of two subsidiaries included in the Statement, whose financial information reflects total revenues of % Nil, total net loss after tax of = 5.89 lakh and total comprehensive loss of = 5.89 lakh for the quarter ended on June 30, 2026, as considered in the Statement. These interim financial results have been reviewed by other auditors whose review reports have been furnished to us by the management, and our conclusion in so far as it relates to the amounts and disclosures included in respect of these subsidiaries is based solely on the review reports of such other auditors and the procedures performed by us as stated in paragraph 3 above. Our conclusion is not modified in respect of this matter with respect to our reliance on the work done by and the reports of the other auditors. 6. The review of unaudited consolidated quarterly financial results for the period ended June 30, 2025 included in the Statement was carried out and reported by Chaturvedi & Shah LLP who have expressed unmodified conclusion vide their review report dated August 14, 2025, whose report has been furnished to us and which have been relied upon by us for the purpose of our review of the Statement. Retail inflation edged higher during the quarter, rising from 3.48% in April 2026 to 3.93% in May and 4.38% in June 2026. This is the sharpest rise in six months, as food inflation accelerated to 5.32% in June from 4.78% in May. Rural inflation outpaced urban inflation during the quarter, even as rural consumption trends broadly continued to outpace urban markets, extending a multi -quarter trend visible across the FMCG sector. Delayed monsoon and El NiĂąo may have a dual impact on rural demand and put some strain on agricultural output.
