We have reviewed the accompanying Statement of unaudited consolidated financial results of Sagility Limited (formerly known as Sagility India Limited) (hereinafter referred to as "the Parent"), and its subsidiaries (the Parent and its subsidiaries together referred to as "the Group") for the quarter ended 30 June 2026 ("the Statement"), being submitted by the Parent pursuant to the requirements of Regulation 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended ("Listing Regulations"). 2. This Statement, which is the responsibility of the Parent's management and approved by the Parent's Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in Indian Accounting Standard 34 "Interim Financial Reporting' ("Ind AS 34"), prescribed under Section 133 of the Companies Act, 2013, and other accounting principles generally accepted in India and in compliance with Regulation 33 of the Listing Regulations. Our responsibility is to express a conclusion on the Statement based on our review. 3. We conducted our review of the Statement in accordance with the Standard on Review Engagements (SRE) 2410 "Review of Interim Financial Information Performed by the Independent Auditor of the Entity", issued by the Institute of Chartered Accountants of India. A review of interim financial information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analytical and other review procedures. A review is substantially less in scope than an audit conducted in accordance with Standards on Auditing and consequently does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion. We also performed procedures in accordance with the circular issued by the Securities and Exchange Board of India under Regulation 33(8) of the Listing Regulations, to the extent applicable. 4. The Statement includes the results of the entities mentioned in Annexure I. 5. Attention is drawn to the fact that the figures for the three months ended 31 March 2026 as reported in the Statement are the balancing figures between audited figures in respect of the full previous financial year and the published year to date figures up to the third quarter of the previous financial year which were subject to limited review by us. Notes to consolidated financial results for the quarter ended 30 June 2026 1 2 3 4 5 6 7 8 9 Place: Bengaluru For and on behalf of the board of directors Date : 21 July 2026 Ramesh Gopalan Managing Director and Group Chief Executive Officer (Page 2 of 2) Sagility Limited (formerly known as Sagility India Limited) On 11 June 2026, Sagility LLC, a wholly owned subsidiary of the Group, acquir ed 100% of the equity interest in CareSeed LLC ("CareSeed"), a U.S.-based h ealthcare technology company providing quality measurement (HEDIS) reporting and risk adjustment solutions for health plans. The acquisition has been accounted for as a business combination under Ind AS 103 using the acquisition method. The t otal contractual consideration is USD 30.0 million (Rs. 2,873.38 million), including contingent consideration of up to USD 12.5 mil lion (Rs. 1,197.24 million) linked to the achievement of specified perfo rmance targets over three years. The fair value of the contingent consideration at the acquisition date is estimated at USD 5.1 million (Rs. 4 85.57 million). Accordingly, the provisional purchase consideration recognized is USD 21.2 million (Rs. 2,032.51 million). Based on the provisional purchase price allocation, the Group recognized i dentifiable intangible assets, including technology platforms and cust omer relationships, and recorded goodwill of USD 15.7 million (Rs. 1,507.58 million). The goodwill p rimarily represents expected synergies, future growth opportunities, and the assembled workforce of CareSeed and has been allocated to the Payer CGU Exceptional Items: On 21 November 2025, the Government of India brought into effect the Code on Wages, 2019, the Industrial Relations Code, 2020, the Code on Social Securi ty, 2020 and the Occupational Safety, Health and Working Conditions Code, 2020, consolidating 29 existing labour laws (“collectively referred to as the New Labour C odes”). During the year ended 31 March 2026, the Group completed the salary restructuring exercise to comply with the requirements of the New Labour Codes. Consequently, a pa st service cost of ₹328.23 million relating to re-measurement of the liability for gratuity an d leave encashment was recognised as an exceptional item in the consolidat ed financial results for the year ended 31 March 2026. During the quarter ended 30 June 2026, the state Governments of Karnataka and Telangana notified revised minimum wage rates effective 22 May 2026 and 1 June 2026, respectively. Pursuant to the increase in minimum wages and a consequent re -structuring, the Group re-measured its liability for gratuity and leave encashment, in compliance with the New Labour Codes. The resultant past service cost of ₹150.89 million has been recognised as an exceptional item in these consolidated financial results for the quarter ended 30 June 2026. The Group continues to monitor the finalization, no tification and implementation of State-specific rules and any further clarifications issued by the appropriate authorities in relation to the New Labour Codes and will assess the impact of any future developments as they arise. Information on dividends : The Board of Directors at their meeting held on 12 May 2026 have proposed a final dividend of Rs.0.10 per equity share for the year ended 31 March 2026 whic h is subject to the approval of shareholders at the ensuing Annual General Meeting and if approved, would result in a cash outflow of approximately Rs.468.13 million. In terms of Regulation 33 of the SEBI (Listing Obligation and Disclosure Requ irements) Regulations, 2015, as amended, the above consolidated financ ial results of Sagility Limited ("the Holding Company" or "the Company") and its subsidiaries (the Holding Company along with subsidiaries together referred to as "the Group") have been reviewed and recommended by the Audit Committee and approved by the Board of Directors, at their meetings held on 21 July 2026. These unaudited consolidated financial results ha ve been subjected to limited review by the statutory auditors of the Company and they have issued an unmodified review report. The above consolidated financial results have been prepared in accordance with the Companies (Indian Accounting Standards) Rules, 2015, as amended, ("Ind AS") prescribed under section 133 of Companies Act, 2013 and other recognise d accounting practices and policies t o the extent applicable and in terms of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('SEBI LODR'), both as amended from time to time. The figures for the year ended 31 March 2026 are based on the audited consolidated financial statements of the Group on which the statutory auditors iss ued an unmodified opinion dated 12 May 2026. Mr. Ramesh Gopalan - Group Chief Executive Officer has been identified as the Chief Operating Decision Maker ("CODM") as defined by Ind AS 108, "Operat ing Segments". The Group operates in one segment only i.e. “Business process m anagement services”. The CODM evaluates performance of the Group as one single segment. Accordingly, segment information has not been separately disclosed.
