Further note that the Limited Review Report is with unmodified opinion on the Unaudited Financial Results of the Company. S N Dhawan & C O LLP, Chartered Accountants in terms of Regulation 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosures Requirements) Regulations, 2015. b) Resignation of Mr. Vinay Kumar Awasthi as the Internal Auditor of the Company with effect from August 14, 2026, owing to his role change within the Group. c) Appointment of Mr. Devendra Kumar Sharma as an Internal Auditor with effect from August 14, 2026, for FY 2026-27 in place of the resigning auditor, Mr. Vinay Kumar Awasthi. d) Appointment of Mr. Soumya Bagchi (DIN: 11789286) as Whole - Time Director for a period of 3 (three) years, with effect from August 14, 2026, subject to approval of the shareholders. e) Appointment of Ms. Nirupa Chander (DIN: 11874458) as Non- Executive Non- Independent Director with effect from August 14, 2026, subject to approval of the shareholders. f) Revised Notice of the 16 th AGM of the Company. This Statement which is the responsibility of the Company's Management and approved by the Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in Indian Accounting Standard 34 'Interim Financial Reporting' ('Ind AS 34') prescribed under Section 133 of the Companies Act, 2013 ("the Act"), other accounting principles generally accepted in India and in compliance with Regulation 33 of the Listing Regulations . Our responsibility is to express a conclusion on the Statement based on our review. 3. We conducted our review of the Statement in accordance with the Standard on Review Engagements (SRE) 2410, 'Review of Interim Financial Information Performed by the Independent Auditor of the Entity', issued by the Institute of Chartered Accountants of India. A review of interim financial information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analytical and other review procedures. A review is substantially less in scope than an audit conducted in accordance with Standards on Auditing and consequently does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion. 4. To facilitate assessment of the financial impact of these regula!O<y changes, the Ministry of Labour & Employment issued draft Central Rules and FAQs. Based on management assessment and the inf0<mation available, in line with guidance from the JnsMute or Chartered Accountants or India, the Company had assessed and disclosed the inc<emental impact of these changes. Considering the materialrty, regulatory ctariftcalions received over the quarters and non-recurring nature of this impact, the Company had presented, based on actuarial valuation, the incremental charge/(reversal) relating to past service cost or gratuity liabilrty for the quarter ended March 31, 2026 of Rs. (1,041) lakh and for the year ended March 31, 2026 or Rs. 1,417 lakh under "Exceptional ~ems' in the Statement of financial results for the quarter and year ended March 31, 2026. 5 The figures f0< the quarter ended March 31, 2026 are the balancing figures between the audited figures in respect of the full financial year upto March 31, 2026 and the published unaudited year to date figures upto the third quarter of the relevant financial year which were subjected to limrted review. 6 The Company has no subsidiary/associate~oint venture company(ies), as on June 30, 2026.
