Unaudited Financial Results of the Company ( standalone and consolidated ) for the quarter ended 30th June , 2026 . In terms of Regulation 30 of the SEBI ( Listing Obligations and Disclosure Requirements ) Regulations , 2015 , we hereby enclose a copy of the Unaudited Financial Results for the quarter ended , 30th June , 2026 together with the Limited Review Report from Statutory Auditors of the Company . A copy of the press release is also enclosed for your reference . b . Declared an Interim Dividend of Rs . 1.25 / - per Equity share ( 125 % on par value of Re . 1 / - ) for the financial year 2026-27 . The Record date for the purpose of payment of the Interim Dividend will be 14th August , 2026. The Interim Dividend will be paid to the registered shareholders on or after 24th August , 2026 through Electronic mode only . Pursuant to Finance Act , 2020 , dividend income will be taxable in the hands of the Shareholders with effect from April 1 , 2020. Hence , the Interim Dividend , declared by Board , shall be paid after deducting tax at source ( ' TDS ' ) in accordance with the provisions of the Income Tax Act , 2025 . Communication in this regard will be sent to the shareholders , whose email IDs are registered with the Company and uploaded on the website of the Company under Investor Relations section . The required documents to enable the Company to determine the appropriate TDS rates can be uploaded by the shareholders at https://ris.kfintech.com/formIS/ on or before 13th August , 2026 . We have reviewed the accompanying Statement of unaudited standalone financial results of Sonata • Software Limited (hereinafter referred to as "the Company") for the quarter ended 30 June 2026 ("the Statement") in which, are included interim financial information of 4 branches and an employee welfare trust. 2. This Statement, which is the responsibility of the Company's management and approved by its Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in Indian Accounting Standard 34 "Interim Financial Reporting" ("Ind AS 34"), prescribed under Section 133 of the Companies Act, 2013, and other accounting principles generally accepted in India and in compliance With Regulation 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended ("Listing Regulations"). Our responsibility is to issue a report on the Statement based on our review. 3. We conducted our review of the Statement in accordance with the Standard on Review Engagements (SRE) 2410 "Review of Interim Financial Information Performed by the Independent Auditor of the Entity", issued by the Institute of Chartered Accountants of India. A review of interim financial information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analytical and other review procedures. A review is substantially less in scope than an audit conducted in accordance with Standards on Auditing and consequently does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion. 4. Attention is drawn to the fact that the figures for the three months ended 31 March 2026 as reported in the Statement are the balancing figures between audited figures in respect of the full previous financial year and the published year to date figures up to the third quarter of the previous financial year. The figures up to the end of the third quarter of previous financial year had only been reviewed and not subjected to audit. 4 8 SR & Co. Notes; 1 The standalone financial results above is prepared in accordance with the Indian Accounting Standards (Ind AS) as prescribed under Section 133 of the Companies Act, 2013 read with Rule 3 of the Companies (Indian Accounting Standards) Rules, 2015 and relevant amendment rules issued thereafter. These unaudited standalone financial results thereafter have been reviewed by the Audit Committee and approved by the Board of Directors at their respective meetings held on August 06, 2026. The statutory auditors, 8 S R & Co. LLP have expressed an unmodified review opinion on standalone financia l results. The above unaudited standalone financial results are filed with Stock Exchanges under Regulat ion 33 of the SEBI (Listing and Other Disclosure Requirements) Regulations, 2015 as amended from time to time and are available on the Stock Exchange websites, www.nse india.com and www.bseindia .com, and on the Company1s website, www.sonata-soft,.vare.com. 2 The Company also publishes unaudited consolidated financia l results in addition to unaudited standalone financial results. In accordance with Ind AS 108 Operating Segments, the Company has disclosed the segment information in the unaudited consolidated financia l results. 3 Based on the financial performance of the Company, the Board at its meeting held today, approved an inte rim dividend of~ 1.25/- (125% on par value of~ 1/-) per share. 4 Earnings per share (EPS) for quarterly periods are not annualised. Due to the anti-d ilutive effect of potential equity shares~ the diluted earni ngs per share has been restricted to t he basic earnings per share for the relevant periods reported in these results. 5 On November 21, 2025, the Government of India notified provision s of the Code on Wages, 2019, the Industrial Relations Code, 2020, the Code on Social Security, 2020 and the Occupational safety, Health and Working Conditions Code, 2020, ('Labour Codes') which consolidate 29 existing labour laws into a unified framework governin g employee benefit s during employment and post-employment. Based on the requirements of New Labour Codes and relevant Accounting Standards, the Company had estimated the liability for employee benefits, which had resulted in an incrementa l expense, on account of recognition of past service costs. The Company had assessed and disclosed the incremental impact of these changes on the basis of the b:'.st informa tion available, consistent with the guidance provided by the Institute of Chartered Accountants of India. Considering the mater iality, regulatory-d riven, non-recurring nature of this impact, the Company had presented the same as an 'Exceptional Item' in the standalone statement of profit and loss for the year ended March 31, 2026 consisting of gratuity of !I!: 1,988 lakhs and compensate d absences of"' 632 lak.h.5. The Company continue s to monitor the finalisation of Central / State Rules and clarificat ions from the Government on other aspects of the labour Code and would provide approp riate accounting effect on the basis of such developments as needed. 6 The other equity with respect to quarter ended June 30, 2026 and quarter ended March 31, 2026 represents balance as per the audit ed fina ncial statements of the previous year as required by SEBI (Listing and Other Disclosure Requirements) Regulation s, W15. 7 The figures for the quarter ended March 31, 2026, are balancing figure s arrived based on audited results of the full financi al year ended March 31, 2026 and publi shed year to date unaudited figures for nine months ended December 31, 2025. The statutory auditors have performed a limited review on the results for t he nine months ended December 31, 2025. 8 Upon expiration of the term on May 08, 2026, Mr. Samir Ohir (DIN: 03021413) resigned from the position of the Executive Director. The Board took note of the above at its meeting held on April 25, 2026 and appointed Mr. Rajsekhar Datta Roy as the Chief Executive Officer of the Company with effect from May 09, 2026. The Statement includes the interim financial results of 15 subsidiaries which have not been reviewed, whose interim financial results reflect total revenues (before consolidation adjustments) of Rs. 2,789 • lakhs, total profit (before consolidation adjustments) of Rs. 412 lakhs and total comprehensive income (before consolidation adjustments) of Rs. 390 lakhs, for the quarter ended 30 June 2026, as considered in the Statement. According to the information and explanations given to us by the Parent's management, these interim financial results are not material to the Group. BHD and Sonata Software Solutions, Egypt. . 3 Based on the financial performance of the Company, the Board at its meeting held today, approved an interim dividend on: 1.25/- (125% on par value of'{ 1/-) per share. 4 EPS for the quarterly periods are not annualised. Due to the anti-dilutive effect of potential equity shares, the diluted earnings per share has been restricted to the basic earnings per share for the relevant periods reported in these results. 5 The figures for the quarter ended March 31, 2026 are balancing figures arrived based on audited results of the full financial year and published year to date unaudited figures for nine months ended December 31, 2025. The statutory auditors had performed a limited review on the results for the nine months ended December 31, 2025. 6 The other equity with respect to the quarter ended June 30, 2026 and March 31, 2026 represents balance as per the audited consolidated financial statements of the previous year as required by SEBI (Listing and Other Disclosure Requirements) Regulations, 2015. 7 Further to the disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 on March 07, 2026, regarding the initiation of proceedings by Sonata Software North America Inc. (wholly owned subsidiary) against one of its customers, the Group had created an allowance for expected credit losses towards the entire outstanding receivables from the customer as at March 31, 2026, amount ing to '{ 9,695 Lakhs (USD 10.64 Mn). Considering the materiality of transaction, its non-recurring and litigative nature the Group had disclosed the same as an 'Exceptional item' for the quarter and year ended March 31, 2026. The Management in consultation with legal advisors, are actively engaged in monitoring the matter, and appropriate actions are being taken to protect the Group's interests. 8 The Group and the selling shareholder of Sonata Software Solutions North America, Inc. (formerly known as Quant Systems Inc.) finalized the• payout terms of contingent consideration for the year ended December 31, 2024 vide an amendment to the purchase agreement on May 18, 2025. As per this amendment, an amount of~ 6,538 Lakhs (USD 6.89 Mn) was payable to the selling shareholder , at the sole discretion of the Company, which had been concluded as not payable and disclosed as an exceptional item for the quarter and year ended March 31, 2026 owing to the significance of the amount and the unusual nature . 9 On November 21, 2025, the Government of India notified provisions of the Code on Wages, 2019, the Industrial Relations Code, 2020, the Code on Social Security, 2020 and the Occupational safety, Health and Working Conditions Code, 2020, ('Labour Codes') which consolidate 29 existing labour laws into a unifi ed framework governing employee benefits during employment and post-employment. Based on the requirements of New Labour Codes and relevant Accounting Standards, the Group had estimated the liability for employee benefits, which had resulted in an incremental expense, on account of recognition of past service costs. The Group had assessed and disclosed the incremental impact of these changes on the basis of the best informa tion available, consistent with the guidance provided by the Institute of Chartered Accountants of India. Considering the materiality , regulatory -driven, non-re curring nature of this impact, the Group had presented the same as an 'Exceptional Item' in the consolidated statement of profit and loss for the year ended March 31, 2026 consisting of gratuity of'{ 2,329 Lakhs and compensated absences of'{ 799 Lakhs. The Group continu es to monitor the fin alisation of Central / State Rules and clarifi cations from the Government on other aspects of the Labour Code and would provide appropriate accountin g effect on the basis of such developments as needed. 10 Upon expirat ion of the term on May 08, 2026, Mr. Samir Dhir (DIN: 03021413) resigned from the position of the Executive Director. In USD terms, revenue for Q1’27 stood at $82.0, growth of 0.2% YoY. In CC terms growth of 2.1% YoY. EBITDA (before other income, forex and exceptional items) for Q1’27 stood at ₹119.6 Crores, growth of 3.2% YoY. Q1’27 PAT stood at INR 62.2 Crores (includes Forex loss of INR 6.8 Crores) as against INR 84.2 Crores in Q4’26 (includes a Forex gain of INR 21.7 Crores).
