Chartered Accountants No.861, Anna Salai Chennai - 600 002 Independent Auditors Limited Review Report on the Unaudited Standalone Quarterly Financial Results ofSundaram Finance Limited pursuant to the Regulation 33 and Regulation 52 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 To The Board of Directors, Sundaram Finance Limited, Chennai We have reviewed the accompanying statement of Unaudited Standalone Financial Results of Sundaram Finance Limited ("the Company") for the ~uarter ended June 30, 2026 together with relevant notes thereon ("the Statement") , being submitted by the Company pursuant to the requirements of Regulation 33 and Regulation 52 of SEBI (Listing Obligations and Disclosure Requirements) Regulations , 2015 as amended . 2 This Statement , which is the responsibility of the Company's Management and approved by the Board of Directors , has been prepared in accordance with the recognition and measurement principles laid down in Indian Accounting Standard 34 ("Ind AS 34"), " Interim Financial Reporting", prescribed under Section 133 of Companies Act, 2013 and other accounting principles generally accepted in India. Our responsibility is to issue a report on the Statement based on our review. 3 We conducted our review of the Statement in accordance with the Standard on Review Engagement ("SRE") 2410, "Review of Interim Financial Information Performed by the Independent Auditor of the Entity", issued by the Institute of Chartered Accountants of India. This standard require s that we plan and perform the review to obtain moderate assurance as to whether the financial statements are free of material misstatement. A review is limited primarily to inquiries of company personnel and analytical procedures applied to financial data and thus provides less assurance than an audit. We have not performed an audit and accordingly, we do not express an audit opinion. 4 Based on our review conducted and procedures performed as stated in paragraph 3 above, nothing has come to our attention that causes us to believe that the accompanying Statement prepared in accordance with the recognition and measurement principles laid down in the aforesaid Indian Accounting Standards (' Ind AS') and other accounting principles generally accepted in India, has not disclosed the information required to be disclosed in terms of Regulation 33 and Regulation 52 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 including the manner in which it is to be disclosed, or that it contains any material misstatement or that it has not been prepared in accordance with the relevant prudential norms issued by the Reserve Bank of India in respect of income recognition, asset classification , provisioning and other related matters, to the extent applicable to NBFC .

5 The Unaudited Standalone financial results of the company include results for the quarter ended March 31 , 2026, which is the balancing figure between audited figures in respect of the financial year 2025-26 and the published unaudited year to date figures for the nine months ended December 31 , 2025. We have reviewed the accompanying Statement of Unaudited Consolidated Financial Results of Sundaram Finance Limited ("the Parent") and its subsidiaries (the Parent and its subsidiaries together referred to as "the Group") , and its share of net profit / (loss) after tax and total comprehensive income of joint venture company for the quarter ended June 30, 2026 ("the Statement"), being submitted by the Parent pursuant to the requirement of Regulation 33 and Regulation 52 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended 2. This Statement, which is the responsibility of the Parent's Management and approved by the Parent's Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in Indian Accounting Standard 34 (" Ind AS 34"), "Interim Financial Reporting", prescribed under Section 133 of Companies Act, 2013 and other accounting principles generally accepted in India. Our responsibility is to express a conclusion on the Statement based on our review. 3. We conducted our review of the Statement in accordance with the Standard on Review Engagement ("SRE") 2410, "Review of Interim Financial lnfonnation Perfonned by the Independent Auditor of the Entity", issued by the Institute of Chartered Accountants of India. This standard requires that we plan and perfonn the review to obtain moderate assurance as to whether the financial statements are free of material misstatement. A review of interim financial information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analytical and other review procedures. A review is substantially less in scope than an audit conducted in accordance with Standards on Auditing and consequently does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly , we do not express an audit opinion. We also perfonned procedures in accordance with the circular issued by the SEBI under Regulation 33(8) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 , as amended to the extent applicable .

The Unaudited Consolidated financial results of the Parent company include results for the quarter ended March 31, 2026 which is the balancing figure between Audited figures in respect of the Financial Year 2025-26 and the published unaudited year to date figures for the nine months ended December 31, 2025. 7. Our Conclusion is not modified in respect of the above matter. (a) We did not review the interim financial results for four subsidiaries and one step down subsidiary included in the unaudited consolidated financial results, whose interim financial results reflect total revenue of Rs.622.02 crores, total net profit after tax of Rs.131.81 crores and total comprehensive income of Rs.139 .02 crores for the quarter ended June 30, 2026, as considered in the unaudited consolidated financial results. (b) The interim financial results of one subsidiary, one step-down subsidiary and the Employees Welfare Trust included in the unaudited consolidated financial results were reviewed by one of the joint auditors of the Parent Company, whose interim financial results reflect total revenue of Rs.48.91 crores, total net profit after tax of Rs. I 0.28 crores and total comprehensive income of Rs.22.60 crores for the quarter ended June 30, 2026, as considered in the unaudited consolidated financial results.

(c) The unaudited consolidated financial results also include the Group's share of net profit/(loss) after tax of Rs. 67 .33 crores and total comprehensive income of Rs. 107 .29 crores for the quarter ended June 30, 2026, as considered in the consolidated unaudited financial results in respect of the Joint Venture Company whose interim financial results was reviewed by one of the joint auditors of the Parent Company along with another auditor. (d) Reports of the above entities have been made available to us by the management/considered by us and our conclusion on the Statement in so for as it relates to the amounts and disclosures included in respect of those entities are based solely on the reports of the other auditors and the procedures perfonned by us as stated in paragraph 3 above.
