The unaudited Financial Results ( Consolidated and Standalone ) under Ind AS for the quarter ended 30th June , 2026 . 2. Declared an Interim Dividend of Rs . 1.50 / - per Equity Share ( on the face value of Rs . 2 / - per Equity Share ) for the financial year 2026-27 . The Record Date for determining the entitlement of the shareholders for the payment of aforesaid interim dividend shall be Wednesday , 12th August , 2026 and the said dividend shall be paid to the equity shareholders of the Company within 30 days from the date of declaration . 3. The Grant of Stock Options and Restricted Stock Units convertible into equal number of Equity Shares of the Company under various share - based employee benefit plans . 4. Notes: 1) The above statement of unaudited consolidated financial results for the quarter ended 30 June 2026 have been reviewed by the Audit Committee and approved by the Board of Directors at their respective meetings held on 04 August 2026. These statement of unaudited financial results have been reviewed by the Statutory Auditors of Vaibhav Global Limited (“Parent Company”). 2) These statement of unaudited consolidated financial results have been prepared in accordance with Indian Accounting Standards ('Ind AS') prescribed under Section 133 of the Companies Act, 2013 read with the relevant rules thereunder and in terms of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015. 3) The unaudited consolidated financial results include the financial results of the Parent Company and the financial results of the following subsidiaries and step-down subsidiaries (collectively referred to as ‘the Group’): A. The Company has fixed 12 August 2026 as the record date for payment of interim dividend on equity share. The said interim dividend will be credited/dispatched to the respective equity shareholders within 30 days of the declaration of dividend. 7) The figures for the preceding quarter ended 31 March 2026 are the balancing figures between the audited figures in respect of the full previous financial year and published year to date figures up to 31 December 2025 of previous financial year. Also, the figures up to the end of third quarter of the respective year were only reviewed and not subjected to audit. 8) During the year ended 31 March 2026, certain subsidiaries of the Group operating in the United States of America (‘USA’) had paid import tariffs aggregating to USD 4.59 million (Rs. 4,338.55 lakhs) pursuant to measures introduced under the International Emergency Economic Powers Act (IEEPA). The U.S. Supreme Court in due course ruled that such tariffs were not authorised under IEEPA, and the U.S. Court of International Trade directed th e USA government to refund the tariffs so collected. However, in the absence of a mechanism for such refunds, in line with the principles of Ind AS 37 “Provisions, Contingent Liabilities and Contingent Assets” and considering the nature of this matter, the ultimate outcome of the refund claims, including acceptance and related disbursements was considered possible at that stage. Accordingly, the above amount had been considered as a contingent asset. During the current quarter, the mechanism for such refund was formulated pursuant to which the aforesaid subsidiaries have filed refund claims with the relevant authorities and received a refund of INR 3,839.90 lakhs (USD 4.04 million) along with interest of Rs 148.04 lakhs (USD 0.16 million). The Company has been legally advised that the probability of any further litigation on this matter is remote and accordingly Rs. 2,559.15 lakhs (USD 2.69 million) in relation to items which have already been sold has been recorded as other operating revenue, Rs. 1,280.75 lakhs (USD 1.35 million) in relation to inventory which was still in stock as at 30 June 2026 has been reduced from the value of such inventory and INR 148.04 lakhs (USD 0.16 million) interest income has been disclosed as other income in these financial results. Further, the Company has also paid tariffs aggregating to INR 1,425.73 lakhs (USD 1.5 million) under section 122 of the Trade Tariff act during the period 24 February 2026 till 24 July 2026.

On 7 May 2026, the U.S. Court of International Trade (CIT) ruled in a 21 decision that the 10% Section 122 tariffs imposed under Presidential Proclamation No. 11012 are unlawful. On 11 June 2026, the U.S. Court of Appeals for the Federal Circuit has granted the US federal government’s request to stay the CIT injunction pending appeal. As a result, the US government continued collecting the 10% Section 122 tariffs up until 24 July 2026 while the appeal proceeds before the merits panel. In line with the principles of Ind AS 37 “Provisions, Contingent Liabilities and Contingent Assets” the ultimate outcome of the refund, if any, are not considered probable at this stage and will be accounted for in future periods subject to the conclusion of this matter by the US courts. 9) Segment information as per Ind AS – 108, ‘Operating Segment’ is disclosed in Annexure – I.
