Incide, inoltre il più favorevole calendario fieristico, legato alla presenza, negli anni pari, delle manifestazioni biennali ospitate Mostra Convegno Expocomfort e Transpotec & Logitec. Contribuiscono altresì alla crescita l’incremento dei ricavi derivanti dai servizi di allestimento conseguente all’acquisizione di Stipa SpA nel primo trimestre del 2026. L’EBITDA riflette il già citato andamento dei ricavi ed è stato parzialmente compensato dall’incremento dei costi di struttura e dei costi del personale relativi alla nuova acquisizione di Stipa. Attività Fieristiche Estero ammontano a 5.634 migliaia di euro e presentano un incremento di 1.301 migliaia di euro rispetto al dato dello stesso semestre dell’esercizio precedente (4.333 migliaia di euro). I ricavi del semestre in esame sono relativi principalmente per la manifestazione Exposec organizzata dalla società controllata brasiliana. EBITDA di 1.935 migliaia di euro rispetto a 1.727 migliaia di euro dell’analogo periodo dell’esercizio precedente. La variazione positiva di 208 migliaia di euro è principalmente riconducibile al risultato della joint venture detenuta a controllo congiunto con il partner Deutsche MESSE AG. I ricavi per Congressi ammontano a 47.926 migliaia di euro e presentano un incremento di 10.311 migliaia di euro rispetto al semestre dell’anno precedente (37.615 migliaia di euro). La variazione in aumento è riconducibile principalmente ai ricavi della controllata MiCo DMC che è passata dal consolidamento al patrimonio netto a quello integrale a partire dal 1° gennaio 2026. l’EBITDA è pari a 19.675 migliaia di euro rispetto a 11.045 migliaia di euro dell’analogo semestre 2025. La variazione del semestre di 8.630 migliaia di euro è principalmente attribuibile ai ricavi di Fiera Milano congressi SpA in gran parte legati alla Venue impiegata per le Olimpiadi, che presenta alti livelli di marginalità. I ricavi per Altri settori ammontano a 20.308 migliaia di euro e e presentano un incremento di 13.348 migliaia di euro rispetto al semestre dell’anno precedente (6.960 migliaia di euro). La variazione è dovuta all’entrata nel perimetro di consolidamento delle società Expotrans SpA, Event Logistics Team Srl e Expotrans Pte Ltd a fine aprile 2025 con solo due mesi di ricavi. Altri settori: registra un EBITDA di 2.137 migliaia di euro rispetto a 954 migliaia di euro dell’analogo periodo dell’esercizio precedente e deriva da quanto già evidenziato nei ricavi.

14 ▪ Revenues: increased from Euro 177.9m in 1H 2025 to Euro 245.7m in 1H 2026, showing a growth of Euro +67.9m. The increase in revenues is mainly attributable to the XXV Milano Cortina 2026 Winter Olympic Games, driven both by the use of the Rho exhibition venue and the construction of temporary infrastructure at the exhibition site, as well as by the use of the Milan venue as the Main Media Centre. Revenue growth also benefited from the more favourable exhibition calendar, reflecting the presence, in even-numbered years, of the biennial exhibitions Mostra Convegno Expocomfort and Transpotec & Logitec. Further contributions to revenue growth came from the increase in logistics and stand-fitting services, following the acquisition of the Expotrans Group in the second quarter of 2025 and Stipa S.p.A. in the first quarter of 2026, as well as from the increase in revenues resulting from the full consolidation of MiCo DMC S.r.l. effective from 1 January 2026. ▪ EBITDA: increased from Euro 63.1m in 1H 2025 to Euro 94.0m in 1H 2026, with a positive change of Euro +30.9m. The growth mainly reflects the positive performance of revenues, partially offset by the increase in structural costs and personnel costs related to the acquisitions of the Expotrans Group and Stipa, completed respectively in the second quarter of 2025 and the first quarter of 2026. ▪ Financial management: positive change of Euro +1.8m mainly attributable to interest income on cash investments, the increase in the fair value of investments in ESG mutual funds and the reduction in financial expenses related to lease contracts. ▪ Net result in 1H 2026 amounted to Euro 50.7m, an increase of Euro +27.5m compared to Euro 23.1m in 1H 2025. The change is mainly attributable to the increase in “Trade and other receivables”, primarily resulting from the expansion of the consolidation perimeter following the acquisition of Stipa S.p.A. and MiCo DMC S.r.l., the latter fully consolidated as of 1 January 2026, as well as from the increase in outstanding receivables due from Fondazione Milano Cortina. ▪ (b) decrease in Current Liabilities of Euro 17.4 million, mainly due to: ▪ decrease in “Trade payables” of Euro -7.3 million, mainly related to the settlement of outstanding payables to event suppliers; ▪ increase in “Advances” of Euro 1.2 million, representing the balance between increases due to advances invoiced to customers for events taking place in subsequent quarters (in particular Host) and decreases related to events held during the current semester; ▪ decrease in “Provisions for risks and charges and other current liabilities” of Euro -10.8 million, mainly related to the release of deferred income arising from contracts for the use of the venue for the organization of the XXV Milano Cortina 2026 Winter Olympic Games and from the agreement for the concession of use of telecommunications infrastructure located at the exhibition sites. This effect was partially offset by the increase in tax liabilities towards Fondazione arising from the tax consolidation agreement. ▪ Net Financial Position (pre-IFRS 16) as of 30 June 2026 showed a net financial availability of Euro 109.4 million, compared to a net financial availability of Euro 157.2 million as of 31 December 2025. ▪ The decrease of Euro 47.9 million is mainly related to the acquisitions carried out during the semester under review and to dividend payments; this effect was partially offset by the positive cash flow generated by operating activities during the period. 1 2 ▪ Non-current assets as of 30 June 2026 amounted to Euro 512.8 million, compared to Euro 503.5 million as of 31 December 2025. The increase of Euro 9.4 million is mainly attributable to the Goodwill arising from the newly acquired companies Stipa S.p.A. (Euro 11.6 million) and Made in Steel S.r.l. (Euro 8.8 million). The change resulted in a higher absorption of working capital; ▪ Reduction in deferred income, mainly related to Milano Cortina (Euro -18.3m), due to revenue recognition during the semester; ▪ Decrease in Trade payables (approximately Euro -7.3m); ▪ The working capital dynamics benefited by Euro 11.2 million from the increase in tax consolidation payables, mainly attributable to taxes accrued during the semester. This effect partially offset the cash absorption arising from taxes recognized in the income statement, amounting to Euro 13.9 million, determining a net impact on the tax management cash flow of approximately Euro 3 million.
