JGC INDONESIA, a consolidated subsidiary, prepared its financial statements as of December 31, its fiscal year-end, and significant transactions occurring between that date and the consolidated fiscal year-end were adjusted as necessary for consolidation purposes. In order to provide more appropriate disclosures in the consolidated financial statements, the Company changed its consolidation method from the first quarter of the current consolidated fiscal year, whereby PT. JGC INDONESIA is consolidated based on provisional financial statements prepared as of the consolidated fiscal year-end. As a result of this change, the accounting period of PT. JGC INDONESIA included in the first quarter of the current consolidated fiscal year covers six months, and the effect of the change in fiscal year-end has been adjusted through the consolidated statement of income for the first quarter. The transfer was completed on July 1, 2026, based on the share transfer agreement entered into on April 14, 2026. As a result of the Share Transfer, Swing, together with its subsidiaries, Swing AM Corporation and Swing Engineering Corporation, will be excluded from our corporate group. 1. Reason for the Share Transfer Since 2010, the Company, EBARA Corporation, and Mitsubishi Corporation, have worked together as three shareholders to strengthen Swing’s business structure, supporting its stable growth and addressing management issues. There have been ongoing changes in the business environment, including the expanding adoption of Water PPP* and the full-scale emergence of renewal demand due to the aging of existing facilities.
