This is a friendly acquisition procedure and Dialog's Board of Directors has unanimously resolved this acquisition . In compliance with the City Code on Takeovers and Mergers in the UK ( the " Takeover Code " ) , Renesas has made an announcement of a firm intention to make an offer in relation to the Acquisition as of February 8 , 2021 in the UK . 1.
