Lasertec Corporation (6920) - 2 - 1. Overview of Operating Results and Others (1) Overview of operating results ① Overview of this fiscal year (ended June 2026) In the fiscal year ended June 30, 2026, uncertainty in the economic outlook increased further due to rising energy prices and disruptions to supply chains resulting from heightened geopolitical risks. In the semiconductor industry, our primary market, demand for semiconductors used in AI data centers continued to increase driven by robust investment in the deployment and widespread adoption of agentic AI. Against this market backdrop, strong demand for cutting-edge semiconductors, such as CPUs, GPUs and HBM (high-bandwidth memory), drove market growth. Under these circumstances, our orders in the fiscal year ended June 30, 2026, recovered from 105,226 million yen in the previous fiscal year to 237,504 million yen. However, our consolidated net sales for the fiscal year ended June 30, 2026, totaled 230,485 million yen (down 8.3% year-on-year), reflecting the level of orders received in the previous fiscal year. By product segment, semiconductor- related products accounted for 168,090 million yen (down 17.2% year -on-year), other products for 3,747 million yen (down 32.5% year-on-year), and services for 58,646 million yen (up 36.5% year-on- year). As for consolidated income for the fiscal year, we recorded 105,259 million yen in operating income (down 14.3% year-on-year), 107,895 million yen in ordinary income (down 9.7% year -on-year), and 77,485 million yen in net income attributable to owners of parent (down 8.5% year-on-year). ② Forecast for the next fiscal year (ending June 2027) Uncertainty in the global economy is expected to remain high due to energy price fluctuations caused by geopolitical risks in the Middle East and elsewhere, as well as policy direction in major economies. Under these circumstances, we forecast our consolidated results for the fiscal year ending June 2027 as follows: 290 billion yen in net sales, 125 billion yen in operating income, 125 billion yen in ordinary income, and 90 billion yen in net income attributable to owners of parent. In the semiconductor industry, our primary market, demand for advanced semiconductors is expected to remain high, driven by active investment in AI. (2) Overview of financial position ① Assets, liabilities, and net assets Total assets at the end of the fiscal year amounted to 336, 650 million yen, up 7,048 million yen from the end of the previous fiscal year. This is mainly due to the 5,416 million -yen increase in cash and deposits and the 2,173 million -yen increase in note s and accounts receivable -trade, and contract assets despite the 1,222 million-yen decrease in work in process. Liabilities at the end of the fiscal year amounted to 89,800 million yen, down 29,901 million yen from the end of the previous fiscal year. This is mainly due to the 20,104 million-yen decrease in advances received and the 13,352 million-yen decrease in income taxes payable. Shareholders' equity at the end of the fiscal year amounted to 242,310 million yen, up 34,374 million yen from the end of the previous fiscal year. This is mainly because we recorded 77,485 million yen in net income attributable to owners of parent, while we used 31,131 million yen for dividends of surplus and 12,003 million yen for the purchase of treasury shares. Total net assets, which consists of shareholders' equity, accumulated other comprehensive income, and subscription rights to shares, amounted to 246,850 million yen. The capital -to-asset ratio was 73.3%. ② Cash flows Cash and cash equivalents at the end of this fiscal year amounted to 91,503 million yen, up 5,416 million yen from the end of the previous fiscal year. Following is the status of cash flows and their contributing factors during this fiscal year. Net cash provided by operating activities amounted to 48,540 million yen (down 37.7% from the
Page 6
Lasertec Corporation (6920) - 3 - previous fiscal year). This is mainly because the sum of cash receipts, such as the 107,895 million yen in income before income taxes, exceeded the sum of cash payments, such as the 43,451 million yen in income tax paid and the 21,120 million-yen decrease in advances received. Net cash used in investing activities amounted to 1,883 million yen (down 22.2% from the previous fiscal year). This is mainly due to the 1,492 million yen used for the purchase of property, plant and equipment and the 358 million yen used for payments for guarantee deposits. Net cash used in financing activities amounted to 43,181 million yen (up 75.8% from the previous fiscal year). This is mainly because of the 31,131 million yen used for cash dividends paid and the 12,003 million used in the purchase of treasury shares. Indexes associated with cash flows for the past few years are provided below: Year ended June 2023 Year ended June 2024 Year ended June 2025 Year ended June 2026 Equity ratio (%) 40.2 55.8 63.7 73.3 Equity ratio on market price basis (%) 716.5 1,199.8 531.1 1,323.2 Ratio of interest- bearing debts to cash flows (year) 0.1 -- -- -- Interest coverage ratio (times) 1,452.7 3,194.8 7,012.4 -- - Equity ratio: Equity divided by total assets - Equity ratio on market price basis: Market capitalization divided by total assets - Ratio of interest-bearing debts to cash flows: Interest-bearing debts divided by cash flows - Interest coverage ratio: Cash flows divided by paid interests (Note 1) Each index is calculated based on consolidated financial results. (Note 2) Market capitalization is calculated based on the total number of issued shares minus the number of treasury shares. (Note 3) Cash flows denote the cash flows from operating activities on the consolidated statement of cash flows. (Note 4) Interest-bearing debts denote all interest-bearing liabilities (excluding lease liabilities) on the consolidated balance sheet. (Note 5) The ratio of interest-bearing debts to cash flows for the fiscal years ending June 2024 and June 2025 are not listed because there were no interest-bearing debts during these fiscal years. (Note 6) The ratio of interest-bearing debts to cash flows and the interest coverage ratio for the fiscal year ending June 2026 are not listed because there were no interest-bearing debts and no interest expenses during the fiscal year. (3) Basic policy concerning profit distribution in this fiscal year and the next Our basic policy concerning profit distribution is to flexibly pay dividends based on performance, with a consolidated dividend payout ratio of 35% being the guideline . Our policy concerning retained earnings is to use them effectively for new technology/product R&D, for infrastructure investment and operating capital in line with business growth, and for hiring good talent so that we can further improve the company's quality and establish a solid foundation for long-term sustainable growth. Based on the policy described herein, we are planning to pay a year-end dividend of 197 yen per share for this fiscal year with a 38.1% dividend payout ratio. In the next fiscal year, we plan to pay 351 yen per share in dividends (140 yen as an interim dividend and 211 yen as a year-end dividend) based on the current forecast of financial results.

Lasertec Corporation (6920) - 13 - (5) Notes to consolidated financial statements (Notes on going concern assumption) None (Notes on changes in presentation methods) - Consolidated statement of cash flows From the current fiscal year, “Purchase of treasury shares”, which was previously included in “Other” under “Cash flows from financing activities”, has been presented as a separate line item due to its increased materiality. The consolidated statement of c ash flows for the previous fiscal year is restated to reflect this change. As a result, the 36 million yen used in the purchase of treasury shares in the previous fiscal year, which was previously presented under “Other” in “Cash flows from financing activities”, has been reclassified as (0) million yen under “Purchase of treasury shares” and (36) million yen under “Other”. (Notes on information by business segment) Since the Group only has one business segment—the design, manufacture, and sale of inspection and measurement systems—we do not provide information by business segment.
