Welcome to our fourth quarter presentation for Sikri. My name is Nicolay Moulin, and I'm the CEO of Sikri. With me, I have Camilla Aardal, the CFO of Sikri. We are happy to be here to present our fourth quarter result and summarize some of the most important developments in 2021. We are happy to answer questions after the presentation. Sikri Holding has developed from a software house specializing in and services towards the public sector to become a leading company also within property data, property technology, and data economy in the Nordics. Data is the core of everything we do. Starting with public and private data of good quality and with a deep knowledge of customers' pain points, we create value through well-designed services and solutions, improving public administration, helping private business succeed in their marketplace, and offering better services to the citizens. Our ambition is to build the leading Nordic ecosystem for public administration, property technology, analysis and data. When looking back at Q4 and the whole year of 2021, it has been a demanding year due to both the pandemic that had affected us all, but also the high goals that we have set in developing the Sikri organization further. While more than tripling our revenue and more than doubling our numbers of team members, we have been able to keep momentum in the whole organization, not losing customers or people, delivering overall organic growth of 9% and improved our operational result by 17%. We have kept customer first mindset through the integration of the Ambita into the Sikri Group, and our customer satisfaction is high, and our churn is low. Our order book in public sector has increased, and the Sikri segment has improved annual recurring revenue going into 2022. Due to an increased focus on digitalization within the real estate area, we are leading on in creating new digital services, making the whole segment more efficient and profitable. Nine out of 10 of Ambita's customers have increased the number of services they purchase from us. And last but not least. I'm content with a 146% growth of monthly active users of Boligmappa. In the creation of the new organization, we have some organizational principles. I'm impressed to see that my colleague have embraced maybe the most important one, to be an organization that is customer and market-centric. We were able to shift according to new and changed customer needs and market opportunities. Sikri delivers software and services that help simplify working life and creates value for society. The last two years have led to a major change in working life for both the private and public sector. This has placed even greater demands on digital solution and services with us in everyday life. Our main system, case management and archiving solution, is a core system for all types of businesses in public sector, an off-the-shelf product that can be configured to suit each business needs. Sikri's long experience of integration and using national standards means that the solution speaks to the vast majority of professional systems and joint solution used in the public sector. It forms the basis for coherent services between different departments in the business, between the different agencies, and to and from residents. Sikri has been a driving force in developing a separate professional system within construction case processing, eByggesak. We have also, during 2021, rebuilt our solutions portfolio within governance, risk management, GDPR, compliance, and rules and regulations, increased the numbers of services they purchase from us. In 2021, we made a lot of the functionalities in our PixEdit software, digitalization and optimization of all types of documents available as a cloud service, including open APIs, so it can be built into third parties' applications. Within the Ambita segment, we are continuing to develop values for customers. The service Tinglysning og Samhandling had an increase in revenue of 20.8% in Q4. The increase is mainly due to the increase of 140% in revenue from deeds and 33% on mortgage documents. Fixed monthly subscription revenue for Samhandling has increased by 27%. The Byggesøknad continues to grow each month, and our sales grew by 33% in Q4 compared to last year. A major contribution to the growth can be linked to the launch in January of our new product category, Notification of Plans, planvarsling. The market for digital building application is expected to grow as the regulatory government body has signaled a 20% growth in digital building applications in 2022. In our consumer area, one of our most exciting services is Boligmappa, which is a digital platform for everyone who owns a property. Boligmappa makes it easier to own and maintain your home by harvesting and presenting valuable data and information so that you as a homeowner have all your data on your property available in one place. As there is a service record for every car, Boligmappa can be seen as a home service record documenting the most important investment most of us makes in our lifetime. So far, more than 1.9 million Boligmappa has been created by craftsmen, property owners, real estate agents, and others. Approximately 650,000 have logged in using BankID. More than 4,700 craftsmen companies use Boligmappa solution to simplify and improve their documentation, and this is increasing daily. As some of you probably already heard, a new property sales regulation came into effect in Norway as of January 1st, Avhendingsloven. This has created a huge media attention on the importance of having proper documentation on what has been done on your property. Appraisers are also obligated to deduct value, for instance, on a bathroom renovation or electrical work that cannot be properly documented. This increases the relevance of Boligmappa, where their collection of documents can make it easier for appraisers, real estate agents, and homeowners to meet the new requirements. Homeowners have become more aware of the value of documentation and the important role it can play in the management of what is often their largest investment. This interest has manifested in a 146% increase in monthly active users of Boligmappa during H2. The increased focus on proper documentation and the awareness of Boligmappa as a helpful tool has also led to an increase in the number of craftsmen subscribing to the Boligmappa solution. For the Sikri Group, Boligmappa represents an exciting opportunity to create a consumer-based platform with a wide range of services, and there is a high potential for new innovative solutions. Going forward, we will increase our investment in realizing the full potential of Boligmappa. Over to you, Camilla. Will you run us through some financial numbers? Thank you, Nicolay. 2021 was indeed a busy year for Sikri and a year where we've grown a lot, both organizationally in our offerings and also in regards to our financials. Overall organic growth for the year was 9%, and although Q4 was impacted by seasonality and also by a reduction in license sales, we ended the year on a positive note, as annual recurring revenue in Sikri has increased. We have expanded services to our Ambita customers, and we've been through an integration while increasing EBITDA margin. Adjusted EBITDA has improved by 17% year-over-year. As we communicated after the acquisition of Ambita, we expected to identify NOK 20-40 million in synergies between the two organizations, and we're pleased to report that we are implementing NOK 21 million in cost synergies alone, which is the full year impact in 2022. Revenues within the Sikri segment were NOK 56.9 million for the quarter and NOK 231 million for the full year, leading to organic growth of 11%. We're still investing in expanding our capabilities and hiring more people to be part of developing the software house Sikri. Our EBITDA for the quarter was NOK 16 million and NOK 59 million for the year. We did not expect the effect of introducing a cloud solution to the market would shift this quickly, and almost every customer is choosing our cloud services. As for all software players that are impacted by this transformation, there is a short-term negative impact, as the lack of traditional licensed sales has a direct impact on short-term revenues and margins. As we communicated in the last quarterly presentation, this is for us a profitable transformation, leading to higher revenues over time. As illustrated by this example contract, after 36 months, the two models are break-even. But in the long term, revenues will be up to 60% higher in a cloud model. We believe that we're almost through this shift for the products in the Sikri segment. We experienced an increased demand for additional services during 2021, but in the short term, the negative effect of the reduction in licensed sales year-over-year was NOK 8.5 million for the year. The effect of this is seen in a significant improvement in our annual recurring revenue, which has increased by 18% going into 2022. This, combined with a churn rate of only 1.2% in the segment, means that we are well-positioned to continue the steady growth in revenues for the Sikri segment. The Ambita segment delivered NOK 110 million of revenue in Q4, and NOK 545 million of revenue for the year, leading to 8% growth for the year, a growth that is historically high. We're also pleased to see that we're able to deliver a higher EBITDA for the quarter, and for the whole year, the EBITDA improvement is actually 40% and close to NOK 30 million, with a significant uplift of the margin. Growth in revenue on existing customers in the Ambita segment was 9% in 2021, showing that we are able to maintain our strong existing position, while at the same time expanding our deliveries towards our existing customer base. Nine out of 10 customers have increased the number of services they buy from Ambita in 2021 versus 2020. We have developed new services which are gaining traction. For example, Tinglysning og Samhandling, Eiendomsutvikling, and Datatjenester, services that carry low COGS. This is reflected in the significant EBITDA improvement in Ambita, where adjusted EBITDA margin has increased from 14% to 18%, a whole 4% points. As communicated previously, the revenues in the Ambita segment are correlated with the real estate market. This illustration shows 2021 monthly revenue and the number of properties put up for sale, just as a reminder. All in all, revenue for the quarter was NOK 167 million, and 775 for the year in pro forma terms, leading to a strong year-over-year growth of 9%. We are of course very proud of the significant improvement of profitability in 17%. We have grown, but become more efficient and improved our revenue mix, as well as creating a higher recurring revenue base going into 2022. Capitalization of development costs was NOK 60 million for the year, which is approximately 8% of revenue. We expect this to increase slightly in 2022 as we are developing new solutions and services. Overall, 2021 was challenging, but we increased our operational results by 17%. A quick look at the balance sheet, where there's of course been a lot of changes this year after the acquisition of Ambita. Our non-current assets are largely intangible assets, which is NOK 1,341 million, whereof goodwill comprises approximately 50%. The rest is trademarks, customer base, and software technology. Total equity has increased by NOK 500 million during the year, mainly due to the new equity issued in May, where we raised NOK 460 million by issuing 4 million new shares in the company. We also raised NOK 9.6 million in December after successful ESPP offering to the employees of the group. Current assets vary throughout the year in line with seasonality, but there have been no major changes. Cash is overall stable from Q3. Operational cash flow was at NOK 40 million for the quarter, and loan payments took place in Q4 according to schedule. Total liabilities have increased this year with the new debt raised for the acquisition, totaling NOK 510 million in bank debt and NOK 57 million in sellers' credit. The combined balances of Sikri and Ambita are of course increased accrued supplier costs and deferred revenue. From Q3, the only significant change was the repayment of NOK 26.6 million of bank debt. We closed the year with an equity ratio of 47%. Net interest-bearing debt is NOK 421.8 million. Nicolay, perhaps you would like to comment on our outlook. Thank you. Going into 2022, we feel well-positioned to continue the journey of delivering high-quality services to both private and consumers on a rich and diversified set of data. Sikri is delivering a steady growth in annual recurring revenues according to plan, with a strong 18% growth from January- to- January. Ambita's revenue will still be correlated with the real estate market, but growth in new services is expected to improve margins. Synergy realization is expected to have a positive impact on margin, and we will be co-locating during H1, which will have an increasingly positive effect on creating new cross-segment services, thereby realizing a further synergy also on the revenue side. Boligmappa is expected to further boost their numbers of customers, users, and documents. This is one of our growth areas, and we are investing in creating new services together with partners. I'm excited looking into 2022, both in regard to opportunities for organic growth, but also through M&A. Speaking of the future, Camilla? Yes. Just some upcoming dates that are worth making a note of. These are also published in our financial calendar and on our IR site. Thank you. Any questions that we may ask or, answer? Yes. Actually, we have received a couple of questions. Let me see. The first question is, "What positive synergies are created between the different product areas in the Ambita segment? I think that looking at the different products in the Ambita segment, or as we have talked about before, everything starts with data. What we have seen now for the last period is that we are getting better and better at increasing the value of the data that we already have. Looking at the different types of products we have and adding more elements into the value chains towards our customers is increasing. I think that what we have seen in the numbers for Q4 is, in a way, just a start of what we will see in the future in creating longer and better value chains for customers. Yep. Makes sense. Let us see. We actually have some questions this time. Mm-hmm. Yep Yep We can pick and choose a little. Yep. I think, this is a very interesting one, and of course I understand the question very well. "Can we expect growth in the Sikri segment in H1 given the effect of conversions from license fees to recurring revenue? Yeah. Yes, we can. As announced today, we see an increase of 80% of the annual recurring revenue from January- to- January. But of course, when we do a sale to a new customer, what is happening is, of course, that we start with the implementation project, and that, depending on the size of the customers, could be anything from three to nine to 12 months. When the project is finalized, then we will see the increase of annual recurring revenue. That, at least, that's how we have chosen to present it. Looking back at what we have created in sales in 2021, we will of course now see a growth in the annual recurring revenue also in first half year of 2022. Yep. That's based on largely also, of course, the wins that we had last year. Yep Especially, you know, through Q2 and Q3. Yep Where there were a lot of bids out, and we are winning a lot. Yep. Those are starting to come into effect already in H1, yeah. Good. Okay, we have a couple more questions. Okay, I can take this one. Yeah. Perfect. Can you please elaborate on the revenue development in Sikri? And why are revenues down year-on-year this quarter, but up in previous quarters despite the SaaS transition?" That is a very good question. The long-term trend is as we described, with the license sales now lagging behind, and then the cloud and the ARR building up over time. Our Q3, for those who remember, we did have the election project, which was a very interesting project for us, which compensated for some of that. In Q4, it's important to understand that we also had a high level of license sales, especially in the quarter last year. Q4 is typically a quarter where a lot of maybe public customers make some decisions around their license sales, so that there was a little bit more of that in Q4, impacting the growth year-over-year. I think it's also very important to emphasize that this is what we want in a way. Yeah To transform our clients into a lease situation instead of a sales of licenses. The only question has always been when will it take effect? What we have seen now is it has taken quicker, a positive effect of the conversion over to our cloud solution. Of course it is always good, in a way, to have those one-off license sales, but we are in it for the long run. I think what we have seen now and the progress in increasing of the annual recurring revenue is very positive for us as an organization. Yep. Agreed. Okay, we have a lot of questions with expectations for the coming up period, of course. I hope we answered some of them in the last slide there. Yep. Let's see. We are being asked, what is the run rate of revenues in Boligmappa today? We haven't.. We haven't really- Communicated those numbers. As we communicated, we will in the next quarterly presentation for the first quarter of 2022, we will do some more segmenting of the different areas in the Sikri Group. We will then come back to those numbers. What we can say is that we see an increase in annual recurring revenue in that specific field, of course. Yes. That's correct, as you said, we have reorganized the new common organization, and we'll be reporting in the three segments. Yep Separately by the next quarter. Yep. Consumer and Boligmappa will be an extra focus area with separate KPIs, et cetera. Perfect. Yep. Good. I think that's about. Yep What we have time for right now. Yep.
