Welcome everyone to this extraordinary general meeting for Adventure Box Technology AB, July 30, 2025, at 9:00 A.M. Central European Time, summertime. The first order of business, just to ensure we all understand, we're here to elect a new board of directors. We'll go into that a little bit later, but the first order of business is—oh, hang on, more people are trying to join. Michael, are you there? Are you able to hop on? Anyway, I'll assume so. The first order of business is to elect a chair of the meeting. I've had some shareholders already suggesting me. If there are any objections, please speak now. No offense if there are objections. I'm totally fine if you prefer someone else. If there are any objections or suggestions, please raise your hand. I have questions. Sure. I don't know how to put this without anybody feeling offensive. I'm just worried that the worst case is that the new owners with the 55%, 51% that they will just do some other business, not sell out, but just use the company to do something completely different. Christian, if it's okay with you, and I apologize for doing this, just so we can keep to the agenda, at the end, after we've done the discussion on the proposed board members, I think it would be a great time to have a Q&A at that point. I think, you know, and just to give you some reassurance, I think what's important about the new board election is it's going to, they'll be able to appoint a new CEO, which we need to do. We need the new board. Otherwise, I then have to contact the, I'll just call it the Bullock because I'm not going to pronounce the full name correctly, and I apologize for that. They would just have to appoint a board, and they may make other determinations entirely. I think with the investors that are here, the consortium of investors, they are very interested in keeping the company going. I think with the new board and the new CEO, they'll be able to more effectively communicate what the strategy is for the company. I think the important thing is that they have the best interests of the company in mind to keep it continuing forward. I needed. Okay. Thank you. I'm sorry, we can talk more after the formal vote on the new board members. I think we'll get there in a minute. Thank you for your question. Is there anything else from anyone before I—hang on a second. We have Michal. Yes. Sorry for coming in a bit late. I'm not sure if I missed out on it, but you're being voted, or you're being put forward as a vote for the new CEO. Is that correct? No, I'm not. I'm just, the vote was for me to chair this meeting, and that's it. Oh, sorry. We'll get to that. All right, thank you. Yeah. Yeah. Okay. No problem. Thank you. Okay. If we can continue on, we, and I apologize because we've been fighting quite a few fires myself as an independent non-executive intern Chairman. Yakub, who had been with the company for a while, has been a superstar in kind of helping me navigate through some of these things. We have done the best we can to prepare the voting list. What we have in terms of what we could match up with the voting register is we have Bo Iverson, Nicky, and I apologize if I'm butchering the name. Is it Faux? Then Pia Faux, Jonas Andersen, Rickard, who I did not see join but had accepted, and Yakub. If we have missed anyone, it's only because we have not matched up a name with the share register. I think we can keep it there, possibly. I think partially the reason why we may not have been able to match up your name is I think some people have their shares under a holding company or something along these lines. I think for the vote, as far as I understand the rules, Yakub, we need to have the named person. Is that correct? Yeah. Okay. That's correct. Okay. Thank you. Okay. Just to approve the agenda, it's for the election of new board members. We have the proposed members of Jan Sørensen, Bo Iverson, and Jesper Sø. If we can put that in the minutes, Yakub, that would be great. I think we need one person to verify the minutes for this meeting. If someone who has joined would like to do that, I don't know who would want to. Yes, Michael. I can do that if you like. Okay. Great. Perfect. Thank you. Sorry. Yeah, I think we need someone who's actually name registered. Okay. Apologies for that. Michael, I apologize. If that's the case, maybe of the people, Bo, would you be available? I'm just going from the top of my list. Bo, would you be available to verify the minutes? Yes, no problem. Okay. Thank you. In that case, let's move on to the election of the new board members. I think we have two of the three who have joined. We have Jan Sørensen and Bo Iverson here. I didn't see the other Jesper Sø joining. Bo and Jan, do you want to quickly introduce yourselves to everybody and talk a little bit about your background? Would you start, Bo? Yeah, yeah. Go ahead, Bo. Yeah, I can do that. Hello, everybody. Bo Iverson from Denmark. I have a background as an entrepreneur and have been working in developing different companies the last 25 years. The latest one was a listed company in Denmark. My background is mostly commercial. I think that's more or less it. Thank you, Bo. Jan. Yes, I will say my background is almost the same as Bo. I'm a serial entrepreneur. I've started up a lot of companies. I still have some of them and even some listed companies. My background is I have a degree in engineering and an MBA. I do a lot of these things, trying to rescue companies or see what can be done with them. Okay. Thank you. I guess I would assume that we can open it up a little bit if anyone has any questions about the or to Jan or Bo. If not, then we can move to the formal vote. I think Jesper Sø was there as well. Oh, Jesper. Sorry. I apologize. Jesper, welcome. I'm sorry for missing you there. Please, if you have a moment, introduce yourself and give a little bit of your background. I don't think he's there. You need to put your sound on, Jesper. Yeah. Sorry. Yeah. Oh, okay. Lovely. Nice to meet you. I can say the same as Jan and Bo. I'm a serial entrepreneur. I'm from Denmark. I am also an engineer, but in medicine and technology. I have two master's degrees in business. At the moment, I work primarily with coffee, and that's my big, big passion. I'm looking forward to going into this adventure. Great. Just so you know, Jesper, I actually buy green beans and I roast my own beans. Amazing. I do the same, but I guess probably in bigger quantities. Yeah. I do them in small batches anyway. Now that we've had all three, and I apologize again, Jesper, does anyone have questions for Jesper, Bo, and Jan? Okay. If there are no questions, by show of hands for those who can vote, I guess this is going to be the easiest way. I apologize that we're doing this by Google Meet. We're trying to get all of our systems back up and running. Can we show of hands voting in favor of the current board election? Okay. Okay. Okay. I guess I. Okay. Fine. All right. Looks like we're good to go there. Thank you, everyone. If there are any objections, please speak up now. You know, it's an open forum, so let us know now. One other thing we would like to do is open this up. Of course, we're going to have a vote with the shareholders who can vote. We would like to open it up to if there is someone here who would also be interested in joining the board. I know this is a little bit unusual, but we feel that in the interest of transparency and forward movement, it potentially is a good idea to have someone else. If there is anyone here who might be interested in joining, please let us know now, and then we can do a formal vote. By that formal vote here, you would be appointed to the board. Anyone? Okay. Thank you. I guess with that, Jesper, Bo, and Jan, welcome to the board. I can't tell you how much I'm happy you're joining and you're going to be able to help move the company. Oh, sorry. Yakub? Sorry. Go ahead, Yakub. We should probably designate who's Chair for the minutes. Sorry. I thought we had done that at the start. That's me. I might have missed it. I'm sorry. Sorry. That's me. Anyway, yes. I look forward to working with you. Just so everyone knows, now that we have the new board appointed, they will appoint a new CEO. I think what's going to be good about that is the new CEO will then be able to more effectively communicate the strategy going forward. I think one of the priorities, obviously, is getting the annual report done, which has not been done. Of course, calling an additional EGM or just a proper AGM is also a priority. I'm sure you'll be seeing announcements coming in very quick succession now that we have a proper board in place. That's good. With that, I do want to open it up now for questions, although the only agenda item we have is to elect the new board. I need to leave the meeting, but thank you so much. Meet you. Yeah, no, thank you, Jesper. Congratulations and thank you for being part. Thank you so much. I have a newborn. She's four weeks old. Congratulations. Thank you so much. Okay, have a great meeting. Bye. Okay, hello, Per. Hello, I'm just curious if you can tell anything about the new direction of the company and also if you can tell us about the announced de-listing from Nasdaq First North on August 5. Will you try to force that, or what's your plan for it? I think, from what I've discussed with the consortium of investors and the reason why we needed to appoint a new board is we needed some additional help and insight on sort of looking at what our strategy is going forward. I think certainly they're going to be able to help. I'll just say this. There was the original idea of acquiring Lion Gaming to create a new vertical for the company to drive additional growth. This is why the previous Chairman and the two former CEOs all worked together to do that. When Duncan was put in as CEO after the acquisition of Lion Gaming was completed, the focus there was on additional M&A, and then his primary focus had to be on raising capital. Unfortunately, it's been an absolutely brutal market to raise capital, and it just didn't materialize. It wasn't for lack of trying. At some point, the board needed to take corrective action. We found the consortium of investors who felt there was something they could do with the company. The listing, I don't think it necessarily can be saved. Certainly, I would say we will try every avenue to do that. I wouldn't promise anything at this point. I think what we're going to have to do is let the board appoint the new CEO, and then they work together on what that strategy may or may not be with Nasdaq. I know that doesn't, you know, may not answer your question in detail, but I think you will see in very quick succession because we do have the August 5th date coming up, some announcements on that may give a better indication on direction. I hope that that helps a little bit, Per. Yeah, that's okay. I understand that you can't tell so much because you need to do press releases, but we keep faith in you. Thank you. I have a lot of faith in the board, the new board. I have a lot of faith in the consortium of investors. I think they're very eager to try and do the best they can. I know they're dedicated. Thank you for your question, Per. Kirsten? I have a question about the liquidity. Do we have another company that is a partner that is guaranteed the liquidity since the last one with the agreement with the company? I do not, Yakub, I don't think we do. I think we're going to have to work with the board to appoint a new certified advisor. I think we're square with EuroClear at the moment. In terms of liquidity, Yakub, I don't know. I'm sorry, but the question is, do we have a liquidity guarantee? Am I understanding that correctly? Yeah, yeah, that is my question. Yeah. Okay. We do not at the present moment. Yeah. I have another question. What about the CFO? Is that a new person too, or is he? Yeah. We will have to appoint a new CFO. I think the important thing right now is to appoint the new CEO, start focusing on getting the annual report completed, doing some cleanup there, and sort of figuring out our next steps over the coming weeks. I think we will be in a position, hopefully, to appoint a CFO. Although a CFO is going to be important going forward, I think we need to take these tactical steps first. Is that it, or did you raise your hand again, Kirsten? No. Oh, okay. Sorry. It's somebody else. Okay. Sorry. Oh, Per. Yes. Yes. Do you have a plan B if there will be no listing on the stock market, or is that the goal? Yeah, I think that is the topic of discussion because I am effectively, not anymore, but the previous board had to resign about a week and a half ago. I was the only director left. That's the reason I had to call for this EGM to appoint a new board. I've been discussing with some of them just how we want to approach this. I think there will be announcements coming in quick succession on some of these matters. I'm really sorry for being cryptic. I just don't want to run afoul of the rules. I know that the idea of, you know, there's plan A, and then plan B, and plan C, and plan D, and all these are being discussed right now. Okay, no worries. We will be a little bit patient and see a lot of press releases in the future. Thank you. I really appreciate it. I think with a new board and a new CEO, we will hopefully be true to the spirit of better transparency and better communication. Okay, Robbie. Got it. Sorry. Let's see. I'm currently not. I cannot speak to that, Robbie. I think this is part of what the new CEO is going to be doing. I was brought on as an independent non-executive board member and then Interim Chairman in February to be officially appointed during the AGM, which did not happen. I think right now we're currently in the process of garnering all the information on Lion Gaming and some of the other assets. I'm sure that in due course, the new CEO will be able to communicate more effectively on where some of these things sit. That's it. I apologize. I don't have more than that at the moment, but there's a lot that I'm trying to do. I actually do have a day job that this Adventure Box stuff is taking all my time away from, and I do need to give some focus there. Also, Yakub, who technically isn't working for the company, but he's been an absolute superstar in helping me navigate some of these things. If you just give us a little bit of time, we'll be able to address some of these questions. I'm sorry, I don't have more than that. Anything else from anyone? If that's the case, then we are closing the meeting at 30th July at 9:30 A.M. Central European Summer Time. I really appreciate everyone's participation. Thank you so much. Thank you for your continued patience. I am confident now with the new board, we'll be able to move things in a positive direction. That's it. Thank you, everybody. Have a wonderful rest of the week. If you're having your summer vacation, I hope you have a good remaining vacation. Bye. Thank you. Likewise. Thank you. Bye-bye.
