Overview of financial results ▪ Net sales amounted to 19.9 MSEK (23.3). ▪ Gross profit amounted to 0.8 MSEK (3.1), corresponding to a gross margin of 4.0 percent (13.5). Q1 · 1 MAY 2026 – 31 JULY 2026 Significant events Significant events during the period ▪ On May 11, XXI Capital AB assumed an existing loan of 5.5 MSEK from Blockchain AB to Goobit Group AB. The refinanced loan carries 0 percent interest and runs for five (5) years, with the right to early repayment at any time. At maturity, Goobit may repay 50 percent in cash and 50 percent in shares at market value, and XXI Capital AB may use the claim as set-off in a future share issue. ▪ On July 2, the Swedish Financial Supervisory Authority (Finansinspektionen) rejected Goobit AB’s application for authorisation as a crypto-asset service provider under MiCA. The Company requested reconsideration and filed an appeal on July 23, holding that the authority had not carried out a sufficiently individual and proportionate assessment and that the Company had not been given adequate time to respond to material questions. Finansinspektionen declined to reconsider the decision on July 28, and the matter therefore proceeds to the Administrative Court in Stockholm. In connection with the process, Goobit AB strengthened its independent control functions with full-time Chief Compliance Officer, Money Laundering Reporting Officer and Risk Manager roles. Significant events after the quarter ▪ In August, the remaining parts of the exchange business were changed from trading Bitcoin against the Company’s own inventory to executing customer orders. As the Company no longer takes a position in the underlying asset, revenue from these transactions is recognised on a net basis from the second quarter of 2026/2027. This follows from the change in how the business is conducted; the accounting principles are unchanged and comparative figures are not restated. Both reported revenues and exchange costs decrease, while gross profit, the remaining parts of the income statement and the balance sheet are unaffected. Applied to the first quarter, revenues of 19.9 MSEK and exchange costs of −19.1 MSEK would have been reported as approximately 2.2 MSEK with exchange costs of 1.4 MSEK, and unaffected gross result. Reported revenues and gross margin for the second quarter will therefore not be comparable with the first quarter, and transaction volume will continue to be presented alongside revenues. ▪ On August 14, it was announced that Gustav Buder succeeds Christian Ander as Chief Executive Officer with effect from August 15, 2026. Christian Ander continues in a more strategic role within the Company’s board of directors. ▪ On August 31, the Extraordinary General Meeting elected Joakim Dahl as a new member of the Board for the period until the close of the next Annual General Meeting. Carl-Viggo Östlund left the Board with immediate effect. ▪ On September 2, the Company sold 3 BTC from its Bitcoin treasury for 2,216,674 SEK to fund ongoing operations. CEO’S COMMENTS First quarter 2026/2027 Dear Shareholders, I took office as CEO of Goobit two weeks after the end of the quarter. During my first period in the role I have, together with the organisation, gone through the business to understand what we should build on and what we need to change. It has strengthened my conviction about the Company’s opportunities, and it has also made the challenges we need to address clearer. The quarter was weaker than the corresponding period last year. The Group carried out no OTC business during the period, and a write-down of the Bitcoin inventory weighed on the result. At the same time, the number of transactions increased compared with the corresponding period last year. There is therefore activity to build on, but we need to improve profitability and reduce our vulnerability when larger trades do not materialise. My focus is to strengthen the business together with the team and to develop an offering that makes more customers choose Goobit and stay with us over time. We have already begun to change how we work. A changed business model and accounting treatment Since August we execute customers’ orders instead of trading against the Company’s own Bitcoin inventory. This reduces the Company’s exposure to price movements in connection with customer transactions and simplifies the business. The change also affects the accounting. From the second quarter, revenue from these transactions is recognised on a net basis. This means that reported revenue will be lower without customer trading activity necessarily having declined. Revenue will therefore not be directly comparable with earlier periods, and transaction volume becomes a more important measure for following the development of the business. The new model is a concrete step towards a less exposed business. To improve profitability we also need to develop the offering and strengthen customer relationships. The MiCA process continues On July 2, the Swedish Financial Supervisory Authority rejected Goobit AB’s application for authorisation under MiCA. The Company does not share the authority’s assessment in several central respects and requested reconsideration and appealed the decision on July 23. The matter is now before the Administrative Court in Stockholm. Goobit AB continues to operate while the appeal is being examined. The process means continued uncertainty. The timing of a decision and its outcome lie outside the Company’s control. We continue to work on the matter while focusing on developing the business. Financial position The capital base needs to be strengthened, and the Board continues to work on the Company’s financing. After the end of the period the Bitcoin price rose, and the Company sold part of its holding to fund ongoing operations. The financial position calls for clear priorities. We need to manage the ongoing needs of the business while creating the conditions for long-term profitability. The change to the exchange model is part of that work. A clearer offering to more customers Goobit’s future cannot rest solely on competing for individual Bitcoin transactions. In that market, margins are under pressure while requirements rise and large players have considerable resources. Our starting point is fifteen years of experience, established customer relationships and knowledge of Bitcoin and the crypto market. The task is to turn these assets into an offering that gives customers reason to choose Goobit and to keep using it over time. The market supports that ambition. According to the Nordic Crypto Adoption Survey 2026, 11.1 percent of people in the Nordics own crypto-assets, compared with 9.6 percent the year before. In Sweden the corresponding share is 13.4 percent. As more people begin to use crypto-assets, services need to be understandable and accessible also to those without prior knowledge. Clear information, simple services and trust in the counterparty become central parts of the offering. That is the development we are building for. We want to make it easier for more people to own Bitcoin, and to create customer relationships that reach beyond a single purchase or sale. I took this role because I see a clear opportunity for Goobit to take that position. We have the experience to build on, and work ahead of us that will require focus and persistence. FINANCIAL OVERVIEW Financial overview The Group’s results, financial position and liquidity for the first quarter. The Group’s net sales Net sales for the period amounted to 19.9 MSEK (23.3) and transaction volume to 19.9 MSEK (29.4). The Group carried out no OTC transactions during the period. Net revenue accounting is applied to OTC orders only, and net sales and transaction volume are therefore equal for the quarter, whereas the comparative period included OTC volume reported on a net basis. The number of transactions increased compared with the corresponding period last year. The absence of OTC business, together with fewer large standard transactions, is the main reason for the lower net sales. The Group’s operating profit Gross profit amounted to 0.8 MSEK (3.1), corresponding to a gross margin of 4.0 percent (13.5). Gross profit was affected by the absence of OTC transactions during the period and by a write-down of the Company’s Bitcoin inventory of 1.2 MSEK. The Bitcoin previously held under the Company’s treasury strategy was reclassified from intangible fixed assets to inventory as of April 30, 2026, and is measured at the lower of cost and net realisable value at each balance sheet date. EBITDA for the period amounted to −2.0 MSEK (−0.9) and operating profit to −2.8 MSEK (−1.7). Financial position and liquidity The Group’s balance sheet total as of July 31, 2026, amounted to 15.1 MSEK (26.6). The Group’s equity at the end of the period amounted to 1.4 MSEK (9.8), including the shareholders’ contribution, and the equity/assets ratio stood at 9 percent (37). Cash and crypto currency holdings at the end of the period amounted to 8.6 MSEK (12.3). After the end of the period, the Bitcoin price increased substantially, and the Company sold 3 BTC, converting part of the holding into cash. As of September 10, 2026, cash and crypto currency holdings amounted to 10.2 MSEK. Personnel During the period, the Group had an average of 10 (10) employees. In addition, the Company engages a number of contracted consultants, primarily developers, working on ongoing projects for the Company. The Parent Company The Parent Company’s (Goobit Group AB) operating profit for the first quarter amounted to −1.0 MSEK (−1.0). The result after financial items amounted to −1.0 MSEK (−1.0). The Parent Company’s equity at the end of the period amounted to 8.3 MSEK (19.3), including the shareholders’ contribution, and the equity/assets ratio stood at 26 percent (43).
