INTERIM REPORT · JANUARY - JUNE 2026 · SIMRIS GROUP | 2 CEO UPDATE Simris Group Interim CEO update During the quarter, we continued to strengthen the foundations of Simris Group. I am pleased to welcome Professor Andreas Pahl as CEO of Simris Biologics. His extensive experience in ADC development represents an important addition as we advance our strategy and further develop our oncology platform. I am also delighted to welcome Dr. Tiffany J. Vora as Strategic Advisor to Simris Group. Her combination of scientific expertise and deep connections across the U.S. biotechnology and investment ecosystem will be an important asset as we continue to build the Company and expand our strategic relationships. I would also like to thank our shareholders for their continued confidence. The ongoing warrant exercise, representing approximately EUR 1 million in expected proceeds, extends our financial runway and allows us to continue executing our strategic priorities. Finally, we continue to make progress in the divestment of our Hammenhög facility. We remain hopeful that these efforts will result in a successful transaction in the near future , allowing the Group to further strengthen its financial position and sharpen its focus on the development of Simris Biologics. Daniel Kubitza Interim CEO Simris Group Simris Biologics CEO update It is a privilege to address you for the first time as Chief Executive Officer of Simris Biologics. Since joining the Company, I have been impressed by the dedication of our team, the strength of our scientific capabilities, and the innovative platform tha t has been established to advance next -generation antibody- drug conjugate (ADC) payloads. Simris has built a differentiated approach to ADC payload discovery based on a solid scientific foundation and a clear focus on addressing significant unmet medical needs in oncology. ADCs continue to transform the treatment landscape for cancer patients, and I believe the Company is well positioned to capitalize on this rapidly growing field. Our proprietary technology, scientific expertise, and commitment to innovation provide a strong basis for creating long-term value for patients, partners, and shareholders. During the quarter, we continued to focus on strengthening our scientific and operational capabilities while evaluating opportunities to accelerate the development and commercialization of our technology. As we move forward, we will also look into the generation of ADCs, which can be developed clinically. We will also consider non-cyanobacterial payloads in order to expedite the transformation of the company into a fully fledged ADC company. While challenges remain in today's financing environment for biotechnology companies, I am confident that Simris is well positioned to build on its achievements. INTERIM REPORT · JANUARY - JUNE 2026 · SIMRIS GROUP | 3 OVERVIEW NET REVENUE AND PROFIT The sales for the quarter decreased by 71% and amounted to SEK 196k (687k) and the sales for the interim period decreased by 27% and amounted to SEK 620k (846k). The EBITDA result for the quarter improved by 35% to SEK -1 927k (-2 980k) and the EBITDA result for the interim period improved by 39% to SEK -4 110k (-6 704k). The EBIT/ Operating result for the quarter improved by 19% to SEK –5 437k (–6 693k) and the EBIT/ Operating result for the interim period improved by 21% to SEK –11 063k (–13 981k). The financial net for the quarter amounted to SEK -1 314k (-1 485k) and the financial net for the interim period amounted to SEK -2 661k (-992k). As of 1 January 2026, exchange rate differences attributable to the EUR-denominated earn-out liability related to the acquisition of Simris Biologics are recognized in the Group’s financial income and expenses. In the Parent Company, such exchange rate adjustments continue to be capitalized as part of the acquisition value of the shares. For the quarter, exchange rate adjustments related to the earn-out liability concerning Simris Biologics amounted to SEK -1 200k (0) and for the interim period SEK -2 196k (0). The total inventory value amounted to SEK 1 104k (495k) at the end of the interim period. All inventory accounted for at the end of the interim period is related to Simris Biologics. FIXED ASSETS The total book value of the Group’s fixed assets amounted to SEK 128 250k (142 579k) at the end of the period. Intangible Assets at the period were SEK 118 325k (129 537k). Tangible Assets at the end of the period were SEK 9 925k (13 042k). The depreciation of fixed assets was made according to relevant accounting standards with SEK 3 510k (3 713k) during the quarter and with SEK 6 953k (7 277k) during the interim period. Fixed assets are depreciated over 5–10 years for most fixtures and fittings, and over the remaining lifetime for patents (15 years for the patents and technology gained through the Cyano Biotech acquisition, now renamed to Simris Biologics), and up to 50 years for the buildings. LIQUIDITY AND FINANCING Cash flow from operating activities decreased by 34 percent to SEK -2 554k (-1 901k) during the quarter and cash flow from operating activities improved by 9 percent to SEK -6 521k (-7 185k) during the interim period. Cash flow amounted to SEK -2 772k (-1 972k) for the quarter and cash flow amounted to SEK 6 522k (-920k) for the interim period. At the end of the period, cash and cash equivalents amounted to SEK 7 987k (1 026k). The total liabilities at the end of the period amounted to SEK 136 966k (152 534k). The deferred tax liability at the end of the quarter amounting to SEK 35 497k (38 896k) is not a payable debt as it is related to the purchase price allocation of Simris Biologics. It is important to note that €8m of the long-term debt on the balance sheet is associated with the acquisition of Cyano Biotech (now Simris Biologics). This is the maximum earn -out remaining to be paid for the acquisition of the ADC platform. For this to become payable, Simris Biologics would have to first earn sales revenue of at least €80m from the ADC platform over the next 15 years. This revenue would be expected to be at a very high profit margin. Importantly, Simris Group has executed a back-to-back agreement with Simris Biologics whereby Simris Biologics will recompense Simris Group for the amount of this future earn-out payment. On December 23, 2024, Simris entered into convertible loan agreements totaling EUR 600k, with an option for the lender to increase the amount by an additional EUR 900k. In addition, at the extraordinary general meeting held on January 20, 2025, the Company resolved to enter into convertible loan

The loans were provided by Frank Puccio (EUR 50k), Royce CoLabs AB, a company controlled by Jonathan Royce (EUR 10k), Magnus Högström (EUR 30k), Arminnovate Ltd, a company controlled by Dr. Alexis Roberts- McIntosh (EUR 20k), and Christoffer Tell AB, a company controlled by Christoffer Tell (EUR 30k). The loans initially carried interest at 1.0 percent per month and matured on December 31, 2025. At the annual general meeting held on May 28, 2025, the maturity date was extended to March 31, 2026. From August 1, 2025, no further interest accrued on the loans. The lenders had the right to convert outstanding loan amounts, including accrued interest, into newly issued class B shares at a subscription price of SEK 0.05 per share, subject to adjustment in future capital raisings. Following the resolutions at the extraordinary general meeting held on January 19, 2026, outstanding loan amounts and accrued interest under the EUR 600k facility were set off through a directed issue of 140 905 267 units, each consisting of one (1) class B share and two (2) warrants, corresponding to 140 905 267 new class B shares and 281 810 534 warrants. The share capital increased by SEK 1 409 052.67 as a result of the issuance of the class B shares and may increase by an additional SEK 2 818 105.34 upon full exercise of the warrants. At the same extraordinary general meeting, outstanding loan amounts and accrued interest relating to the EUR 140k management and related-party loans were converted into newly issued class B shares at a subscription price of SEK 0.05 per share. The conversion was allocated as follows: Frank Puccio 11 654 346 shares, Royce CoLabs AB 2 330 123 shares, Magnus Högström 7 006 032 shares, and Christoffer Tell AB 6 992 607 shares. In addition, CEO Daniel Kubitza invested EUR 40k in cash and received 8 800 000 newly issued class B shares. The Brand Laboratories FZ (TBL) had previously provided the business with a loan facility of €778k. The facility maturity date is 1 January 2027, and interest was charged at 1.0% per month until 31 July 2025. The total loan including accumulated interest is per 31 July 2025 €856k. After August 1, 2025 Interest will be charged at 0% per month. On 16 December 2025, the Board of Directors, by virtue of the authorization granted by the annual general meeting held on 28 May 2025, resolved on a directed issue of 330 000 000 units, each unit consisting of one (1) class B share and two (2) warrants of series 2025/2027, at a subscription price of SEK 0.05 per unit. The warrants were issued free of charge. Through the issue, the Company received proceeds of approximately EUR 1,5 million before transaction costs. The issue resulted in the issuance of 330 000 000 new class B shares, increasing the share capital by SEK 3 300 000, from SEK 6 251 448,98 to SEK 9 551 448,98. Each warrant entitles the holder to subscribe for one (1) new class B share at SEK 0.05 during the period up to and including 31 December 2027. Upon full exercise of all warrants, an additional 660,000,000 class B shares may be issued, corresponding to a further increase in share capital of SEK 6,600,000. The transaction was subscribed to in December 2025 and January 2026. The transaction is fully paid for and registered in January 2026. Subsequent to the end of the reporting period, the Company announced that holders of warrants have declared their intention to exercise a total of 223,3 million warrants, corresponding to expected gross proceeds of approximately EUR 1 015k. The warrant exercise period is currently ongoing. The proceeds and any resulting share issuance will be recognized upon completion of the subscription process and are therefore not reflected in the financial statements as of 30 June 2026. The Board of Directors wishes to inform stakeholders that the company's current cash reserves may not be sufficient to cover ongoing operations through the end of the calendar year. We recognize the gravity of this situation and are actively working on multiple fronts to secure the necessary funding to support the company’s ongoing operations and future growth. Efforts are underway and the board explores various financing options, including debt refinancing, potential loans, new investment opportunities, and strategic partnerships. The Board remains committed to ensuring the long-term stability and success of the company and will continue to update stakeholders as progress is made.

The solidity was 0,6 percent, compared with -0,3 percent on December 31, 2025. The total number of shares amounted to 1 349 793 273 B and the share capital amounted to SEK 13 497 932,73. Each share has a quota value amounting to 0.01 SEK. OPTION PROGRAM At the end of the quarter Simris Group had two outstanding option programs from capital raise of units. Series 2025/2027 consists of 660 000 000 options and was issued to the investors in January 2026. The options have a term of three years, and each option gives the right to subscription of one B share at a subscription price of SEK 0,05 per share until end of 2027. Utilization of outstanding options corresponds to a dilution of the share capital by 32,8 percent. Series 2026/2027 consists of 281 810 534 options and was issued to the investors in January 2026. The options have a term of three years, and each option gives the right to subscription of one B share at a subscription price of SEK 0,05 per share until end of 2027. Utilization of outstanding options corresponds to a dilution of the share capital by 17,3 percent. STAFF AND ORGANIZATION The average number of full-time equivalents (FTEs) employed during the quarter amounted to 5 (6) and the average number of full-time equivalents (FTEs) employed during the interim period amounted to 5 (6). At the end of the quarter, the Group had 5 FTEs excluding the CEO and the CFO that are contracted as consultants. PARENT COMPANY Simris Group AB is the parent company. Net revenue for the Parent Company during the quarter amounted to SEK 0k (0k) and amounted to SEK 0k (0k) for the interim period. EBIT/ Operating result amounted to SEK -2 270k (-2 732k) for the quarter and amounted to SEK -4 369k (-5 029k) for the interim period. Result before tax amounted to SEK -3 191k (-3 715k) for the quarter and amounted to SEK -7 598k (-5 817k) for the interim period. TRANSACTIONS WITH RELATED PARTIES At the extraordinary general meeting held on January 20, 2025, Simris Group AB (publ) resolved to enter into loan agreements totaling EUR 140 000 with related parties, including Frank Puccio (EUR 50 000), Royce CoLabs AB, a company controlled by Jonathan Royce (EUR 10 000), Magnus Högström (EUR 30 000), Arminnovate Ltd, a company controlled by Dr. Alexis Roberts-McIntosh (EUR 20 000), and Christoffer Tell AB, a company controlled by Christoffer Tell (EUR 30 000). Due to conflicts of interest among board members, the agreements were submitted to the general meeting for approval in accordance with the Swedish Companies Act. The loans carry an interest rate of 1.0 percent per month and mature on December 31, 2025. The lenders have the right to convert the outstanding loan amounts, including accrued interest, into B-shares at a subscription price of SEK 0.05 per share, subject to adjustment in the event of a future capital raise. At the annual general meeting held on May 28, 2025, Simris Group AB (publ) resolved to extend the maturity date to March 31, 2026. From 1 August 2025 the interest rate of the loan is 0.0 percent per month. At the extraordinary general meeting held on 19 January 2026, it was resolved that the outstanding loan amounts be set off against newly issued class B shares at a subscription price of SEK 0,05 per share, Frank Puccio 11 654 346 shares, Royce CoLabs AB 2 330 123 shares, Magnus Högström 7 006 032 shares and Christoffer Tell AB 6 992 607 shares. In addition to normal Board work during the quarter, Board Directors performed consulting services for the company, of which Magnus Högström received SEK 29k and Jonathan Royce SEK 29k.

Information on accounting principles in general is provided in the Annual Report for 2025. AUDIT This report has not been reviewed by Simris Group’s auditor. RISKS AND UNCERTAINTIES Simris Group’s operations, financial position and earnings can be affected by a number of risks and uncertainties. These are described in Simris Group’s Annual Report for 2025, at www.simrisgroup.com. Simris Group is in the start-up phase and still lacks sufficient earnings to cover the costs of the business through sales revenue. Simris Group is reliant upon planned additional external funding to be able to continue its operations, repay loans, and implement growth plans.
