Stage Clear Studios is a game development studio based in Madrid. They've been around for around a decade now, and it was founded by three friends, Dani, Bofa, and Enrique. Those guys came from many years in the gaming industry before that, but they sort of gelled around their dream to create their own games. They made a name for themselves as a very good and reliable outsourcing studio, a studio that helps other studios make games, and they worked on and completed a lot of game projects. They worked on big IPs like FIFA, Castlevania, and Dead Space. They got a lot of parallel projects going on, and you don't get that if you don't deliver on time or on budget. They found ways to be efficient game developers while still sort of maintaining this high-quality output that is required to stay in the work-for-hire business. For Stage Clear, it's been a lot of hard work, but it's paid off. The founders, they're still there. They're all C-level, and they're still running Stage Clear. Now they're more than 40 people in Madrid, and they're keeping very busy. We at Thunderful, we have a number of good reasons to acquire Stage Clear. First, it's all the services that they provide. They've got game development. They've got co-development, so they can help us develop our internal titles. They've got programmers, and they got really good 2D and 3D graphics production. The games that we are making and publishing, they get bigger and more advanced with every new title that we take on. Right now we got 13 games in internal development, and we got an additional 26 games that we are publishing for external developers. That's another great reason why we are acquiring Stage Clear, because they can help us just get over the hurdle of getting all those games published and developed. One of the things that they are very good at is taking existing games and porting them to other platforms. Say, for example, that you have a PlayStation game. You made a game for PlayStation. Now you want that game to be available on other platforms as well. That's one of the strong points of Stage Clear. They come in, and they can create the Xbox version, the Nintendo version, the PC version, the mobile version, and so on, of that game. In Thunderful, we're right now around 270 people in game development and game publishing. With 40 games in the pipeline, we obviously need to grow. Our subsidiaries, Coatsink and Headup, they've already used and vetted Stage Clear, so they know them really well, and they know that they deliver on their promise. With Stage Clear, it's not only that we are expanding the capability, but we're expanding geographically as well. In and around Spain, there's so much talent, and we want to dive into that pool. Finally, I've seen those ideas that they've got brewing that they've never had time to work on properly, and it's really good. I want us at Thunderful to help them realize those dreams. It's like when you set out, you have these dreams. You want to make the best games in the world. That's why you get into game development. That's why you don't become an IT programmer. You want to make really strong content. They've got it in them. I've seen it, and I want to help them bring that out. I want their games, their game ideas to come to fruition, and that's one of the good reasons for us to acquire them. Stage Clear will have an EBIT of around EUR 500,000 in 2021. Now, the total consideration for Thunderful Group acquiring Stage Clear Studios is EUR 2.5 million, and the majority of that amount is paid in earn-outs. All the three founders, Dani, Bofa, and Enrique, they're staying on, and they want to take a big share of their payment in shares in Thunderful Group. All of the things that I mentioned about the deal now, I really like. I think we are getting good value for our money, and the founders, the leaders in that company, are staying on, and they are eager and willing to grow the studio with the help of Thunderful Group. I really think it's a win-win for both.
