Good morning. Hello. This is Timm from ZignSec. I'm a CEO in ZignSec and very happy that you follow us today. I'm here with Christian Chmiel and Alex Noton from Web Shield. ZignSec recently acquired Web Shield, and we want to bring you some more information about the rationals of this deal and are happy to share it here. I want to start with the new group's strategy and the rationals behind the deal. The combined group will bring services to the market, a combination of enterprise-grade workflow engine and due diligence, monitoring for KYC and KYB services. We provide these services through a single API or through a no-code compliance management engine, which means there is no integration needed by the clients. The combined group shall grow into a global authority for compliance and risk services. With this new combination of ZignSec and Web Shield, we have brought together very efficient technology for due diligence and connectivity to international service providers for compliance, KYC, and risk management. As communicated earlier, ZignSec will follow an active M&A strategy. Also past this transaction, we will look out for new acquisitions. To bring you the key highlights of the past transaction. With the acquisition of Web Shield, the ZignSec Group's revenue grow approximately 300%. We offer a unique service on a global level. The earlier next competitors don't have the same offer that we have. We can bring services to the market that have not been existing in this form before. With the acquisition, we can target much larger clients than we could before, because we do have much more services within the value chain of the services that we offer. The acquisition also makes sense from a recurring revenue perspective as the vast majority of Web Shield's transactions are recurring transactions. To give you a brief overview of the transaction done. ZignSec is a global aggregator of verification services and runs an enterprise-grade workflow engine that allows us to build any type of business workflow. Web Shield is a global due diligence provider and offers monitoring solutions to the financial industry and especially to the merchant acquiring business. Combined, we can offer now a full lifecycle management solution for that industry. Combined revenue as per 2020 would have been SEK 62.4 million, and the total group employees will double from 45 - 85. Web Shield comes with 300+ customers, which makes a total customer base of 400. Now with the new group strategy, we provide a one-stop shop for compliance. Onboarding doesn't start just once you have collected all details of a merchant. It starts before and ends later on. The geographical presence of the ZignSec group extends into Germany, U.K., and Poland, thus making us stronger with our strategy to grow global. Having a look at the services Web Shield provides and ZignSec provides, if you combine these services, we do own and can present to our clients a larger part of the value chain, a larger part of the services that they need to fulfill anyhow because of any regulatory demand. Web Shield is a specialist in corporate KYC, helps merchant in account underwriting, and helps merchants for customer monitoring. ZignSec, with its workflow engine, is able to configure any type of workflow, let it be a manual workflow that gets digitized or any registration, onboarding, or monitoring process from a technical point of view. If you now combine the technologies and the services, we own a much larger part of the value chain. Leaves towards the next step of the value chain, leaves some fantasy where we can go next for transaction risk management, for example. We can fully cover account opening workflows, account underwriting, KYC, KYB, customer monitoring, and also with the latest edition in Germany, connecting and operating with SCHUFA, also the credit assessment already became a part of the system. Our position now, we are a single provider for a very fragmented market. We are offering a unique solution to the market because of the services we have now available. Also, Web Shield is coming with a unique standing that it was one of six global certified Mastercard merchant monitoring service providers. That also helps us in the strategy to become a true authority in that space. For those of you who have not heard about ZignSec so much or want to know more about what ZignSec is doing, I'm going to show some slides here. We're a global identity verification platform. What it means is that we have aggregated multiple services, ID verifications, biometric checks, register checks, multiple checks that are available worldwide that you need to fulfill regulatory requirements, have connected into these and bring it through a single interface, so you don't need to connect to each and every of these services. The method that we use to present these services to our clients is that we digitize, optimize, and then automate these processes. What I mean with digitize is there are so many processes still that are paper-based, that are manual, many registrations, many workflows within companies. With our workflow engine, we can now digitize any type of process. After it is digitized, we can start to optimize and then connect it with any type of a check. We are listed on Nasdaq First North since 2019, and since have really brought on a lot of new services. The early days of ZignSec before we got listed on Nasdaq was to build the API services, to build a strong network of verification providers, and it was mainly API-based. It was a very technical product, and we found a very good niche for companies that want to move businesses to the Nordics or for Nordic companies moving into other Nordic regions where eIDs are very predominant. That model is not fully scalable internationally because electronic identities, as we know it in Sweden, are just not the majority of services worldwide. We had to extend the services into multiple different verification methods and services to fulfill the same standards in different countries. 2019, we got listed and also did the capital raise. 2020 is a very interesting year. It is the year when I joined ZignSec as CEO. That year, we did a capital raise in connection with the execution of our M&A strategy. In order to, I would say, update, upgrade the system to the globalization and to the plans to grow international, we had to uplift the API service with additional technology to go fast. First in that strategy was a Basis ID that we acquired early in 2020. With Basis ID, we got core knowhow for biometric checks, compliance, and verification services as per technology. Before it was an aggregation of services, buying services from multiple providers. With Basis ID, we got internal knowhow on such technology itself, which puts us much more on eye level to these solutions. Everything more API-based, and with the acquisition of Wyzer, we set a workflow engine on top of our API so that it's even easier to connect, it's easier to configure, and it even erodes the need to integrate through an API, but you can now truly even redirect into our infrastructure and reconfigure a whole workflow for our clients. I will show a workflow a little bit later on. These two acquisitions enabled us to acquire much larger deals than we could do before, because now we could handle a much wider range of the value chain. Now also was the rationale behind the acquisition of Web Shield, that we can again add services to the value chain of services that our clients need to fulfill anyhow. The focus in 2021 was to go more international. We became a broker in Denmark. The scheme NemID is changing to MitID. We could sign significantly larger deals, for example, with NetEase, one of the largest IT companies in China. We could sign a long-term partnership with SCHUFA for the MyConnect platform, which will bring services to Germany. We could win a public tender from the government of Malta, which is part of the European Once Only project initiative. That is really a good seal of excellence that we could win this deal with our platform. Also, ZignSec is the provider of the new business register in Malta. The new register will entirely run on that platform, which also shows how configurable that platform is. Thinking forward, ZignSec Group shall become a known brand for compliance services, for verification services and regulatory compliance. We will continue our strategy to not only build but also buy companies. Looking back or doing one step back, what is the true problem? Why do people need ZignSec? Why are these services needed? There are too many local and also global regulatory requirements that companies have to fulfill these days, that leads to an unmanageable channel of new compliance processes within onboarding and also within monitoring. As soon as a company goes cross-border, goes global, and needs to connect into service providers to stay compliant, it is very costly and time-intensive to do this. We help our clients by offering a single interface to connect. So they don't need to do this. Operationally they can relax because they have one partner who takes care to have the best solution per market. Our achievements in this short time now is to reach a very high degree of automatization. We can go global. We have proven that we can offer the services on a global scale because on the one side, we have all the integrations to the local providers, to the local heroes. On the other side, we have this workflow engine on top, the application layer that makes it very easy to configure this per region. The way ahead for us is to continue creating a true standard for these compliance services and make it easy for our clients to stay compliant. We are a young company, but within the short time we have shown continuous growth. We have 113% growth from 2019 to 2020. We do have one communicated target from start that we reach SEK 100 million in revenues by end of 2022 and SEK 20 million EBITDA by 2022. This is a target that we would have reached without any further acquisition, and now with the acquisition of Web Shield, we will reach this target much faster. The recent highlights, as mentioned before, we have won a public tender. We have won a large deal with SCHUFA in Germany. We are provider of the Malta business register. NetEase is one of the largest IT companies in China, is using our systems for onboarding. We continue to have an active M&A strategy. I always tend to say we have a very sticky business model because if a company needs to integrate into multiple services, if a company needs to be compliant in one and more country, it becomes very time-intensive and very costly to keep up with all the regulations. Through us, you have one interface, low setup fee, and we have a recurring model for all the services. We aggregate for the clients, they don't need to go directly. That slide is very much showing how we unify services for our clients. The ID verification, compliance, and risk management market is very fragmented. Every country in Europe or also in U.S., Asia, everywhere you have a little bit of a difference. You have many providers that are local heroes in a specific region and are the heroes for a specific task. Normally you connect towards such a provider, sometimes through an API, sometimes through a web interface. You have to pay a setup fee, sometimes a minimum. You have a lot of effort to just maintain getting into these providers. Dealing with ZignSec means you have one partner, you get one contract, we have all the integrations. If, for example, you have a service that is missing, then it is much easier to do this through us. We add it into our services and provide it through the interfaces given. The interfaces that we have is historically we do have an API service. There are certain companies that prefer to use an API or some companies, for example, using a Salesforce or other CRMs or other websites that manage certain workflows, for example, for registration processes. They can connect through an API, get a notification, and they keep all the structure that they have. Sometimes, and even large companies, even though they would have the IT resources to schedule for an integration or to integrate with an API, because of other projects, don't have the resource right now. For these cases, now we can provide our no-code compliance engine, and it provides a platform that allows you to simply redirect into our infrastructure. It will be in the complete look and feel of your company, of the client's brand. It's absolutely brandable. ZignSec is not the front-end brand. We are providing technology, and we can provide any type of workflow. It can be a loan application, it can be a credit card application, it can be for rental or simply having identification for a fitness club. That's also something that in the past we have configured for clients. Basically, what we do is we enable our clients to take part in new technologies that often with their current system, they would not be able to participate with. Everyone speaks about automation, upgrading processes, machine learning is a huge buzzword all over the time, blockchain applications. The reality is that a lot of companies, simply because of their current system, don't have the facility to take part in these new technologies. Through our platform, we enable our clients to take part and to uplift and extend their services, their fraud services, their risk services, their compliance services, and be much faster, much agile to configure. Such a check, like a liveness check, is often seen and often promoted in the market as, yeah, that is we are automating KYC for you. This is just a very small part of a much larger chain throughout the client acquisition, throughout the KYC, and then afterwards, the monitoring. Additional checks are necessary to do this, and that is just one out of many checks. In Sweden, this would be replaced by a BankID. In Singapore, it would be replaced by Singpass, and in Denmark, it would be maybe replaced, for example, by a MitID check. Here is an example of a workflow that is very easy to be configured on our no-code engine. If you would think about a bank that wants to provide a loan application, then it would have the choice to use a development team for the app development, a team for integration with APIs, and multiple project management tasks would be involved, which becomes quite costly. Through the ZignSec no-code engine, we can simply define through our workflow engine, which is a graphical tool, an online tool, define the workflow, and then create the web front-end for it, and do a process like this. Out of the bank account of the bank, for example, it redirects into our platform. Through an open banking interface, we check the account of the client, we enhance the data through some additional fields, get a consent, do a credit check or any other type of check that the bank needs or wants to do. We then fulfill a biometric check. This could be, for example, a video with them, it could be a selfie, passive, active live. It can be BankID. We enhance it with a PEP and AML sanction, route the whole and aggregate the whole data into a PDF. Sign it with a full qualified signature. In certain parts of Europe, you need to do this through other third-party providers, including two-factor and other methods. In Sweden, again, this could simply be by BankID, for example. All the risk checks that are necessary to finalize, we do through the connectivities we have connected. When everything is finished, we send the client back to the bank's account. This all without our clients having to build anything on their side. The flexibility of our system is best shown by geographic reach. We do have a client, for example, in Paraguay, where we have configured the system for specific registration checks. For example, for MUV, which is a transportation app, we have done specific gender checks for their app so that only female drivers and female guests get matched if that is a request or a wish of one of the parties. Unicapital is a stockbroker in the Philippines, now have configured an entire portal almost for all the registration and due diligences for new brokers on their system. With SCHUFA in Germany, we have a new partnership, which will come to the market under the name MyConnect. We will hear a lot in future about that. Basic message on this is the system is very scalable, and we don't have to deploy local instances to go anywhere in the world. We do have a very experienced team and also a very active board. Since 26th of May, we do have two new board members with Marie-Louise Gefwert and Eric Wallin. Marie is also a board member in Global 7, where our chairman, Alexander, also is chairman. Eric Wallin has very good experiences from managing positions in Bisnode and DIBS. We reflect our growth also by the additions in our board. Now I would hand over to Christian to introduce to Web Shield. You understand that on the one side, ZignSec is providing the whole option of a workflow engine, where multiple providers can mix and match at any time, where Web Shield is such a provider, adding specific services within the onboarding procedure. Christian. Timm, thank you very much. Also from my side, a very warm welcome from Germany. My name is Christian Chmiel, and I'm the Founder and Chief Innovation Officer of the Web Shield Group. Now, I'm a fraud examiner by profession, and prior to starting Web Shield, I gained about 10 years of experience in the field of risk, fraud, and compliance in the payment sector. Then, about 10 years ago, the Web Shield journey started, meanwhile, I'm responsible for the areas of product innovation, marketing, as well as education. Education is really at the bottom of our heart, as we are also running the so-called Web Shield Academy, as well as a conference series, RiskConnect. Therefore, I'm very glad to give you a brief summary and overview about Web Shield. What do we actually do? Now, we at Web Shield, we provide software solutions for any participants in the credit card industry with a very strong focus on the so-called merchant acquiring space. What does that actually mean? Let me explain. Our clients, in general, are either financial institutions or banks that are directly connected to the credit card network, Visa and Mastercard. There are basically two types of these connections. On the one side, you have financial institutions or banks that provide you with your personal or your corporate credit card, so that you can basically go shopping. On the other side, you have financial institutions or banks that connect the merchant to the credit card network. That financial institution needs to conduct a very specific due diligence action on their merchants to verify whether this is legit business or if there are any kind of risks involved. This is exactly where Web Shield brings its strength to the table. On the one side, we provide a fully scalable due diligence solutions that enables our clients to conduct a full due diligence within minutes by minimizing their associated risks and the needed manual time for conducting such an investigation. Then in a second step, if our client takes the decision to move along and onboard that merchant, obviously, our monitoring engine kicks in and alerts our clients in case there are any substantial changes that need their attention. Besides these two core products, we also offer additional optional modules, such as regulatory monitoring, where we provide our clients with the capability of keeping compliant with specific card scheme regulations, considering the legality of specific services across the globe. Finally, we have a technology called Address Reveal. Address Reveal basically caters to anyone who is consuming PEP lists, sanction lists, or is conducting any kind of AML checks, as this tool enables you to identify whether you're dealing with a shell company or not. The great thing about Web Shield, if we take a look at the next slide, is that you will see that we did not only provide software solutions for our clients, but that it is more of an interconnected system, where on the one side, we have due diligence monitoring and regulatory monitoring, but also enrich that with our educational sectors. When we're talking about education, we mean the Web Shield Academy that we founded about six years ago, where we're training employees from merchant acquirers, banks, financial institutions, regulators, and so on when it comes to online investigation, due diligence techniques, and how to properly monitor your specific portfolio. We took that whole education space also online throughout the pandemic and are now providing our Web Shield Academy, a fully scalable education system that just recently got rolled out. All of that is combined also with our RiskConnect conference series, where we basically bring together players from the credit card industry, present to them the newest developments, and the possibilities how to tackle issues that are arising. Now, let's take a look at the next slide. What are the specific key features of our solution? That is pretty easy to explain. On the one side, you have a due diligence solution, fully scalable, that provides you an information in real time, meaning you don't have to wait anymore for 24-48 hours to make a final decision whether to move on with a merchant or not. No. Meanwhile, you're able to take that decision within five minutes time, completely removing the associated and manual interaction. The great thing is the technology reviews all the necessary risk areas, such as financial risk, money laundering risk, transaction laundering risk, content risk, and of course, the associated reputation risk. Everything is drilled down to one single scoring, and that single scoring enables our clients to conduct an automated account approval, enabling a system to fully scale up and achieve way more underwritings and onboardings than you would be able to do it manually. Over time, if there are any kind of changes, our automated alert system via our monitoring provides you with up-to-date information and highlights exactly where action needs to be taken. This full compliance collaboration suite is set up in a way that it is sourced on open source information and can be enriched with dedicated databases if there are specific localizations needed. As per today, we are serving over 300 clients, whereas the vast majority of our clients are usually acquiring banks, payment service providers, ISOs, and regulated entities. We are now also starting to get a little bit out of the acquiring space, providing our solutions in the areas of correspondent banking and other financial institutions that have a very strong focus on anti-money laundering issues. If we take a look at the next slide, you will see that over the course of the time, we had a very steady and organic customer growth. This was basically done by adding new people to our sales departments, increasing the associated productivity, and also utilizing new channels to the market by using partners. The very interesting thing about our solution is that it is set up in a very modular way, meaning we have the capability of getting into clients with various ways, whether this is solely over the due diligence area, over the monitoring, or education. The various modules that we offer are a really great cross-selling opportunity within our complete portfolio. Now, this was a little overview about Web Shield and its history, and now I'm very happy to pass on to Alex Noton, our CEO, who will take you a little bit through our financials. Thanks so much, Christian. Just by way of a quick background, I'm Alex Noton, CEO of Web Shield and responsible for the overall strategic direction of the company. I've been working in technology and financial services for the past 20 years. Just a quick word about the financial performance of Web Shield to date. We've experienced very strong growth over the past few years, growing by a compound annual growth rate of over 27% between 2017 and this year. I think a couple of highlights I'd like to bring out to your attention in relation to the revenue. Between 2017 and 2018, we were experiencing extremely high levels of demand from customers. At that stage in time, our solution was a combination of an automated system, combined with some manual interaction. At that stage, we took the strategic decision that we would automate the solution completely to make the business highly scalable. You see the benefits of that in 2019 with significant revenue growth. In 2020, we were experiencing a slight decline as a result of the pandemic, which, as Christian explained earlier, our businesses in both education and our events business, which historically were person to person and face to face. We took the decision to move those online. At the same time, we experienced the loss of one of our largest customers, which went out of business, which was a loss of about EUR 1 million of revenue. Had that not happened, we would've seen extremely high levels of growth also in 2020. The target for this year is in the region of EUR 6 million. We continue to benefit from very strong margins, albeit we continue to invest strongly, both in terms of product development. As Christian was referring to earlier, this year, we took the decision to accelerate the development of our training business to move that entirely online and make it more scalable. We are witnessing margins in the region of the high teens, which this year we're expecting to increase to over 20%. In terms of our business model, as Timm was referring to earlier, we benefit from very high levels of recurring revenue. To give you an indication, in 2020, approximately 95% of our revenue was from recurring software license streams. Our revenue mix is really a combination of pricing packages, which include both subscription and transaction and volume-based packages. The way we regard those is very much that as our customer base of acquirers continue to need to onboard customers using our onboarding solution, they'll continue to do that year after year. Once those customers are onboarded, they'll need to continuously monitor those customers to remain in compliance with the card scheme rules. Very strong levels of recurring revenue, which enable us to benefit from a very highly scalable business model. Just to move over to the next slide and give you an overview of our management team. We benefit from a very young and dynamic team who come with significant experience across a range of industries, from the payment space, the fraud management space, and technology. To summarize, on the one side, ZignSec is a highly automated workflow engine integrated into multiple service providers on global scale. Now with the addition of Web Shield, we do have more compliance knowhow inside and have extended our business model and our revenue model towards and along the value chain of what our clients actually need.
