I would now like to introduce the first presenter, Greg McConnell, Chairman of the Board. Welcome to the annual shareholders meeting for ChoiceOne Financial Services Incorporated. Thank you for joining us today. We're excited to be hosting our Annual Meeting virtually, which allows us to reach a greater number of our shareholders. We will first conduct the business portion of the meeting. Following that, we will present a report on the company, and there will be an opportunity for questions. I am Greg McConnell, Chairman of the Board of ChoiceOne Financial Services. With me today is Kelly Potes, CEO of ChoiceOne Financial Services and ChoiceOne Bank, and Mike Burke, President of ChoiceOne Financial Services and ChoiceOne Bank. Adom Greenland, Chief Financial Officer and Secretary of the company, will act as the secretary of this meeting. He has in his possession a list of our shareholders as of March 31st, 2026, which is the record date for this meeting. There are a total of 14,956,917 shares of common stock entitled to vote at this meeting. Todd LaVictoire and Sarah Ferris have been appointed to serve as Inspectors of Election for this meeting. The Inspectors of the Election have tabulated the proxies and have verified the shareholders attending the meeting virtually. Mr. Greenland, is there a quorum present? A quorum is present. The preliminary tabulation shows that at least 11.8 million shares are represented virtually or by proxy. These shares represent over 79% of the total number of shares entitled to vote at the meeting. Thank you. The meeting is now open for the transaction of business. The minutes from the 2025 annual shareholders meeting are available for inspection by any interested shareholder. The first item of business is the election of directors. The Board of Directors has nominated five candidates for election as Directors to the corporation to serve a term of three years, expiring at the Annual Meeting in the year 2029. The remaining 10 Directors of the corporation are serving different three-year terms. The nominees are Keith D. Brophy, Michael J. Burke Jr., Bruce John Essex Jr., Steven T. Krause, and Michelle M. Wendling. No further nominations were made or are in order. The second item of business is the advisory approval of the company's executive compensation. The third item of business is the ratification of the selection of Plante & Moran, PLLC as our registered independent public accounting firm for the year ending December 31st, 2026. It is now time to begin the formal ballot procedure. Any shareholder who hasn't yet voted or wishes to change their vote may do so by clicking on Vote Here button on the web portal and following the instructions there. Shareholders who have sent in proxies or voted via telephone or internet and do not want to change their vote do not need to take any further action. The polls are now closed. Mr. Greenland, do we have a preliminary voting result? We do. We've been informed by the Inspectors of the Election that the preliminary vote report shows that each of the nominees for election to the board have been duly elected, that the proposal for the advisory approval of ChoiceOne's executive compensation has been approved, and the proposal for ratification of the selection of Plante & Moran, PLLC has been approved. All of these matters were approved in each case by the required vote. ChoiceOne will report the final vote results in a Form 8-K. Thank you, Mr. Greenland. Thank you, Greg. Good morning. This is Mike Burke, President of ChoiceOne Financial Services and ChoiceOne Bank. I'm gonna do the first part of the presentation, then turn it over to Kelly Potes, our CEO. Just would like to remind you that during this presentation, there could be forward-looking statements. Almost 128 years ago, community leaders came together and decided that the town of Sparta needed a new bank. What started out as Sparta State Bank is today called ChoiceOne Bank and has grown to $4.4 billion in assets, over $3 billion in loans and deposits, and 54 locations throughout Michigan. We still deliver a relationship-based experience to all of our customers, including retail, commercial, and wealth. We know who our customers are and how we can help them. Our technology stack is outstanding and delivers a great experience no matter how those customers use it and want to interact with our bank. We do and will continue to invest in making sure we deliver the big bank technology our customers want along with a community bank high touch customer experience. Much of our growth continues to be organic, where we sit down with prospects and clients and help them realize their financial goals and dreams. We have also grown through several acquisitions. If you're able to view the presentation online, you see the illustration of the banks that came together to make ChoiceOne who we are today. Banks like Valley Ridge, Lapeer County Bank and Trust, CSB or Capac State Bank, Farmers State Bank in Munith, Community State Bank, and Community Shores all made the decision to join ChoiceOne in no small part to ensure the customers they serve will continue to have a great community-minded bank in their market. Last year about this time, we brought on The State Bank, which has been a wonderful addition to ChoiceOne. We are blessed to have that great customer base, top-notch employees, and four strong directors as part of the future of ChoiceOne. If you look at this map, if you can see it online of our branch footprint, you see we have very good representation in West, East, as well as Southeast Michigan, West and East. The gray dots are legacy ChoiceOne branches before The State Bank joined, and the blue dots represent former The State Bank branches. We're excited to announce that we are in the process of remodeling a building that will become our first full-service branch in the Troy market in Oakland County. This branch should open up later this year and will bring the ChoiceOne brand of banking to Northern Oakland County. Our Board of Directors continues to simply be one of the best in the business. The experience and guidance they bring to the bank is invaluable as we continue to grow and serve our customers. These 16 individuals work and live in our markets. We do not have any out-of-state or out-of-market directors. That helps us stay focused on what is going on in Michigan and how that affects the bank and our local communities. Our vision is to be the best bank in Michigan. To do that, you have to start with a strong executive management team. Between Kelly, Adom, Brad, and myself, we have decades of seniority at ChoiceOne Bank and long careers in the financial services industry. We've all been through the transformational mergers of the last few years, which gives us incredible institutional knowledge and insight into running a great community bank. The rest of the management team at the bank is also top-notch, and they help us deliver the solid returns our shareholders enjoy year after year. We continue to win awards and accolades in multiple areas. In 2025, we received the Community Bank Lender of the Year Award from Michigan Certified Development Corporation, the MBA Innovator of the Year, as well as their Financial Literacy Award. Our outstanding website was awarded the Web Marketing Association Award. If you've not been to our website lately, I would encourage you to go there. It really is best in class. A large part of our culture and success is how we continue to support our communities. This is just simply who we are. We encourage employees to be active participants in their communities, and they do so with giving hearts. Last year, we gave over $604,000 in total donations to worthwhile causes and organizations in our markets. We believe that thriving communities enhance the standard of living for all involved, which will ultimately benefit the bank and great customers and growth in markets we live and work in. On top of that, ChoiceOne employees donated over 8,000- hours standing shoulder to shoulder with our community partners to make our communities better. Again, we do this out of a giving heart rather than being forced to participate. This is the community bank difference, and we believe the ChoiceOne difference. You can see the numbers are from last year and will be even more this year. With that, I will turn it over to Kelly Potes. Thank you, Mike, and hello, everyone. This is Kelly Potes, CEO of ChoiceOne Financial Services. Over the next several slides, I will be presenting to you the successful year we had in 2025. Not only did we combine two 127-year-old banks, but we also had a very profitable year for our shareholders. After a successful 2024, you can see we had a significant increase in net income, shown here, adjusted by removing the one-time merger expenses. The increase is primarily a result of our new larger size. More importantly, our adjusted earnings per share is 8.8% higher in 2025 than 2024. You will also notice we are starting off 2026 on the right foot with a $0.91 per share earnings per share in the first quarter. Many of our shareholders appreciate the steady and increasing dividends we have paid out over the last several years. We have increased our dividends to our shareholders by 23% over the last five years. Our dividend yield as of 12/31/2025 stood at a strong 3.8%. Our ability to maintain and increase our dividends is an indication of our strength and earnings. This slide shows the significant balance sheet growth with the addition of Fentura Financial, which was the holding company of The State Bank. Sitting at almost $4.4 billion, ChoiceOne is now the fourth largest publicly traded bank located in the state of Michigan. This new size lets us more effectively compete with the larger regional and national banks in the state and affords us the ability to invest in talent and technology while still providing the personalized service of a community bank. Our larger deposit base, seen here, allows us to invest in more sophisticated treasury services for our commercial clients and also helps individuals manage their daily needs as well as save for the long-term goals and retirement. Deposits act as our inventory to make loans to help families attain homeownership and business owners and farmers to expand and grow. Our adjusted return on average assets has been solidly over 1%, which is an industry benchmark. Our recent merger has significantly added to our profits, which allows us to be competitive in the marketplace and helps build capital for future growth. It is important to talk about our profits and returns, but we think that is due to our greatest assets, which are our employees, clients, and our shareholders. We desire to be the best bank in Michigan, and we feel that is accomplished by our mission, which is to provide superior service, quality advice, and show utmost respect to everyone we meet. We still provide opportunities for our shareholders to meet with bank management and each other. We are meeting today in Grand Rapids at Thousand Oaks Golf Club from noon to 2:00 P.M.
