We calculate Adjusted EBITDA Margin as Adjusted EBITDA divided by total revenue. We calculate Non- GAAP net income as GAAP net income adjusted to eliminate the impact of stock-based compensation and certain other items that are not related to our core operations, such as amortization of acquired intangibles assets, acquisition-related costs, other non-recurring costs, as well as the income tax e ect of these adjustments. Basic non-GAAP earnings per share is calculated by dividing non-GAAP net income by the number of weighted-average common stock outstanding. Diluted Non-GAAP earnings per share adjusts the Basic Non-GAAP earnings per share for the potential dilutive impact of shares of common stock using the treasury stock method. We calculate free cash ow as net cash provided by operating activities determined in accordance with GAAP less purchases of property, plant, and equipment which includes capitalized software development costs. Free cash ow conversion is calculated as free cash ow divided by Adjusted EBITDA for the same period. We use the Non-GAAP Financial Measures as measures of operational e ciency to understand and evaluate our core business operations. We believe that these Non-GAAP Financial Measures are useful to investors for period-to-period comparisons of our core business and for understanding and evaluating trends in our operating results on a consistent basis by either excluding items that we do not believe are indicative of our core operating performance or by measuring cash generated by our operations that is available for various strategic initiatives. The following tables show DV’s non-GAAP nancial metrics reconciled to the comparable GAAP nancial metrics included in this release. 9

Some of the limitations of these measures are: they do not re ect changes in, or cash requirements for, working capital needs; they do not re ect our capital expenditures or future requirements for capital expenditures or contractual commitments; they do not re ect income tax expense or the cash requirements to pay income taxes; they do not re ect interest expense or the cash requirements necessary to service interest or principal debt payments; and although depreciation and amortization are non-cash charges related mainly to intangible assets, certain assets being depreciated and amortized will have to be replaced in the future, and they do not re ect any cash requirements for such replacements. In addition, other companies in our industry may calculate these Non-GAAP Financial Measures di erently than we do, limiting their usefulness as a comparative measure. You should compensate for these limitations by relying primarily on our GAAP results and using the Non-GAAP Financial Measures only supplementally.
