Note that only Class A stockholders as of the record date who are logged into the meeting using their 16-digit control number will be able to vote and submit questions at today's meeting. As Secretary, I will file the proof of mailing of notice of the meeting with the records of the meeting. At this time, I'd like to introduce Peter Descovich, a representative of Broadridge Financial Solutions. The Board of Directors has appointed Mr. Descovich, a representative of Broadridge, to act as Inspector of Election at today's meeting. Mr. Descovich has signed the customary oath of office to execute his duties with strict impartiality. We will file this oath with the records of the meeting. I have been informed that a quorum is present. We can now proceed with the formal business of this meeting. There are four proposals to be considered by the Class A stockholders at this meeting. The company recommends that the stockholders vote for each of Proposals one, two, three, and four. The first item of business is the election of Bob Pittman, Rich Bressler, Jay Rasulo, Graciela Monteagudo, Bob Millard, Samuel Englebardt, Kamakshi Sivaramakrishnan, and Cheryl Mills to serve as directors of the company for a term of office expiring at the annual meeting of stockholders to be held in 2027. The second item of business is the ratification of the Audit Committee's appointment of Ernst & Young LLP as our independent registered public accounting firm for our 2026 fiscal year. The third item of business is the approval on a non-binding advisory basis of the compensation paid to the company's named executive officers. The fourth item of business is the approval of the second amendment to the iHeartMedia, Inc. 2021 Long-Term Incentive Award Plan to, among other things, approve an increase in the number of shares of Class A common stock available for issuance for future grants of equity awards. Second, the appointment of Ernst & Young LLP as our independent registered public accounting firm for the year ending December 31, 2026, has been ratified. Third, the resolution to approve on a non-binding advisory basis the compensation of iHeartMedia's named executive officers has been approved. Fourth, the resolution to approve the second amendment to the iHeartMedia, Inc. 2021 Long-Term Incentive Award Plan has been approved.
