I hereby appoint Mr. Charony to act as inspector of this meeting with respect to the securities of KIDZ AI Inc., and to execute his oath of office. With respect to voting, after the item of business is presented and moved for consideration, you will have an opportunity to vote through the virtual meeting platform. When we call for votes, simply click on the voting link to the left-hand side of your screen and follow the instructions. During the meeting, you will also have the opportunity to submit questions to management by logging in with the control number found on your proxy card and typing questions into the text box on the left of your screen. We will review these questions and, if appropriate, will address them after the meeting. Thank you, Mr. Charony. You may now present the list of record holders. I present the list of holders of record of the shares of Class A common stock, Class B common stock, and Series A preferred stock as of the close of business on May 8th, 2026, certified by Continental Stock Transfer & Trust Company.
