Good morning, and Welcome to the Annual Meeting of Stockholders of Knife River Corporation. My name is Brian Gray, President and CEO of Knife River. It is my pleasure to welcome you and to share a brief update on our company. We've been very active since last year's annual meeting. In addition to completing another record year, we have closed on five more acquisitions. We've achieved the safest year in company history. We've continued to advance our Competitive Edge initiatives, and we have built a record backlog as we enter the 2026 construction season. We are excited about the year ahead and confident in our clear and proven strategy to drive growth. There are four components to our strategy. First is our strong and unique markets. Second is vertical integration. Third is the opportunity for self-help to improve margins. Fourth is our Life at Knife culture and relentless drive for excellence. We have built considerable momentum, and we are well-positioned to keep delivering value for our stockholders. It's now my pleasure to introduce Karen Fagg. Karen is the Chair of our Board who will conduct our annual meeting, followed by a tabulation of votes. Karen? Thank you, Brian, welcome everyone. Thank you for joining us today for our annual meeting of stockholders. We will conduct the business portion of our meeting first and answer stockholder questions at the end of the meeting. Though we may not be able to answer every question, we'll do our best to provide a response to as many as possible, and we'll address any unanswered questions on our company website shortly after the meeting. I now officially call this meeting to order, and please let me introduce the other members of the board present today, who are Germán Carmona Álvarez, Patricia Chiodo, Thomas Hill, Patricia Moss, William Sandbrook, and you've already heard from our President and CEO, Brian Gray, who serves on the board as well. In addition to our directors, we also have our Vice President, Chief Legal Officer, and Secretary, Karl Liepitz, and our Treasurer, Dustin Sanger. Present for today's meeting, Karl will act as secretary of the meeting. Also in attendance today are Connor Lundquist and Kristin Kuechle, who are representatives of our independent registered public accounting firm, Deloitte & Touche LLP. They will be available during the question and answer session after the meeting to respond to appropriate questions. The board has appointed Dustin Sanger of Knife River and Tracy Oates of The Condon Group, Inc. as inspectors of election. Mr. Sanger and Ms. Oates are attending with us today as well. After the formal meeting has been adjourned, we will provide time for general questions. Only validated stockholders may ask questions in the designated field on the web portal. Out of consideration for others, please limit yourself to two questions. Please note that this meeting is being recorded. The Board of Directors fixed March 27th, 2026, as the record date for determining stockholders entitled to notice of, and to vote at this meeting. An affidavit of distribution from Broadridge Financial Solutions, Incorporated has been delivered, attesting to the fact that notices of the annual meeting and availability of proxy materials were sent beginning on April 6th, 2026. The stockholder list shows that as of the record date, there were 56,753,855 shares of common stock outstanding and entitled to notice of and to vote at this meeting. We have been informed by the inspector of election that there are present online or represented by proxy, shares of common stock representing a majority of the outstanding shares entitled to vote generally in the election of directors, and therefore, a quorum is present for purposes of transacting business. Now I will present the matters to be voted upon. Proposal one is the election of two Class III directors to hold office for a one-year term to expire at the 2027 annual meeting of stockholders. Proposal two is an advisory vote to approve the compensation paid to the company's named executive officers. Proposal three is the ratification of the appointment of Deloitte & Touche LLP as the company's independent registered public accounting firm for 2026. The polls are now open. Any stockholder who has not yet voted or who wishes to change their vote may do so by clicking the voting button on the web portal and following the instructions. Stockholders who have sent in proxies or voted via telephone or internet and do not want to change their vote do not need to take any further action. We will now take a short pause for voting. We have been informed by the inspector of election that the preliminary vote shows that the nominees for election of two Class III directors to the board have been duly elected. The advisory vote to approve the compensation paid to the company's named executive officers has been approved, and Deloitte & Touche LLP has been approved by the company's independent registered public accounting firm for 2026. The final vote results will be filed with the minutes of this meeting and reported on a Form 8-K to be filed with the Securities and Exchange Commission within four business days.
