As you know, today we are joined by Brian Goodman, he's CEO of Golden Matrix Group, a developer and licenser of online gaming platform systems and gaming content. Their stock trades in the Nasdaq under the ticker GMGI. Before we begin, I'd like to read you the Golden Matrix forward-looking statements provision. We will attempt to answer as many as I can respond to presentation. Again, sorry for the false start here, everyone, but Brian, all that means is that we'll start from the top. We'll go ahead and let you take it away. Okay. I'll have to shorten my presentation here, but we shall leave some questions for everyone. I'll just run through a couple of things. I actually can't see the slides on my screen, so you seem to be mic. We've got the intro slide, and then we're gonna put the Meridianbet up there. We want you to just maybe review the company's path of growth and diversity, and then we can go into the stuff about Meridianbet. Sure. Okay. Just an update to everyone, as you've seen from our results, the company is powering forward, quarter on quarter, year on year. We, you know, we're delivering strong results. It's not only our core products that are performing really well, but it's also the company's approach to diversifying not only its products but also the regions that we operate in. Originally, we were Asian-focused, and most of our revenues came out of the Asia Pacific. Right now, at a guess, about 50% of our revenues and more than 50% of our profits now come out of Europe, and we're rolling out- Brian, I apologize again. I'm so sorry to interrupt you. Is there something next to your microphone? We're getting a lot of, just thumping and kind of scratching next to the microphone. I'm not sure if maybe there's something rubbing up against it, but it's kind of overpowering your speaking. Can you see what if there's something in front of your microphone or? I can turn off the CF piece. Can you hear me now? Yeah, yeah. Yeah. We can hear your voice okay. There was just something maybe touching the microphone or rubbing against it. It sounded like it was kinda causing some scratching. Is it clear now? I think it's gone now. Yeah, sorry. Go ahead and proceed. Okay. Hopefully everybody heard me, but what I was saying was that in addition to the core products performing, we've diversified in the regions that we operate as well as the products that we're offering. As everyone knows, we've launched a casino in Mexico. We have a European operation, and we'll look in now to roll out our products in other regions in the world. Latin America is a focus of the company. Hopefully in time we will also launch products in the U.S., based on the regulations that are happening within the market. just, I guess moving on to the Meridian deal, everybody's probably at the top of their mind saying, "What's happening? How's it going?" I, in, you know, it's difficult for us to discuss that. There's a lot of non-public information, obviously, that prevents us from discussing what's underway. Also we have contractual obligations. I, just in covering that topic, and I'm sure we'll come back to it in the questions, I'm confident that they will close it in the coming months. It's a huge win for the company and for the shareholders and the investors. It's a transaction that is very valuable. I'm not sure which slide is up, but there is a slide that covers that acquisition. You can go to our website and you can have a look at it. All in all, as a consolidated entity, we would be north of EUR 100 million, probably more because this is in euro, but about EUR 115 million-EUR 120 million in revenues, and also in profitability, EUR 23 million-EUR 24 million in EBITDA. Everybody would realize that this is a huge plus for the company. It will also open up synergies between the products that we have and also the markets that we operate in. They will bring markets to us, we'll bring products to them. All in all, the marriage, that's what I can call it, will be a huge positive. Like I say, we're very confident that we'll finalize this transaction. Moving on to the Mexican casino, which I think is also a question that a lot of people are now asking about. We launched on the 1st of April, and it's a very measured approach because obviously, casinos are based on acquiring players, and you would like to know that the amount of money that you're using to acquire a player is returned to the business in a multiple, basically. I mean, if you look at our RKings product, which is our tournament product in Europe, we get our money back on the acquisition on the first purchase. If it costs us somewhere around $2.90 for a player to acquire a player, we're getting somewhere around $13 or $14 on their first purchase. In margin terms, we're covering that cost of the player on their first purchase. Jumping back to Mexico, it was very important for the company to have a measured approach to go out, to use influencers and marketing techniques that brought in players that were beneficial to us and that we could monetize. Right now we had targets in place and we're hitting all our targets. We targeted 5,000 players for the month. We're actually already over 7,000 for the month in new players. Targets were somewhere around on average targeting 200 players a day. We're about 250 players a day. We've surpassed, I think a hundred and something thousand in purchases, and we'll continue to scale this business, and it's very exciting. It has three components to the business which I think are also interesting in that it not only provides the sports book and the online casino that everyone would expect, but it also has a component of the RKings business is what we're focusing on, the tournament business. This business is what we believe is gonna fuel the Mexican operation in people we're gonna be able to acquire players at a very competitive rate, and we're gonna monetize those players. That's very exciting for us. Other than that, I think we could take on some questions and see where we go. Brian, do you wanna talk about RKings at all or give us an update on the RKings business in Great Britain? Yeah, I've covered it in, in a way, but like I say, the RKings business is just powering along. In terms of diversification, we're going to launch it in other countries. We're working on that right now. It's, it's no secret that we'll diversify, like I say, not only the regions that we operate in, but the products. RKings is a powerhouse for our business. It's highly profitable, and it's very scalable. As I mentioned, when you're in a position where you're buying players for less than they are generating in their first purchase, it's a very powerful position to be in because you can just continue to scale it up and the business grows exponentially. When you're in a business which I guess most gaming businesses in the US, where the cost of acquisition is much higher than the actual lifetime value of the player, it seems, well, then you have a real problem because you continue to lose money when you're buying a player for more than he's worth. That's really the challenge that you have. I just think that it's everybody knows what contributes to our business. The business as a whole, like I say, I mean, year-on-year, we had more than doubled our revenue and our profitability was high. The company continues to perform well, but the opportunities here are exponential to our baseline performance because of the acquisition they're spending and also, to the fact that we're rolling out different products and into different countries. Okay, great. Thanks, Brian. I think I apologize everyone for these audio issues. I don't know if it's some bit of feedback. There's a little kind of faint thumping, but I hope we can still hear you loud and clear. Okay, we've got some questions here. Let's dive into those, Brian, real quick. The first one asks, "Is the Meridian purchase based on a specific share price? Can it still go ahead at today's $2 share price, or will it need to rise to $3.50 before the acquisition can go ahead? Okay. That's a very important question. I'd like to clear that up. The Meridian deal is based on a purchase price of $3.50 a share, and that is set in stone. The markets, obviously, everybody knows, is under pressure right now. It's not only us, but a lot of, not probably most, people that are listed out there are seeing pressure on their stock. Even though we're performing really well, the valuations are not what they used to be. Actually, the deal that we have in place with Meridian does not change. We struck it at $3.50, and it's right now, that's the way it's valued. In terms of stock, the two components to the deal. One is stock and one is cash. It's a $50 million upfront cash payment, and then the 75% of the purchase is in stock, and that stock is costed at $3.50. It's a huge benefit to the shareholders in that there won't be dilution based on the current scenario. In fairness, it also takes into account that when we did the deal with Meridian, that their company may have been valued at a higher value based on multiples that are happening in the market, and this sort of balances it out. Hopefully that answers the question. The stock price will not alter. It will be done at $3.50. The debt... sorry, and the cash component is going to be done in debt. It's not going to be done in equity. Therefore, it's also important for the shareholders that there won't be dilution on the basis that we have to raise the money at a much lower stock price. The stock price doesn't really affect this transaction. Great, Jamie. This is why I think it might be the problem. Are you using AirPod on your computer? No. I've switched it off for you, but I can put it back on. No, no, I think, I think it's fine. I was just wondering. Okay. The next one is asked by Steve here. He He goes, "What is the plan to attract larger scale shareholders? Reply last month was that the business success would speak for gaining share value, but stocks remain a popularity contest. Right now we don't have much institutional investment. We hope through making part of the Russell Index that we could potentially draw in more institutional investment. I'm about to go out and do some roadshows. Also, in terms of the debt component that I've just mentioned for Meridian, I'm meeting with a lot of large investment houses and putting us on the map. We also have an IR company called Alpha that we've engaged, and we are now engaging with analysts, which I think is the most important thing, 'cause we don't get a lot of coverage. We're making a concerted effort right now to get in front of analysts and make sure that our results are out there and we run those comparisons to other companies. I think once we're in front of people and they realize how well the company has done, how much it achieves, I think we should get more institutional investment, and that will help. Thanks, Brian. Next question: How do you plan to use the full $2 million to buy back shares? With lower trading volume, will that pose an issue? It's a $2 million question. As per our announcement, we're underway. We will intervene. Obviously, the reason for that is the important part. We believe that the stock is highly undervalued. When you look at in terms of the binding purchase agreement that we have with Meridian, the stock would from our point of view, the stock is undervalued and from the company's point of view, and we're out there to protect our shareholders. We will go out, and we will ensure that if there's, if it's necessary, we will buy back our stock. Just obviously, so that people know, there are blackout periods, and there are restrictions on what we can or can't buy based on averages. We will keep within those averages when we buy it and it's, as the opportunity arises, we will intervene. Great. Thanks, Brian. Okay. It looks like, let's see. Got a couple questions I think you answered during the presentation. Kevin asked, did you, let's see. We haven't seen any new video, any updates, articles, videos. Attracting new shareholders. Did you hire a marketing team? Is there anything? I guess, one of the questions, yeah, we haven't seen any updates, articles, videos getting and attracting new investors. They're just asking if you have a plan for a marketing team or IR team to do all that. I think traditionally the company has only put out brochures on its performance, and we put out these highlight brochures every quarter. Obviously, we can't be discussing items that haven't been published and are not public information. I can't start talking about the interim performance of the company. As everybody can see, as I mentioned quarter-on-quarter, year-on-year, those performances are clearly published in our highlights document. Traditionally, we haven't done earnings calls, but from the next quarter, we will now do earnings calls and we'll do mini roadshows, and we'll get in front of people, as I mentioned, analysts and large institutions, and we'll tell our story, and I think that's important. The next step is moving from the highlights brochures. If anybody hasn't seen them, you just go to Investors on our website, drop down to Highlights, and then you'll see these highlight brochures, which clearly outline our performance. We will move from them. We will still put out the highlights brochure, but we will then also start doing live earnings calls and that's gonna be happening from the next quarter. Thank you, Brian. Next question. How's Chris asks, "How's MexPlay really doing? We've seen social media influencers advertise MexPlay. Are there more users, using MexPlay? Yes. As I mentioned, the first of April was the launch date. We set these targets and we took a measured approach because we just didn't wanna throw huge amounts of money at acquiring players and find out that they weren't worth anything. Also that they didn't have any loyalty to the product. We've met all our targets and like I say, we surpassed them. We have over 7,000 registered players since the beginning of the month. On average, we're registering about 250 players a day, which we think is amazing. Just using social influencers right now. We'll step into more of a Facebook and Google advertising, but we'll scale it up as we go. We're very confident now that our acquisition costs are manageable, and that the value of these players are going to be obviously higher than our acquisition cost. Any casino, online casino as such, you know, the secret source, if that's what you wanna call it, is that you can buy players for less than you get from them. That's what makes the business. If it's the other way around, then obviously you've got huge challenges. In our instance, we're acquiring players for less than they're worth and over a time. We, in our case, as I mentioned, we even looked at the first purchase, which is crazy. Most people wouldn't even envisage it. You can get all your money back on a person's first purchase. Most companies look to the lifetime value of players, and that's how they quantify what the return is on investment. That's where we're at and performing really well. Okay. Go ahead, Brian, sorry. Sorry. I'm not sure if I mentioned, but if you're in the U.S., you can probably go to mexplay.mx. You maybe won't be able to register, but you'll be able to see the product. It's actually really interesting. It's an exciting product, and we think it presents itself really well, certainly to the sector of the clientele that we're chasing. As people have mentioned here, it's already getting a lot of momentum on social media. Okay. We got a lot of questions here, but of course they can vote on questions. I think some of these have been answered already though. Like the plan to use it for 2 million buyback shares. Are you worried about the share price going lower and possible deals from Nasdaq and back to OTC? I think, you know, I think there's a lot of concern as to potential short selling and, you know, people saying that there's possible manipulation of not only us, of people's stock prices out there. It's a concern of every company on the exchange. We obviously I think this buyback that we now put forward is very is a strong sign in that we will protect the stock price. We believe that the stock is undervalued. I obviously encourage everyone, the investors and shareholders, to continue to support us. We've always delivered and the company's always performed really well. Ultimately the stock price will reflect the performance of the company. That's, you know, that's pretty much what we strive for. We're unable to sort of control the price day to day. In the longer term, this company has outperformed. Thank you, Brian. Oh, sorry. Yep, we're running out. We're, I mean, we're at a 30-minute cap. You just stated that you're undervalued. Are we to assume the Meridian purchase at $3.50 per is our target value? In a perfect world, what is your target value? I, it's impossible to, I guess for me to put forward a price because that would, that would be crazy. I think what people should do if they really want to do the calculation for themselves, go out, take what we've said and what we've published, over $20 million, probably $23 million or $24 million in EBITDA, take that and multiply it by our current, you know, valuation, our price and see what you come up with.
