Welcome to this special meeting for ReShape Lifesciences Inc. Our host for today's call is Paul Hickey, President and Chief Executive Officer. I will now turn the call over to your host, Mr. Hickey. You may begin, sir. Thank you. Hello, everyone. I am Paul Hickey, President and Chief Executive Officer of ReShape Lifesciences. We appreciate you joining us today. As previously announced on July 24, 2025, we partially adjourned this meeting to allow for additional time to solicit proxies for Proposal 2, which is the proposal to approve the sale of substantially all of ReShape's assets, and Proposal 3, which is the proposal to approve and adopt proposed amendments to ReShape's Certificate of Incorporation in connection with our proposed merger with Vyome Therapeutics. All of the other proposals were previously approved on July 24, and therefore the only matters to be voted on today are Proposals 2 and 3. It is my pleasure to reconvene this special meeting of the stockholders of ReShape Lifesciences Inc. I will act as Chairman of the special meeting, Brett Hansen of Fox Rothschild, our outside law firm, will act as Secretary of the meeting, and Christine Ren-Fielding will act as Inspector of Elections of the meeting. We will now proceed with the meeting, and I would like to turn the meeting over to Tom Stankovich, Chief Financial Officer. Tom? Thanks, Paul. We will now move on to the voting matters to be considered by our stockholders that were described in the proxy statement for this meeting. A notice of this meeting and proxy statement was mailed on or about June 24, 2025, to holders of record of our common stock on June 9, 2025, all of whom are entitled to vote on the proposals at this meeting. The list of stockholders of the company as of the record date is available and open for inspection. The records show that a quorum is present for the conduct of business. Let's begin. It is currently approximately 8:32 A.M. Pacific Time on August 7, 2025, and the polls are now open for voting on Proposals 2 and 3. Any stockholder who hasn't voted or who wishes to change your vote may do so by clicking on the voting button on the web portal and following the instructions there. Stockholders who have sent in their proxies or voted via telephone or internet and do not wish to change their vote do not need to take any further action. There are two proposals that we will consider and vote on today. First, to approve the sale substantially of all the ReShape assets, which is Proposal number 2 in the proxy statement. Second, to approve and adopt the proposed amendments to Article 6 of ReShape's Certificate of Incorporation, which is Proposal 3 in the proxy statement. The Board of Directors recommends that you vote for both of the proposals. We will now pause for a moment to allow final voting. It is now approximately 8:34 A.M. Pacific Time, and the polls are now closed with respect to Proposals 2 and 3. I will now give you the preliminary results based on the proxies already received. The preliminary proxy, the preliminary vote report, shows that both proposals voted on today have been approved. The final vote tally will be reported in a report on Form 8-K to be filed with the SEC within four business days after this meeting. Thank you, Tom. That concludes the official business for the meeting, and the meeting is now adjourned. Thank you all again for your participation in today's special meeting. The meeting has now concluded. Thank you for joining, and have a pleasant day.
