Hello everyone. Good afternoon. I'd like to welcome you and call to order this year's annual meeting of stockholders of SVB Financial Group. I'm Roger Dunbar, chairman of the board of directors of SVB Financial Group. I'll be presiding over today's meeting. Thank you for joining us today. I'd like to begin by saying that I hope you and your families and friends are all safe and well. It's been a remarkable year for all of us as we managed, and still manage, through this pandemic challenge. I personally have been very proud of SVB, seeing how our employees have stayed nimble, adapting to new ways of operating, and continuing to deliver for our clients, our communities, our stockholders. We have learned a lot and are continuing to learn as we work on defining what our new normal is going to be. Turning to today's business. Similar to last year, we are once again conducting today's meeting virtually by live webcast, with each of us participating remotely from a different location. I'll be taking us through our formal business items, and then there will be time set aside afterwards for questions. The Q&A field on the web portal is open, and you may submit questions there at any time before the start of the Q&A session. Before we dive in, I would like to call your attention to the slide posted in front of you, which is our special note about forward-looking statements. It is important, so please take a moment to review the note. Online today with me is Greg Becker, our President and CEO. He and I will be taking questions at the end of the meeting. We also have Jack Pohlman and Eric Braun on the line representing our independent registered public accounting firm, KPMG. They will also be available for questions at the end of the meeting. Present on today's webcast, we have other members of the board of directors as well as our executive officers. In addition, Annie Lu, deputy general counsel, will act as our secretary for today's meeting. Cathy Weeden has been appointed to act as our inspector of elections. Ms. Weeden has provided us with her signed oath of office. Next, let's move to some administrative information that we need to note for the record. I approve by affidavit that notice of this meeting has been duly given and that the proxy statement and proxy cards have been furnished by the company to stockholders of record as of February 22nd, 2021. These materials will be filed with our official meetings record. I have been advised by our inspector of elections that we have a majority of shareholders' shares represented today in person and by proxy, and therefore, a sufficient number to constitute a quorum. I'm very pleased to announce that the 2021 annual meeting is duly constituted for the purposes of transacting the business properly before it. Let's turn to our formal business for the day. We have three items on the agenda to vote on. It is now currently 4:36 P.M. on April 22, 2021, and the polls for each matter to be voted on at this meeting are now open. You may vote online prior to the closing of the polls. If you have previously voted by proxy and do not wish to change your vote, your vote will be cast as you were previously instructed and no further action is needed. If you wish to change your vote, or if you have not already cast your vote, you may cast your vote now by clicking on the voting button in the web portal, provided that you enter the meeting using the control number you previously received. The first item of business is the election of directors. As noted in our proxy statement, there are 12 directors nominated for election to serve during the 2021-2022 term and until their successors are elected and qualified. No other nominations have been received. Our board of directors recommends that you vote for the election of all 12 nominees. The second item of business is the proposal to approve on a non-binding advisory basis the compensation of the company's named executive officers as disclosed in our proxy statement. Once again, our board of directors recommends that you vote in favor of this proposal. The third and final item of business is the ratification of the appointment of KPMG as our company's independent registered public accounting firm for the fiscal year 2021. Our board of directors recommends that you vote in favor of this proposal. We will now pause briefly to allow for any adequate time for anyone needing final voting. You should have completed your electronic ballot by now so we can ensure that your votes will be counted. It is now 4:37 P.M. The meeting are now closed. No additional ballots, proxies, changes, or revocations will be accepted. We will count any votes made during today's meeting following the adjournment of the meeting. In the meantime, I'm delighted to report that I have received the preliminary election results as tabulated by the inspector of elections prior to this meeting. The preliminary results indicate that, first, each of the company's incumbent directors has been elected to serve for 2021 to 2022 term. The compensation paid to the company's named executive officers, as disclosed in the proxy statement, also known as say on pay, has been approved on a non-binding advisory basis. The appointment of KPMG as the company's independent registered public accounting firm for 2021 has been ratified. We are very pleased with these results. Please note that the final vote results will be announced on a Form 8-K filed with the SEC within four business days following this meeting.
