At this time, I call the meeting to order. There's one item of business on this morning's agenda, the consideration of a proposal to approve an amendment to the company's certificate of incorporation to allow stockholders to act by written consent. I will act as chair of the meeting, and Drew Valentine of White & Case LLP, the company's legal counsel, will serve as secretary. Available on the meeting website is an agenda, as well as a list of rules of conduct for the meeting. To conduct an orderly meeting, we ask participants to abide by these rules. As stated in the rules of conduct, if you desire to ask questions during the meeting, please use the appropriate tool on the web platform in place. We ask that you restrict your questions to the items of the agenda that is before us, as no new business may be addressed at the special meeting today. Thank you for your cooperation with these rules. The company has appointed Anna Hagberg-Seto from CT Hagberg LLC to act as Inspector of Election. Ms. Hagberg-Seto is with us today and has taken the oath of Inspector of Election. That oath will be filed with the minutes of this meeting. As a reminder, stockholders attending the virtual meeting can vote their shares online from now through the closing of the polls by logging into the meeting website as a stockholder and voting where indicated. If you have previously voted by proxy and do not wish to change your vote, no further action is required. We will begin by tending the formal business of this meeting. Please note that the meeting is being recorded and will be available for replay on the meeting's website for one year. No one attending the meeting via the live webcast or telephone is permitted to use any audio recording device. The meeting is held pursuant to the notice of special meeting that will be mailed to all stockholders of record as of close of business on July 20th, 2026, the record date for determining stockholders entitled to vote at this meeting. The notice was accompanied by a proxy statement and form of proxy. The Inspector of Election has an affidavit attesting to the fact that the notice of the special meeting was mailed to all stockholders of record on or about July 20th, 2026. This affidavit will be filed with the minutes of the meeting. The stockholders list shows that as of the record date, there were 120,117 shares of common stock issued and entitled to vote at the special meeting. The stockholders list is available for examination during this meeting. We have been informed by the Inspector of Elections that there are represented in person or by proxy 50,228,588 shares of common stock, or approximately 79.16% of all votes eligible to be cast at this meeting. Accordingly, a quorum is present for the purpose of transacting business. The polls for each matter to be voted on at this meeting are open. Anyone who has not completed a ballot and wishes to do so, please do so at this time, as the polls will close following the presentation of the proposal to be voted on. We are asking stockholders to approve one proposal today. The only proposal is the charter amendment proposal, which is the proposal to approve an amendment to the company's certificate of incorporation to allow stockholders to act by written consent. That concludes our presentation of the proposal before us at the special meeting, and hereby declare the polls are closed. Inspector of Election will now tabulate the votes, and I, as chair of the meeting, will report the preliminary results before the close of the meeting. If there are no further questions or comments, I have been advised by the Inspector of Election that the tallies are now available. Based on the preliminary report of the Inspector of Election, the proposal presented to the stockholders at this meeting has passed. We will report the final vote results in a Form 8-K to be filed within four business days of this meeting. I also request that the final report of Inspector of Election to be filed with the minutes of this meeting.
