Good morning, ladies and gentlemen. I'm Pat Collawn, Chairman of the Board of TXNM Energy. It is my pleasure to welcome all of you to our annual meeting of shareholders. It is 9:00 A.M. In accordance with the notice of meeting, I call to order the annual meeting of shareholders of TXNM Energy. I would like to make a few announcements with respect of conduct of today's meeting. Please note that you should not vote during the meeting if you have already completed and returned a proxy or otherwise voted, unless you wish to change the voting instructions you previously submitted. Before proceeding to the business of the meeting, I would like to introduce the director nominees and senior officers of TXNM Energy. The director nominees are Nikki Bailey, Norman Becker, Renae Conley, Sidney Gutierrez, James Hughes, Steve Maestas, Lillian Montoya, Maureen Mullarkey, and Don Tarry, TXNM Energy's President and Chief Executive Officer. The Senior Officers in attendance today are Brian Iverson, Senior Vice President, Regulatory and General Counsel, Monique Jacobson, Senior Vice President, Corporate Services, and Henry Monroy, Senior Vice President and Chief Financial Officer. Also joining us this morning from KPMG are Robert Nelson and Kevin Lyons. Brian Iverson will now report on the mailing of the notice of this meeting and the presence of a quorum. This meeting is held pursuant to notice mailed on or about April 28th, 2026, to each shareholder of record on April 21st, 2026. All documents concerning the call and notice of the meeting will be filed with the records of the company. The company had 110,707,257 shares of common stock outstanding as of the record date, April 21st, 2026. 88.2% of the outstanding common shares are represented at this meeting in person or by proxy. I hereby declare a quorum present at the meeting. Andy Wilcox and Kathy Martinez are serving as Inspectors of Election, and Broadridge Financial Solutions, an independent third party, will perform the tabulation of proxies and ballots. The next order of business is to vote on the items as outlined in the proxy statement. Item one, the election of directors. Item two, the ratification of KPMG LLP as the company's independent registered public accounting firm for 2026. And item three, approval of, on an advisory basis, the compensation for the company's named executive officers for 2026. As there are no shareholders present or online, I will not open the floor for questions related to the business of the meeting. A preliminary report from the inspector of election shows that all nominees have been elected to serve as directors of TXNM Energy Inc., each to hold office for a one-year term expiring at the 2027 annual meeting of shareholders. That the shareholders ratified the appointment of KPMG LLP as the company's independent registered public accounting firm for 2026, and approved on an advisory basis the compensation of the company's named executive officers for 2026. The final vote results will be verified and filed with the SEC on Form 8-K within four business days of this meeting. This concludes the order of business as outlined in the proxy statement.
