I'm Scott Griffith, Workhorse's Chief Executive Officer and a Director of the company. I'm pleased to welcome you to the 2026 annual meeting of stockholders for the purpose of voting on four proposals described in our proxy materials. I will be serving as Chairman for this meeting. Tony Carideo has been appointed as Inspector of Election for this meeting. Tony has taken the customary oath of office, which will be filed with the minutes of the meeting. Also attending the meeting are Liz Marks and Leanne Brandt, representatives of our independent auditor, Carr, Riggs & Ingram. The meeting is now called to order. I'd like to introduce Bob Ginnan, our Chief Financial Officer. Bob will act as secretary of this meeting. Bob, I'll turn it over to you now. Thanks, Scott. May 8th, 2026, was the record date for determining stockholders entitled to vote at this meeting. An affidavit has been delivered attesting to the fact that on or about May 20th, 2026, the proxy statement and Workhorse's 2025 annual report were delivered to all stockholders as of the record date. Under the company's bylaws, the majority of the shares entitled to vote, present or represented by proxy, constitutes a quorum. A quorum is necessary to conduct business at the annual meeting. On the record date, there were 10,893,400 shares of Workhorse common stock outstanding entitled to vote at this meeting. The tally by the Inspector of Election indicates that a majority of those shares is represented at this meeting, and therefore, a quorum is present for the purpose of transacting business. Any stockholder who hasn't voted yet or wishes to change their vote may do so by clicking on the voting button on the web portal and following the instructions there. Stockholders who have sent in proxies or voted via telephone or Internet and do not want to change their vote do not need to take any further action. A proposal to elect the seven director nominees named in the company's proxy statement to serve until the next annual meeting. The board of directors has recommended stockholders vote for this proposal. Proposal 2, say-on-pay. A proposal to approve on an advisory basis the compensation of Workhorse's named executive officers. The board of directors has recommended stockholders vote for this proposal. Proposal 3, auditor for ratification. A proposal to ratify the appointment of Carr, Riggs & Ingram, L.L.C. as Workhorse's independent auditors for the fiscal year ending December 31st, 2026. A proposal to approve the amended and restated Workhorse Group Inc. 2023 long-term incentive plan to, among other things, increase the number of shares of common stock available for the grant of equity awards by an additional 1,089,340 shares.
